Exclusion of Materiality Qualifiers. For purposes of determining (i) whether there has been an inaccuracy in or breach of any representation or warranty (provided, that, for purposes of this subsection (i), references to “Material Adverse Effect” shall not be disregarded in Section 2.6(a)) and (ii) the amount of any Damages resulting from the breach or inaccuracy of any representation or warranty, the parties agree that all references to “material,” “materially,” “in all material respects” or “materiality,” or to whether a breach would have a Material Adverse Effect, will be disregarded, in all cases, except for references to “Material Contract”.
