EXCLUSION OF PARTNERSHIP AND AGENCY. 26.1 Nothing in this Agreement shall create or be deemed to create a partnership under the Partnership Act 1890 or the Limited Partnership Act 1907, a joint venture or the relationship of employer and employee between the Partners or render either Partner directly liable to any third party for the debts, liabilities or obligations of the other. 26.2 Except as expressly provided otherwise in this Agreement or where the context or any statutory provision otherwise necessarily requires, neither Partner will have authority to, or hold itself out as having authority to:- 26.2.1 act as an agent of the other; 26.2.2 make any representations or give any warranties to third parties on behalf of or in respect of the other; or 26.2.3 bind the other in any way
