Exclusion of Representations and Warranties. 6.3.1 The Tenant acknowledges that this Lease has not been entered into in reliance wholly or partly on any statement or representation made by or on behalf of the Landlord except any such statement or representation that is expressly set out in this Lease or made by the Landlord’s solicitors in written response to enquiries raised by the Tenant’s solicitors in connection with the grant of this Lease.
6.3.2 The Landlord does not warrant that the Permitted Use is lawfully permitted under the Planning Acts.
Exclusion of Representations and Warranties. 6.2.1 The Tenant acknowledges that this lease has not been entered in reliance wholly or partly upon any statement or representation made by or on behalf of the Landlord save in so far as any such statement or representation is expressly set out in this lease or has been made in writing by the Landlord's solicitors to the Tenant's solicitors before the date of entry into this lease.
6.2.2 Nothing in this lease or in any consent or approval granted by the Landlord under this lease shall imply or warrant that the Premises may under the Planning Acts be used for the purpose authorised by this lease.

It is the explicit intent and understanding of the parties hereto that none of the parties nor any of their respective affiliates, representatives, advisors or agents is making any representation or warranty whatsoever, oral or written, express or implied, other than those set forth in this Agreement and none of the parties is relying on any statement, representation or warranty, oral or written, express or implied, made by any other party or such other party's affiliates, representatives, advisors or agents, except for the express representations and warranties expressly set forth in this Agreement. EXCEPT AS OTHERWISE SPECIFICALLY SET FORTH IN THIS AGREEMENT, THE SELLERS EXPRESSLY DISCLAIM ANY IMPLIED WARRANTY OR REPRESENTATION AS TO CONDITION, MERCHANTABILITY OR SUITABILITY AS TO ANY OF THE ASSETS OR LIABILITIES OF ENCOAL, NUCOAL, TEK-KOL, THE LFC PROPERTY, OR THE ENCOAL FACILITIES AND, EXCEPT AS OTHERWISE SPECIFICALLY SET FORTH IN THIS AGREEMENT, IT IS UNDERSTOOD THAT SGI TAKES SUCH ASSETS "AS IS", "WHERE IS", AND "WITH ALL FAULTS". WITHOUT LIMITING THE GENERALITY OF, AND IN FURTHERANCE OF, THE IMMEDIATELY PRECEDING SENTENCES, SGI ACKNOWLEDGES THAT SELLERS MAKE NO REPRESENTATIONS OR WARRANTIES TO SGI REGARDING ANY PROFITS, FORECASTS, PROJECTIONS, ESTIMATES, BUSINESS PLANS OR BUDGETS HERETOFORE DELIVERED TO OR MADE AVAILABLE TO SGI OR ITS AFFILIATES, REPRESENTATIVES, ADVISORS OR AGENTS WITH RESPECT TO FUTURE REVENUES, PROFITS, EXPENSES OR EXPENDITURES, FUTURE RESULTS OF OPERATIONS (OR ANY COMPONENT THEREOF), FUTURE CASH FLOWS OR FUTURE FINANCIAL CONDITION (OR ANY COMPONENT THEREOF) OF ENCOAL, NUCOAL, TEK-KOL, THE LFC PROPERTY, OR THE ENCOAL FACILITIES. Exclusion of Representations and Warranties. 18.1 Both parties hereby acknowledge that, when entering into any Tasking Order, they will not be doing so in reliance upon any information, representations, warranties or promises, express or implied, given prior to the execution of the Tasking Order other than those expressly incorporated in the Tasking Order. Having freely entered into the Tasking Order, both parties agree that they will have no remedy in respect of any other information, representation, warranty or promise except in the case of fraud.

EXCEPT AS OTHERWISE PROVIDED UNDER THIS AGREEMENT, LICENSEE ASSUMES THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF DELIVERABLES AND ANY DESIGN OR PRODUCT IN WHICH DELIVERABLES MAY BE USED, INCLUDING, WITHOUT LIMITATION, ANY END PRODUCTS. SHOULD DELIVERABLES PROVE DEFECTIVE, EXCEPT AS OTHERWISE DESCRIBED UNDER THIS AGREEMENT, TTTECH ASSUMES NO LIABILITY FOR ANY COST OF ANY NECESSARY SERVICING, REPAIR, OR CORRECTION. No representation or other affirmation of fact, including but not limited to statement regarding capacity, suitability for use or performance of Deliverables, whether made by TTTech employees or otherwise, shall be deemed to be a warranty for any purpose or give rise to any liability of TTTech whatsoever.
7.2 For the avoidance of doubt Third Party Intellectual Property Deliverables and Software are provided on “AS IS” basis without warranty of any kind. To the fullest extent permitted by law, TTTech disclaims all promises, representations and warranties with respect to Third Party Intellectual Property Deliverables and Software, including without limitation implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and warranties of non-infringement. TTTech does not warrant that the operation of Third Party Intellectual Property Deliverables and Software will be uninterrupted or error-free or that defects in Third Party Intellectual Property Deliverables and Software will be corrected. TTTech does not make any promises, representations and warranties regarding the results and performance Third Party Intellectual Property Deliverables and Software or regarding the use or the results of the use of Third Party Intellectual Property Deliverables and Software.
7.3 Each Party represents to the other Party that it has the right to enter into this Agreement and to perform its obligations hereunder.
7.4 Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to Licensee in full but shall be interpreted to apply to the maximum extent permissible under applicable law.
