Execution, Authentication, Delivery and Dating The Securities shall be executed on behalf of the Company by the Chairman of the Board, any Vice Chairman, the President or any Vice President of its General Partner, or the Treasurer or any Assistant Treasurer of its General Partner, under its corporate seal reproduced thereon attested by the Secretary or any Assistant Secretary of its General Partner. The signature of any of these officers on the Securities may be manual or facsimile. Only such of the Bonds (whether temporary or definitive) as shall have been authenticated by the Trustee, by signing the certificate endorsed thereon, shall be secured by this Indenture, or shall be entitled to any lien or benefit hereunder, and such certificate of the Trustee shall be conclusive evidence and the only evidence that the Bonds so authenticated have been duly issued hereunder, and are entitled to the benefit of the trusts hereby created.

Such Officers' Certificates shall specify the amount of Notes to be authenticated and the date on which the Notes are to be authenticated, whether the Notes are to be Initial Notes, Additional Notes, Exchange Notes and/or Additional Dividend Notes, that, in the case of Additional Notes, the issuance of such Notes does not contravene any provision of Article 4 of this Indenture, whether the Notes are to be issued as one or more Global Notes or Physical Notes, the name or names of the Initial Holder or Holders and such other information as the Issuers may include or the Trustee may reasonably request.
