Common use of EXHIBITOR CONDUCT Clause in Contracts

EXHIBITOR CONDUCT. Retail sales at the Exhibition are permitted, provided that the Exhibitor complies with all laws and regulations regarding retail sales including but not limited to all laws and regulations regarding payment of sales tax. Exhibitor agrees to indemnify and hold harmless the Management, the Sponsor, Owner, Exhibition Hall Facility, and City in which this Exhibition is being held, their Officers, Agents and Employees, against all claims, losses, suits, damages, judgments, expenses, costs and charges of every kind resulting from retail sales of its products at the Exhibition. The Management shall not be responsible for loss or damage to goods made available for retail sale or the proceeds from the sale of such goods belonging to the Exhibitor, whether resulting from fire, storms, acts of God, air conditioning or heating failure, theft, pilferage, mysterious disappearance, bomb threats or other causes. All such items are brought to the Exhibition and sold and displayed at Exhibitor’s own risk, and should be safeguarded at all times. The distribution of samples, souvenirs, publications, etc., or other sales or sales promotion activities must be conducted by Exhibitor only from within his booth. The distribution of any articles that interferes with the activities or obstructs access to neighboring booths, or that impedes aisles, is prohibited. No article containing any product other than the product or materials made or processed or used by Exhibitor in his product or service may be distributed except by written permission of Management. The Exhibitor shall conduct and operate its exhibit so as not to annoy, endanger, or interfere with the rights of other Exhibitors and visitors. Any practice resulting in complaints from any other Exhibitor or any visitor who, in the opinion of Management, interferes with the right of others or exposes them to annoyance or danger, may be prohibited by Management.

No article containing any product other than the product or materials made or processed or used by Exhibitor in his its product or service may be distributed except by written permission of Management. In no event shall Exhibitor use its booth to promote any other exhibition or conference. However, consumer (public) shows will not be subjected to this restriction. The Exhibitor shall conduct and operate its exhibit so as not to annoy, endanger, endanger or interfere with the rights of other Exhibitors exhibitors and visitors. Any practice resulting in complaints from any other Exhibitor exhibitor or any visitor whowhich, in the opinion of Management, interferes with the right of others or exposes them to annoyance or danger, may in its sole discretion be prohibited by Management. 33A. Exhibitor Conduct: IP Disputes between Exhibitors/Service of Process & Orders. (i) Exhibitor agrees that neither it nor its agents (including but not limited to legal counsel or process servers) shall serve process on any other Exhibitor during the hours the Exhibition is open to attendees. (ii) If Exhibitor has obtained a writ, restraining order, injunction or other order of judicial/administrative relief against another Exhibitor, and Exhibitor has no reasonable alternative to serving such order on the other Exhibitor during the Exhibition, then Exhibitor (and its agents) shall use their respective best efforts to serve such order during the hours the Exhibition is closed to attendees. Notwithstanding the foregoing, prior to serving an order of judicial/administrative relief on another Exhibitor during the Exhibition, Exhibitor shall provide Management written notice of the order obtained (including a copy) so that a Management representative may escort Exhibitor (or its agent) to the booth of the Exhibitor to be served and minimize any disruption to the Exhibition caused by such service. (iii) Exhibitor agrees to use its best efforts to resolve any intellectual property disputes with other Exhibition exhibitors by no later than one week prior to the Exhibition’s first move-in day for Exhibitors and in a location other than the Exhibition venue. (iv) Exhibitor agrees to indemnify and hold harmless Management and the sponsor, owner, exhibition hall facility, and city in which this Exhibition is being held, and each of their respective officers, agents and employees, against all claims, losses, suits, damages, judgments, expenses, costs (including, without limitation, reasonable legal fees) and charges of every kind arising out of or resulting from (a) Exhibitor’s allegations of infringement against another Exhibitor, including Exhibitor’s service of process on another Exhibitor, (b) Exhibitor’s service of a judicial/administrative order on another Exhibitor, or (c) Exhibitor’s infringement of the intellectual property of any other party, regardless of whether the other party is an Exhibitor.
