Exhibits and Schedules; Integration. Each Exhibit and Schedule delivered pursuant to the terms of this Agreement shall be in writing and shall constitute a part of this Agreement, although such Exhibits and Schedules need not be attached to each copy of this Agreement. This Agreement, together with such Exhibits and Schedules and the letters between the parties of even date herewith, constitutes the entire agreement between the parties pertaining to the subject matter hereof and supersedes all prior agreements and understandings of the parties in connection therewith, including the Confidentiality Agreement dated February 25, 1999, by and between Seller and Buyer (other than Section 7 thereof, which shall survive such termination and continue in accordance with its terms).
Exhibits and Schedules; Integration. Each exhibit and schedule delivered pursuant to the terms of this Agreement shall be in writing and shall constitute a part of this Agreement, although such exhibits and schedules need not be attached to each copy of this Agreement. This Agreement, together with such exhibits and schedules, and the Related Documents constitute the entire agreement between the parties pertaining to the subject matter hereof and supersede all prior agreements and understandings of the parties in connection therewith except that the terms of the Letter Agreement dated November 23, 2004, between Seller and Buyer shall remain in full force and effect unless and until the Closing shall occur.
