Common use of Existence; Compliance with Legal Requirements Clause in Contracts

Existence; Compliance with Legal Requirements. Borrower shall do or cause to be done all things necessary to preserve, renew and keep in full force and effect its existence and all rights, licenses, permits, franchises and all applicable governmental authorizations necessary for the operation of the Property and comply with all Legal Requirements applicable to it and the Property.

Borrower shall (a) do or cause to be done all things reasonably necessary to preserve, renew and keep in full force and effect its existence and all rightsand, except to the extent same would not result in a Material Adverse Change, its licenses, permitspermits and franchises, franchises and all applicable governmental authorizations necessary for the operation of the Property and (b) comply with all Legal Requirements Laws applicable to it that if not complied with it would result in a Material Adverse Change and the Property(c) comply in all material respects with all Prescribed Laws.
