Existing Rights of First Refusal. Allied acknowledges that, prior to the Effective Date, Voyager granted certain rights of first refusal to other entities with respect to the development, construction and operation of a revolving vertical vehicle as more particularly described in the Radius Agreement (the "Prior Grants"). Allied and Voyager acknowledge and agree that with respect to each Prior Grant, Allied shall be granted a right of second refusal, effective upon the waiver of the right of first refusal by the third party or parties to such Prior Grant in accordance with its terms. Allied shall exercise such right of second refusal in accordance with the provisions of Section 5.2 hereof. In the event any Prior Grant expires or terminates pursuant to its terms, Allied shall automatically be granted a right of first refusal with respect thereto.

Existing Rights of First Refusal. If a party holding an Existing ROFR as to any Spectrum Rights exercises or purports to exercise such Existing ROFR (whether or not HITN agrees with the exercise of the Existing ROFR), then at such time as HITN enters into a lease or other use agreement with such third party for such Spectrum Rights or at such time that Flux is no longer entitled to full use of such Spectrum Rights pursuant to the IUA relating to such Spectrum Rights (either, a "Loss of Rights"), then HITN will, within fifteen (15) days following the Loss of Rights, (i) surrender to Flux those shares of Class A Common Stock issued to HITN pursuant to Article 2 with respect to the applicable Spectrum Rights (including any shares issued pursuant to Section 2.03 or Section 2.04, if any, with respect to the CPOPs relating to the applicable Spectrum Rights) and (ii) reimburse Flux, by wire transfer in immediately available funds to the account designated by Flux, all amounts paid to HITN pursuant to Article 2 with respect to the applicable Spectrum Rights. The number of shares described in clause (i) and the amount of cash described in clause (ii) shall be determined by Flux in accordance with the calculations set forth Article 2; provided that the calculation with respect to shares received under Section 2.01(a) shall be as set forth in Section 2.02(a) and the calculation with respect to cash received under Section 2.01(b) shall be as set forth in Section 2.02(b). If HITN disputes the exercise of the Existing ROFR, then HITN shall bear all costs and expenses related to such dispute, unless Flux requests in writing that HITN dispute the purported exercise of the Existing ROFR, in which case Flux shall bear the costs and expenses directly related to such dispute to the extent such costs and expenses are approved by Flux in writing in advance.
Existing Rights of First Refusal. If any party holding a right of first refusal as to any of the spectrum covered by any License or any Lease (an "Existing ROFR") exercises or purports to exercise such Existing ROFR, then at such time that the Company or Purchaser is no longer entitled to full use of the spectrum covered by such Lease or License pursuant to the terms of such Lease or License (a "Loss of Rights"), then Seller shall indemnify each of the Purchaser Indemnified Parties and hold them harmless from and against, any Losses attributable to such Loss of Rights, which shall include, without limitation, the value of the CPOPs covered by such spectrum that is the subject of the Loss of Rights.

The rights created by this Section 5 shall not apply to (a) the issuance and sale of Employee Shares, provided that the aggregate amount of Employee Shares shall not at any time exceed five percent (5%) of the outstanding Common Stock (on a fully-diluted basis), (b) the issuance of Company Securities to the Venture Investors at the Second Closing in accordance with the Securities Purchase Agreement, (c) the issuance of securities in connection with a Qualifying Initial Public Offering, or (d) the issuance of shares of Class A Common Stock or Class B Common Stock upon conversion of shares of Class B Common Stock or Class A Common Stock, respectively. The price and other terms and conditions upon which each of the Purchasers and their Affiliates may exercise the rights granted to them under this Section 5 shall be as established by the Company in connection with the authorization or approval of the subject offering or sale, which shall be set forth or summarized in a written notice issued to each of the Purchasers not less than thirty (30) days in advance of the date of the proposed offering or sale and which terms and conditions shall be no less favorable to each Purchaser and its Affiliates than those to be offered to all other Purchasers and their Affiliates. Each Purchaser and its Affiliates may exercise the subscription right granted pursuant to this Section 5 during the period of ten (10) days next following receipt of such written notice, such exercise to be signed and documented in such manner as the Company shall reasonably specify.

  • Financing Right of First Refusal (a) The Company hereby grants to the Purchaser a right of first refusal to provide any Additional Financing (as defined below) to be issued by the Company and/or any of its Subsidiaries, subject to the following terms and conditions. From and after the date hereof, prior to the incurrence of any additional indebtedness and/or the sale or issuance of any equity interests of the Company or any of its Subsidiaries (an "Additional Financing"), the Company and/or any Subsidiary of the Company, as the case may be, shall notify the Purchaser of its intention to enter into such Additional Financing. In connection therewith, the Company and/or the applicable Subsidiary thereof shall submit a fully executed term sheet (a "Proposed Term Sheet") to the Purchaser setting forth the terms, conditions and pricing of any such Additional Financing (such financing to be negotiated on "arm's length" terms and the terms thereof to be negotiated in good faith) proposed to be entered into by the Company and/or such Subsidiary. The Purchaser shall have the right, but not the obligation, to deliver its own proposed term sheet (the "Purchaser Term Sheet") setting forth the terms and conditions upon which Purchaser would be willing to provide such Additional Financing to the Company and/or such Subsidiary. The Purchaser Term Sheet shall contain terms no less favorable to the Company and/or such Subsidiary than those outlined in Proposed Term Sheet. The Purchaser shall deliver such Purchaser Term Sheet within ten business days of receipt of each such Proposed Term Sheet. If the provisions of the Purchaser Term Sheet are at least as favorable to the Company and/or such Subsidiary, as the case may be, as the provisions of the Proposed Term Sheet, the Company and/or such Subsidiary shall enter into and consummate the Additional Financing transaction outlined in the Purchaser Term Sheet.

  • Right of First Refusal Unless it shall have first delivered to the Buyer, at least seventy two (72) hours prior to the closing of such Future Offering (as defined herein), written notice describing the proposed Future Offering, including the terms and conditions thereof, and providing the Buyer an option during the seventy two (72) hour period following delivery of such notice to purchase the securities being offered in the Future Offering on the same terms as contemplated by such Future Offering (the limitations referred to in this sentence and the preceding sentence are collectively referred to as the “Right of First Refusal”) (and subject to the exceptions described below), the Company will not conduct any equity financing (including debt with an equity component) (“Future Offerings”) during the period beginning on the Closing Date and ending twelve (12) months following the Closing Date. In the event the terms and conditions of a proposed Future Offering are amended in any respect after delivery of the notice to the Buyer concerning the proposed Future Offering, the Company shall deliver a new notice to the Buyer describing the amended terms and conditions of the proposed Future Offering and the Buyer thereafter shall have an option during the seventy two (72) hour period following delivery of such new notice to purchase its pro rata share of the securities being offered on the same terms as contemplated by such proposed Future Offering, as amended. The foregoing sentence shall apply to successive amendments to the terms and conditions of any proposed Future Offering. The Right of First Refusal shall not apply to any transaction involving (i) issuances of securities in a firm commitment underwritten public offering (excluding a continuous offering pursuant to Rule 415 under the 1933 Act), (ii) issuances to employees, officers, directors, contractors, consultants or other advisors approved by the Board, (iii) issuances to strategic partners or other parties in connection with a commercial relationship, or providing the Company with equipment leases, real property leases or similar transactions approved by the Board (iv) issuances of securities as consideration for a merger, consolidation or purchase of assets, or in connection with any strategic partnership or joint venture (the primary purpose of which is not to raise equity capital), or in connection with the disposition or acquisition of a business, product or license by the Company. The Right of First Refusal also shall not apply to the issuance of securities upon exercise or conversion of the Company’s options, warrants or other convertible securities outstanding as of the date hereof or to the grant of additional options or warrants, or the issuance of additional securities, under any Company stock option or restricted stock plan approved by the shareholders of the Company.

  • Violation of First Refusal Right If any Key Holder becomes obligated to sell any Transfer Stock to the Company or any Investor under this Agreement and fails to deliver such Transfer Stock in accordance with the terms of this Agreement, the Company and/or such Investor may, at its option, in addition to all other remedies it may have, send to such Key Holder the purchase price for such Transfer Stock as is herein specified and transfer to the name of the Company or such Investor (or request that the Company effect such transfer in the name of an Investor) on the Company’s books any certificates, instruments, or book entry representing the Transfer Stock to be sold.

  • Waiver of Right of First Refusal The Company hereby waives any preexisting rights of first refusal applicable to the transactions contemplated hereby.

  • Assignment of Right of First Refusal The Company shall have the right to assign the Right of First Refusal at any time, whether or not there has been an attempted transfer, to one or more persons as may be selected by the Company.
