Buyer shall be solely responsible for the payment and discharge of all claims for brokerage commissions or finder's fees arising as a result of the retention, employment or other use of any broker or finder by Buyer and any of its directors, officers, employees or agents in connection with the transactions provided for herein or the negotiation thereof (which shall not constitute a Liability payable by Company, Water Subsidiaries or Seller).
Expenses to be Paid by Buyer. Buyer shall pay each of the following (none of which shall constitute a Liability payable by the Sellers):
(i) all claims for brokerage commissions or finder’s fees arising as a result of the retention, employment or other use of any broker or finder by Buyer and any of its shareholders, directors, officers, employees or agents in connection with the transactions provided for herein or the negotiation thereof; and
(ii) all fees and expenses of Buyer’s legal, accounting, investment banking and other professional counsel in connection with the transactions contemplated hereby.
Expenses to be Paid by Buyer. Buyer shall pay the filing fees for reports or notifications required to be filed under the HSR Act.
