Experience; Receipt of Information. Terayon has such knowledge and experience in business matters as to be capable of evaluating the merits and risks relating to the acquisition of the Company, and has reviewed and inspected all of the data and information provided to it by the Company in connection with this Agreement. Terayon has been furnished by the Company with all the documents and information regarding the Company which Terayon has requested, and has been afforded the opportunity to ask questions of and receive answers from duly authorized officers or other representatives of the Company concerning the Company's business, assets and financial position.

Experience; Receipt of Information. The Buyer has such knowledge and experience in business matters as to be fully capable of evaluating the merits and risks relating to the acquisition of the Company Shares, and has reviewed and inspected to its full satisfaction all of the data and information provided to it by the Seller and the Company in connection with this Agreement. The Buyer has been furnished by the Seller and the Company with documents and information regarding the Company, and has been afforded the opportunity to ask questions of and receive answers from duly authorized officers or other representatives of the Seller and the Company concerning the Company's business, assets, liabilities, Intellectual Property Rights, legal, regulatory and financial position. The Buyer acknowledges and represents that except for the representations and warranties expressly and specifically made by the Seller and the Company in Article 3 and Article 4, respectively, neither the Company nor the Seller make any representation or warranty, whether expressed or implied, and the Company and the Seller hereby disclaim all other representations and warranties of any kind or nature, express or implied. The foregoing, however, does not limit or modify the representations and warranties made by the Seller and the Company in Article 3 and Article 4 or the right of the Buyer to rely thereon.
Experience; Receipt of Information. Broadcom has such knowledge and experience in financial and business matters as to be capable of evaluating the merits and risks relating to the Transactions, and has reviewed and inspected all of the data and information provided to it by the Company in connection with this Agreement. Broadcom has been furnished by the Company with the documents and information regarding the Company in response to Broadcom's request, and has been afforded the opportunity to ask questions of and receive answers from duly authorized officers or other representatives of the Company concerning the Company's business, assets and financial position.
Experience; Receipt of Information. ECI has such knowledge and experience in business matters as to be capable of evaluating the merits and risks relating to the receipt of Warrants as part of the consideration for the Purchased Assets and ECI recognizes that exercise of the Warrants involves a high degree of risk and ECI has evaluated the merits and risks involved therein. ECI has been afforded the opportunity to ask questions of and receive answers from duly authorized officers or other representatives of Alvarion.
Experience; Receipt of Information. Without derogating from the Company's and ECI's representations contained in this Agreement and Alvarion's right to fully rely thereon, Alvarion represents that it has such knowledge and experience in business matters so as to be capable of evaluating the merits and risks relating to the acquisition of the Purchased Assets, and has reviewed and inspected all of the data and information provided to it by the Company in connection with this Agreement.

This representation shall not prejudice Buyer's reliance on the Seller's representations and warranties set forth in this Agreement.
Experience; Receipt of Information. The Purchaser confirms that: (i) it understands and is aware that the purchase of the Shares involves substantial business risk which it shall bear for an indefinite period, should be regarded as highly speculative and may cause it substantial or total loss of its investment; (ii) it had an opportunity to examine the Company, its proposed business and prospects and the related technology; (iii) it understands and is aware that the Company is party to an agreement with the OCS (iv) it has received information it requested from the Company and the Founders and independently reached its decision to invest in the Company; (v) it has the financial ability to enter into this Agreement and perform its obligations hereunder; and (vi) it is acquiring the Shares for its own account for investment and not with a view to sale or distribution of the Shares. The foregoing, however, does not limit or modify the representations and warranties of the Company and the Founders set forth in Section 4 hereof or the right of Purchaser to rely thereon.

Experience; Receipt of Information. The Investor represents that: (a) it has such knowledge and experience in financial and business matters as to be capable of evaluating the merits and risks of its prospective investment in the Shares, the Warrant and the Warrant Shares; (b) it believes it has received all the information it has requested from the Company and considers necessary or appropriate for deciding whether to obtain the Shares, the Warrant and the Warrant Shares; (c) it has had the opportunity to discuss the Company's business, management, and financial affairs with the Company's management; (d) it has the ability to bear the economic risks of its prospective investment; and (e) it is able, without materially impairing its financial condition, to hold the Shares, the Warrant and the Warrant Shares for an indefinite period of time and to suffer a complete loss on its investment.
Experience; Receipt of Information. Crystalix has such knowledge and experience in financial and business matters as to be capable of evaluating the merits and risks relating to the Transaction, and has reviewed and inspected all of the data and information provided to it by the Company in connection with this Agreement. Crystalix has been furnished by the Company with the documents and information regarding the Company in response to Crystalix's request, and has been afforded the opportunity to ask questions of and receive answers from duly authorized officers or other representatives of the Company concerning the Company's business, assets and financial position.
