Facilities Study Procedures. IPA, or a consultant approved by IPA, shall coordinate the Facilities Study with any Affected System pursuant to Section 3.4 above. IPA, or a consultant approved by IPA, shall utilize existing studies to the extent practicable in performing the Facilities Study. IPA, or a consultant approved by IPA, shall use Reasonable Efforts to complete the Facilities Study and issue a draft Facilities Study report to Interconnection Customer within ninety (90) calendar days after execution by both Parties of the Facilities Study Agreement. At the request of Interconnection Customer, or at any time IPA, or a consultant approved by IPA, determines that it will not meet the time frame specified above for completing the Facilities Study, IPA shall notify Interconnection Customer as to the schedule status of the Facilities Study. If IPA, or a consultant approved by IPA, is unable to complete the draft Facilities Study within the specified time period, IPA shall notify Interconnection Customer and provide an estimated completion date and an explanation of the reasons why additional time is required. Within ten (10) Business Days of providing a draft Facilities Study to Interconnection Customer, IPA and Interconnection Customer shall meet to discuss the draft Facilities Study. If a consultant approved by IPA was used to conduct the Facilities Study, that consultant will also attend the meeting to discuss the results of the study. Interconnection Customer may, within thirty (30) calendar days after receipt of the draft report, provide written comments to IPA. IPA, or a consultant approved by IPA, shall issue the final Facilities Study report within fifteen (15) Business Days after receipt of Interconnection Customer’s comments or promptly upon receiving Interconnection Customer’s statement that it will not provide comments. IPA, or a consultant approved by IPA, may reasonably extend such fifteen-day period upon notice to Interconnection Customer if Interconnection Customer’s comments require IPA, or a consultant approved by IPA, to perform additional analyses or make other significant modifications prior to the issuance of the final Facilities Study report.

Facilities Study Procedures. IPAIf a System Impact Study indicates that Network Upgrades are needed to accommodate the Eligible Customer's service request and the Transmission Provider has established that it is necessary to conduct a Facilities Study, or the Transmission Provider, after receipt of a consultant approved by IPAwritten request from the customer within the maximum three hundred and sixty-five (365) days for receipt of the System Impact Study, shall coordinate submit to the Eligible Customer a Facilities Study with any Affected System Agreement pursuant to Section 3.4 above. IPA, or a consultant approved by IPA, which the Eligible Customer shall utilize existing studies agree to reimburse the extent practicable in performing Transmission Provider for the cost of conducting the Facilities Study. IPAFor a service request to remain a Completed Application, or a consultant approved by IPAthe Eligible Customer shall execute the Facilities Study Agreement and return it to the Transmission Provider within fifteen (15) days. If the Eligible Customer elects not to execute the Facilities Study Agreement, its Application shall be deemed withdrawn and its deposit shall be returned with interest pursuant to Section 17.3. Upon receipt of an executed Facilities Study Agreement, the Transmission Provider shall use Reasonable Efforts due diligence to complete the required Facilities Study within the time allotted in the Facilities Study Agreement. If the Transmission Provider is unable to complete the Facilities Study and issue a draft Facilities Study report to Interconnection Customer within ninety (90) calendar days after execution by both Parties of in the Facilities Study Agreement. Interconnection When completed, the Facilities Study shall include a good faith estimate of: (i) the Eligible Customer's appropriate share of the cost of any required Network Upgrades that the Eligible Customer maymust reimburse to the Transmission Provider, within and (ii) the time required to complete such construction and initiate the requested service. The Transmission Customer has thirty (30) calendar days after following receipt of the draft report, provide written comments to IPA. IPA, or a consultant approved by IPA, shall issue the final Facilities Study report within fifteen to execute a Service Agreement, if one has not already been executed, or, for connection of a generating station, execute a Connection Agreement in a timely manner. The Transmission Customer shall provide the Transmission Provider with a letter of credit or other reasonable form of security acceptable to the Transmission Provider equivalent to the cost of Network Upgrades consistent with commercial practices as established under the law of Québec, failing which the request shall no longer be a Completed Application and shall be deemed terminated and withdrawn. Within the aforementioned thirty (1530) Business Days after receipt days, the Eligible Customer may, however, request that the period be extended up to a maximum of Interconnection Customer’s comments or promptly upon receiving Interconnection Customer’s statement one hundred and eighty (180) days if it is unable to meet the deadline of thirty (30) days due to delays in obtaining a government approval needed to complete its project and if it has demonstrated in writing to the Transmission Provider that it will not provide commentshas taken all reasonable steps needed to obtain such approval. At the request of Interconnection Customer, or at any time IPA, or a consultant approved by IPA, determines that it will not meet the time frame specified above for completing the Facilities Study, IPA shall notify Interconnection Customer as to the schedule status of the Facilities Study. IPA, or a consultant approved by IPAcompletion of the System Impact Study, shall issue tender to the final Eligible Customer a Facilities Study report Agreement in the form of Attachment D-2 pursuant to which the Eligible Customer shall agree to reimburse the Transmission Provider for performing the required Facilities Study. For a service request to remain a Completed Application, the Eligible Customer shall execute the Facilities Study Agreement and return it to the Transmission Provider with payment for the estimated costs of the Facilities Study (to the extent exceeding any unused deposit provided pursuant to Section 29.2) within fifteen (15) Business Days after days. Payment for Facilities Studies conducted by the Transmission Provider on its own behalf may be made through internal journal entries. If the Eligible Customer elects not to execute the Facilities Study Agreement, its Application shall be deemed withdrawn and its deposit shall be refunded, less reasonable costs incurred by the Transmission Provider that have not already been recovered from the Eligible Customer. Upon receipt of an executed Facilities Study Agreement, the Transmission Provider will use due diligence to complete the required Facilities Study within reasonable time period, taking into consideration the complexity of the study, the Transmission Provider’s resources, the number of other studies to be conducted and whether or not the Eligible Customer has requested a study to be conducted under the Transmission Provider’s Open Access Interconnection Tariff that involves the same transmission service. If the Transmission Provider is unable to complete the Facilities Study in the estimated time period, the Transmission Provider shall notify the Eligible Customer and provide an estimate of the additional time needed to reach a final determination along with an explanation of the reasons that additional time is required to complete the study. When completed, the Facilities Study will include a good faith estimate of: (i) the cost of Direct Assignment Facilities to be charged to the Eligible Customer; (ii) the Eligible Customer’s comments or promptly upon receiving Interconnection Customer’s statement that it will not provide commentsappropriate share of the cost of any required Network Upgrades; and (iii) the time required to complete such construction and initiate the requested service. IPAUpon completion, or a consultant approved by IPA, may reasonably extend such fifteen-day period upon notice to Interconnection Customer if Interconnection Customer’s comments require IPA, or a consultant approved by IPA, to perform additional analyses or make other significant modifications prior copy of the Facilities Study and related work papers shall be made available to the issuance Eligible Customer. At the request of Interconnection Customer, or at any time IPA, or a consultant approved by IPA, determines that it will not meet the time frame specified above for completing the Facilities Study, IPA shall notify Interconnection Customer as to the schedule status of the Facilities Study. If IPA, or a consultant approved by IPA, is unable to complete the draft Facilities Study within the specified time period, IPA shall notify Interconnection Customer and provide an estimated completion date and an explanation of the reasons why additional time is required. IPA, or a consultant approved by IPA, shall issue the final Facilities Study report within fifteen twenty-five (1525) Business Days after receipt of Interconnection Customer’s comments or promptly upon receiving Interconnection Customer’s statement that it will not provide comments. IPA, or a consultant approved by IPA, may reasonably extend such fifteen-day period upon notice to Interconnection Customer if Interconnection Customer’s comments require IPA, or a consultant approved by IPA, to perform additional analyses or make other significant modifications prior to the issuance of the final Facilities Study report.
