Facility Purchase. All conditions in Article 9 of the Facility Purchase Agreement to the consummation of the “Closing” under, and as such term is defined in, the Facility Purchase Agreement shall have been fulfilled or waived in a manner acceptable to Purchaser, and Seller and Facility Purchaser shall be ready to and shall effect such Closing contemporaneously with the Closing under this Agreement.
Facility Purchase. The Board is authorized to take necessary actions to close on purchasing the Facility. The Counties agree to cooperate, execute documents, and perform other acts as reasonably necessary to complete the acquisition.
