Failure to Complete Prior Actions. If the Organizer does not substantially complete any of these Prior Actions in a timely manner, the Mayor shall be permitted to exercise revocation rights under Paragraph 16.4c of the Charter, subject to the notice and cure provisions set forth under Paragraph 16.5 of the Charter. REQUIREMENTS FOR CONTRACTING WITH EDUCATIONAL MANAGEMENT ORGANIZATIONS If, at any time, the Organizer intends to enter into a contract or make any modifications or amendments to an existing contract (together, the "Service Contract") with an educational management organization (the "EMO"), defined as any third party organization, that will manage or operate the Charter School or provide any substantial portion of the managerial or instructional staff to the Charter School, all of the following requirements must first be met by the Organizer:
