Failure to Deliver Gas. The Seller will be liable to the Buyer for any loss or damage suffered by the Buyer as a result of failure to deliver Gas under the Agreement provided that: (a) the Seller will have no liability for any indirect or consequential loss or damage, or for any loss of profits, suffered by the Buyer; and (b) the aggregate liability of the Seller to the Buyer or any other person under or in relation to the Agreement, including for any failure to deliver Gas under the Agreement will be limited to the least of (i) the actual costs incurred by the Buyer as a result of the default, (ii) the difference between the reasonable costs and expenses incurred by the Buyer in obtaining delivery of alternate supply of Gas and the amount that would have been paid to the Seller under the Agreement or (iii) the Contract Price multiplied by the quantity of Gas not delivered; and (c) The Seller will not be liable for failure to deliver Gas as a result of Permitted Interruptions or Force Majeure. * Material has been omitted pursuant to a request for confidential treatment, and such material has been filed separately with the Securities and Exchange Commission. Failure to Deliver Gas. 18.1 If the Seller is unable (other than by reason of a Force Majeure Event, the Buyer's failure or inability to accept delivery, or for any reason specified under Clauses 5.1(c), 12.2 and 15) to deliver any quantity of --------------------------- Gas to meet a Nominated Daily Take ("Undelivered Gas") then: (a) the Seller may cause ENERGEX Retail Pty Ltd. and or other sources to deliver an alternate supply of Gas equivalent in quality and quantity to the Undelivered Gas at Seller's sole cost and expense on the Nominated Day at a point of delivery which may be reasonably acceptable to Buyer; and (b) if Seller fails to cause third parties to deliver an alternate supply of Gas, (i) the Buyer may obtain an alternate supply of Gas equivalent in quantity and quality to the Undelivered Gas on the Nominated Day without giving notice to Seller pursuant to Clause 8 and (ii) subject -------- to Clause 18.2, the Seller will pay to the Buyer within 14 days of ----------- receipt of a statement from the Buyer the amount by which the reasonable costs and expenses incurred by the Buyer in obtaining delivery of that alternate supply exceeds the amount that would have been paid to the Seller under this Agreement for the Undelivered Gas had it been delivered. 18.2 If the Seller fails to deliver any quantity of Gas to meet a Nominated Daily Take, and the Buyer has been unable to obtain an alternate supply of Gas for any reason, the Seller will not be liable for or be obligated to Buyer in respect of any costs, damages, expenses or other amounts incurred or suffered by Buyer.

  • Failure to Deliver Shares Company understands that a delay in the issuance of Common Stock could result in economic damage to the Investor. If the Company fails to cause the delivery of the Shares when due, the Company shall pay to the Investor on demand in cash by wire transfer of immediately available funds to an account designated by the Investor as liquidated damages for such failure and not as a penalty, an amount equal to five percent (5%) of the payment required to be paid by the Investor on such Settlement Date (i.e., the Advance Amount) for the initial 30 days following such date until the Shares have been delivered, and an additional 5% for each additional 30-day period thereafter until the Shares have been delivered. If, by the third (3rd) business day after the Closing Date, the Company fails to deliver any portion of the shares of the Put to the Investor (the "Advance Shares Due") and the Investor purchases, in an open market transaction or otherwise, shares of Common Stock necessary to make delivery of shares which would have been delivered if the full amount of the shares to be delivered to the Investor by the Company (the "Open Market Share Purchase") , then the Company shall pay to the Investor, in addition to any other amounts due to Investor pursuant to the Put, and not in lieu thereof, the Open Market Adjustment Amount (as defined below). The "Open Market Adjustment Amount" is the amount equal to the excess, if any, of (x) the Investor's total purchase price (including brokerage commissions, if any) for the Open Market Share Purchase minus (y) the net proceeds (after brokerage commissions, if any) received by the Investor from the sale of the Advance Shares Due. The Company shall pay the Open Market Adjustment Amount to the Investor in immediately available funds within two (2) business days of written demand by the Investor. By way of illustration and not in limitation of the foregoing, if the Investor purchases shares of Common Stock having a total purchase price (including brokerage commissions) of $11,000 to cover an Open Market Purchase with respect to shares of Common Stock it sold for net proceeds of $10,000, the Open Market Purchase Adjustment Amount which the Company will be required to pay to the Investor will be $1,000.

  • Failure to Deliver Certificates If, in the case of any Notice of Conversion, such certificate or certificates are not delivered to or as directed by the applicable Holder by the Share Delivery Date, the Holder shall be entitled to elect by written notice to the Company at any time on or before its receipt of such certificate or certificates, to rescind such Conversion, in which event the Company shall promptly return to the Holder any original Note delivered to the Company and the Holder shall promptly return to the Company the Common Stock certificates issued to such Holder pursuant to the rescinded Conversion Notice.

  • Failure to Deliver Conversion Shares If, in the case of any Notice of Conversion, such Conversion Shares are not delivered to or as directed by the applicable Holder by the Share Delivery Date, the Holder shall be entitled to elect by written notice to the Company at any time on or before its receipt of such Conversion Shares, to rescind such Conversion, in which event the Company shall promptly return to the Holder any original Debenture delivered to the Company and the Holder shall promptly return to the Company the Conversion Shares issued to such Holder pursuant to the rescinded Conversion Notice.

  • Failure to Cure If DSHS learns of a pattern or practice of the Business Associate that constitutes a violation of the Business Associate’s obligations under the terms of this Contract and reasonable steps by DSHS do not end the violation, DSHS shall terminate this Contract, if feasible. In addition, If Business Associate learns of a pattern or practice of its Subcontractors that constitutes a violation of the Business Associate’s obligations under the terms of their contract and reasonable steps by the Business Associate do not end the violation, Business Associate shall terminate the Subcontract, if feasible.

  • Failure to Timely Deliver; Buy-In If the Company fails to (i) issue and deliver (or cause to be delivered) to the Investor by the Required Delivery Date a certificate representing the Securities so delivered to the Company by such Investor that is free from all restrictive and other legends or (ii) credit the balance account of such Investor’s or such Investor’s nominee with DTC for such number of Conversion Shares so delivered to the Company, then, in addition to all other remedies available to such Investor, the Company shall pay in cash to such Investor on each day after the Required Delivery Date that the issuance or credit of such shares is not timely effected an amount equal to 2% of the original principal amount of such Investor’s Note. In addition to the foregoing, if the Company fails to so properly deliver such unlegended certificates or so properly credit the balance account of such Investor’s or such Investor’s nominee with DTC by the Required Delivery Date, and if on or after the Required Delivery Date such Investor (or any other Person in respect, or on behalf, of such Investor) purchases (in an open market transaction or otherwise) shares of Common Stock to deliver in satisfaction of a sale by such Investor of all or any portion of the number of shares of Common Stock, or a sale of a number of shares of Common Stock equal to all or any portion of the number of shares of Common Stock, that such Investor so anticipated receiving from the Company without any restrictive legend, then, in addition to all other remedies available to such Investor, the Company shall, within three (3) Trading Days after such Investor’s request and in such Investor’s sole discretion, either (i) pay cash to such Investor in an amount equal to such Investor’s total purchase price (including brokerage commissions and other out-of-pocket expenses, if any) for the shares of Common Stock so purchased (including brokerage commissions and other out-of-pocket expenses, if any) (the “Buy-In Price”), at which point the Company’s obligation to so deliver such certificate or credit such Investor’s balance account shall terminate and such shares shall be cancelled, or (ii) promptly honor its obligation to so deliver to such Investor a certificate or certificates or credit such Investor’s DTC account representing such number of shares of Common Stock that would have been so delivered if the Company timely complied with its obligations hereunder and pay cash to such Investor in an amount equal to the excess (if any) of the Buy-In Price over the product of (A) such number of shares of Conversion Shares that the Company was required to deliver to such Investor by the Required Delivery Date multiplied by (B) the lowest Closing Sale Price (as define in the Note) of the Common Stock on any Trading Day during the period commencing on the date of the delivery by such Investor to the Company of the applicable Conversion Shares and ending on the date of such delivery and payment under this clause (ii).
