Common use of Failure to Obtain Financing Clause in Contracts

Failure to Obtain Financing. In the event Developer, despite exercising its reasonable and best efforts to obtain required construction financing for Phase II, fails to obtain financing as specified in the Agreement by the time required in Section 3.10.1(a) and in the Schedule of Performance, either Developer or Authority may terminate this Agreement as provided in Sections 6.4 and 6.5 hereof, respectively.

Failure to Obtain Financing. In the event Developer, despite exercising its reasonable and best efforts to obtain required construction financing for Phase III, fails to obtain financing as specified in the Agreement by the time required in Section 3.10.1(a) and in the Schedule of Performance, either Developer or Authority may terminate this Agreement as provided in Sections 6.4 and 6.5 hereof, respectively.

In the event Developer, despite exercising its reasonable and best efforts to obtain required construction financing for Phase IIthe Project, fails to obtain financing as specified in the Agreement by the time required in Section 3.10.1(a310.1(a) and in the Schedule of PerformancePerformance to be attached to each Implementation Agreement for the Project, either Developer or Authority Authority/Agency may terminate this Agreement as provided in Sections 6.4 604 and 6.5 605 hereof, respectively.

In the event Developer, despite exercising its reasonable and best efforts to obtain required construction financing for Phase IIthe applicable Project, fails to obtain financing as specified in the Agreement by the time required in Section 3.10.1(a310.1(a) and (b) and in the Schedule of PerformancePerformance attached hereto and as appended to each Implementation Agreement for each Project, either Developer or Authority may terminate this Agreement as provided in Sections 6.4 604 and 6.5 605 hereof, respectively.
