Feature Bundle. When the Software is the Feature Bundle, the following additional terms and conditions apply: (a) Customer’s rights to the Software under the first sentence of Section 3(a) are limited to the right to download, install, use and run the Feature Bundle solely in connection with Customer’s authorized use of Cycle. (b) If Customer or any of its Representatives (other than Company and its Representatives) solely develop or create any new Feature Bundle components or improvements or enhancements to any existing Feature Bundle components (collectively, “Novel Feature Bundle Components”), or if Company has developed or created any Novel Feature Bundle Components specifically and uniquely for Customer under and pursuant to a separate written services agreement or Statement of Work executed by the Parties, then: (1) Customer shall be and remain the owner of all right, title and interest in and to such Novel Feature Bundle Components and all Intellectual Property Rights in and related thereto; (2) such Novel Feature Bundle Components that are developed or created by Company in the manner described above, to the extent possible, shall be considered “work made for hire” for Customer, and to the extent such work is determined not to constitute “work made for hire” as a matter of law, Company hereby irrevocably assigns and transfers to Customer, as of the time of creation of the Novel Feature Bundle Components, any and all right, title, or interest it may have in such Novel Feature Bundle Components, including all Intellectual Property Rights in or related thereto; and (3) Customer hereby grants to Company a non-exclusive, royalty-free, irrevocable, perpetual, fully paid-up, fully transferable, worldwide right and license (with rights to sublicense through multiple tiers of sublicensees) to copy, modify, use, make derivative works of, perform, display, distribute and otherwise exercise any and all present and future Intellectual Property Rights in and related to all Novel Feature Bundle Components (excluding any Customer Confidential Information that may be incorporated in such Novel Feature Bundle Components), including for the benefit of Customer or Company’s other customers.

  • Service Description 2.1 General

  • Unbundled Network Elements 35.4.1. The charges that CLEC shall pay to Sprint for Unbundled Network Elements are set forth in Table One of this Agreement. 35.5. Collocation 35.5.1. The charges that CLEC shall pay to Sprint for Collocation are set forth in Table Two of this Agreement. 35.6. Call Related Databases 6.1. The charges that CLEC shall pay to Sprint for Call Related Databases purchased pursuant to Part J are set forth in Table One of this Agreement.

  • Network Interface Device 4.1 The NID is defined as any means of interconnection of end-user customer premises wiring to BellSouth’s distribution plant, such as a cross-connect device used for that purpose. The NID is a single-line termination device or that portion of a multiple-line termination device required to terminate a single line or circuit at the premises. The NID features two independent xxxxxxxx or divisions that separate the service provider’s network from the End User’s on-premises wiring. Each chamber or division contains the appropriate connection points or posts to which the service provider and the End User each make their connections. The NID provides a protective ground connection and is capable of terminating cables such as twisted pair cable. 4.1.1 BellSouth shall permit Al-Call to connect Al-Call ’s loop facilities to on-premises wiring through the BellSouth NID or at any other technically feasible point.

  • Unbundled Voice Loop SL2 (UVL-SL2) loops may be 2-wire or 4-wire circuits, shall have remote access test points, and will be designed with a DLR provided to NuVox. SL2 circuits can be provisioned with loop start, ground start or reverse battery signaling. OC is provided as a standard feature on SL2 loops. The OC feature will allow NuVox to coordinate the installation of the loop with the disconnect of an existing customer‟s service and/or number portability service. In these cases, AT&T will perform the order conversion with standard order coordination at AT&T‟s discretion during normal work hours.

  • Functionality Customer is entitled to additional functionality previously purchased or bundled with the software if available in the version or update released on or after the start date of the Agreement. Customer acknowledges that certain functionality in current and previous software versions may not be available in future upgrades. Added functionality may require additional paid services (clinical and technical) to configure and support.

  • Unbundled Voice Loops (UVLs) 2.2.1 BellSouth shall make available the following UVLs:

  • Service Descriptions Credit Card processing services: Global Direct’s actions to the appropriate card associations and/or issuers (e.g., Visa, MasterCard, Diners, Discover); settlement; dispute resolution with cardholders’ banks; and transaction-related reporting, statements and products. Debit/ATM Processing Services: Global Direct has connected to the following debit card networks (“Networks”): Accel, AFFN, Interlink, MAC, Maestro, NYCE, Pulse, Star, and Tyme. Global Direct will provide Merchant with the ability to access the Networks that Global Direct has connected to for the purpose of authorizing debit card transactions at the point of sale from cards issued by the members of the respective Networks. Global Direct will provide connection to such Networks, terminal applications, settlement and reporting activities. EBT Transaction Processing Services: Global Direct offers electronic interfaces to Electronic Benefits Transfer (“EBT”) networks for the processing of cash payments or credits to or for the benefit of benefit recipients (“Recipients”). Global Direct will provide settlement and switching services for various Point of Sale transactions initiated through Merchant for the authorization of the issuance of the United States Department of Agriculture, Food and Nutrition Services (“FNS”) food stamp benefits (“FS Benefits”) and/or government delivered cash assistance benefits (“Cash Benefits, ”with FS Benefits, “Benefits”) to Recipients through the use of a state-issued card (“EBT Card”). With respect to Visa and MasterCard products, Merchant agrees to pay and Merchant's account(s) will be charged pursuant to Section 5 of this Agreement for any additional fees incurred as a result of Merchant's subsequent acceptance of transactions with any Visa or MasterCard product that it has not elected to accept.

  • Interface A defined set of transmission facilities that separate Load Zones and that separate the NYCA from adjacent Control Areas. Investor-Owned Transmission Owners. A Transmission Owner that is owned by private investors. At the present time these include: Central Xxxxxx Gas & Electric Corporation, Consolidated Edison Company of New York, Inc., New York State Electric & Gas Corporation, Niagara Mohawk Power Corporation, Orange and Rockland Utilities, Inc., and Rochester Gas and Electric Corporation.
