Federal Government Customers. The Subscription Service is a “commercial item” consisting of “commercial computer software” as defined in FAR 2.101. Smartsheet provides the Subscription Service for federal government end use in accordance with FAR 12.211 (Technical Data) and FAR 12.212 (Computer Software), and for Department of Defense agencies in accordance with DFAR 227.7202 (Commercial Computer Software and Commercial Computer Software Documentation).

Federal Government Customers. 17.1 U.S. Federal Government Customers. Kion provides the Software Platform and related Documentation for ultimate federal government end use solely in accordance with the following: Government technical data and software rights related to the Software include only those rights customarily provided to the public as defined in this Agreement. This customary commercial license is provided in accordance with Federal Acquisition Regulation (“FAR”) FAR 12.211 (Technical Data) and FAR 12.212 (Software) and, for Department of Defense transactions, Defense FAR Supplement (“DFARS”) DFARS 252.227-7015 (Technical Data- Commercial Items) and DFARS 227.7202-03 (Rights in Commercial Computer Software or Computer Software Documentation). Customer agrees that the Software Platform meets the definition of “commercial item” in FAR 2.101 and that all of the Software Platform’s components were developed exclusively at private expense. If a government agency has a need for rights not conveyed under these terms, it must negotiate with Kion to determine if there are acceptable terms for transferring such rights, and a mutually acceptable written addendum signed by both parties, specifically conveying such rights must be included in any applicable contract or agreement.

Pitstop provides the Services for federal government end use in accordance with FAR 12.211 (Technical Data) and FAR 12.212 (Computer Software), and for Department of Defense agencies in accordance with DFAR 227.7202 (Commercial Computer Software and Commercial Computer Software Documentation).
