Fees and Expenses of the Custodian. It is understood that the Custodian will charge such fees for its services under this Agreement as are set forth in a separate agreement between the Custodian and MLCC, the payment of which, together with the Custodian's expenses in connection herewith, shall be solely the obligation of the Registered Holder with respect to the related Mortgage Loans.
Fees and Expenses of the Custodian. The Custodian shall charge such fees for its services under this Agreement as are set forth in a separate agreement between the Custodian and the Sellers, the payment of which fees, together with the Custodian’s expenses (including legal fees and expenses) in connection herewith, shall be solely the obligation of the Sellers. The foregoing obligation to pay the Custodian its fees and reimburse the Custodian for its expenses in connection with services provided by the Custodian hereunder shall survive any resignation or removal of the Custodian (for all fees and expenses incurred prior to such resignation or removal) or the termination or assignment of this Agreement.
Fees and Expenses of the Custodian. The Participant and/ or the Account shall pay the Custodian fees and expenses for its services under this Plan in accordance with the Custodian’s current Fee Schedule applicable to the Plan and as otherwise set forth in this Agreement. The Custodian may receive a service fee from third parties such as broker-dealer, mutual fund or other investment sponsor, including Rule 12b-1 and revenue sharing fees, for administrative and other services that the Custodian performs incident to the establishment and maintenance of records for any account and the Participant acknowledges and agrees to the Custodian’s receipt of such amounts. If the Participant dies before distribution of his or her entire Account, the Beneficiary shall assume responsibility for all fees and expenses associated with this Account, and shall be covered by this provision 8(a) as if the Beneficiary was the Participant.
Fees and Expenses of the Custodian. The Custodian may charge a reasonable fee for custodial services, which will cover all normal and reasonable expenses of holding the shares. Such fees and expenses shall be paid by PURCHASER.
Fees and Expenses of the Custodian. 8.1.1 The Custodian shall be reimbursed by the Client for all disbursements made and expenses incurred in the performance of the duties of the Custodian hereunder or arising out of this Agreement and shall be entitled to such fees as may from time to time be set out by the Custodian in a fee schedule which the Client hereby acknowledges having received.
8.1.2 The Custodian is permitted to change the fee schedule in place on thirty (30) days’ written notice to the Client or the Investment Manager.
8.1.3 All compensation shall be paid by the Client within thirty (30) days of the date the Custodian sends to the Client an invoice or account for same by any means described in subsection 6.3 for the giving of notice. The Client acknowledges that late payment of compensation may be subject to interest charges as indicated on the invoice or account.
8.1.4 The Client hereby grants a security interest in the Account as continuing collateral security for the payment of any amount
Fees and Expenses of the Custodian. Vivendi and Vivendi Exchangeco jointly and severally agree to pay the Custodian reasonable compensation for all of the services rendered by it under this Agreement and will reimburse the Custodian for all reasonable expenses (including, but not limited to, fees and expenses of the Accredited Intermediary, fees paid to legal counsel and other experts and advisors and travel expenses) and disbursements, including the cost and expense of any suit or litigation of any character and any proceedings before any governmental agency reasonably incurred by the Custodian in connection with its duties under this Agreement; provided that Vivendi and Vivendi Exchangeco shall have no obligation to reimburse the Custodian for any expenses or disbursements paid, incurred or suffered by the Custodian in any suit or litigation in which the Custodian is determined to have acted in bad faith or with negligence, recklessness or wilful misconduct.
Fees and Expenses of the Custodian. It is understood that the Custodian shall be entitled to charge fees and receive reimbursement for reasonable out-of-pocket expenses under this Agreement, as specified in that certain “Schedule of Fees” attached hereto as Exhibit G, and such fees and expenses shall be payable solely pursuant to Section 2.06(b) of the Loan Agreement.
Fees and Expenses of the Custodian. It is understood that the Custodian ---------------------------------- will charge the Servicer such fees for its services, and shall be entitled to reimbursement from the Issuer for expenses, under this Agreement as are set forth on the separate fee letter submitted to the Issuer by the Custodian.
Fees and Expenses of the Custodian. The Company agrees to pay the Agent the fees and expenses set forth on Schedule IV hereto in accordance with the terms thereof for the services rendered hereunder. Such fees and expenses shall be subject to adjustment from time to time in accordance with the Agent's customary practice. The Company shall also reimburse the Agent on demand for all out of pocket expenses (including Attorney Costs) incurred in connection with its duties as custodian hereunder.
Fees and Expenses of the Custodian. It is understood and agreed that the Custodian shall be entitled to receive the fee (the “Custodian Fee”) and receive reimbursement for reasonable out-of-pocket expenses under this Agreement, each as specified in that certain “Schedule of Fees for Custodian” attached hereto as Annex II. No later than the 5th Business Day of each month, the Custodian shall deliver to the Purchaser a monthly itemized invoice that sets forth the Custodian Fee due and payable for the immediately preceding month, and the Purchaser shall pay the Custodian the Custodian Fee set forth in each such invoice within thirty days after its receipt of such invoice; provided, however, that the failure of the Custodian to deliver any such invoice shall not excuse the Purchaser from its obligation to pay any Custodian Fee.
