Fees and Other Amounts Payable to the Master Servicer. The Master Servicer shall be entitled to either retain or withdraw from the Master Servicer Account (i) the Master Servicing Fee, (ii) amounts necessary to reimburse itself for any previously unreimbursed Advances, (iii) an aggregate annual amount to indemnify the Master Servicer for amounts due in accordance with Section 8.01(b), 8.11 and 8.12 hereof, and (iv) any other amounts that it is entitled to receive hereunder for reimbursement, indemnification or otherwise. The Master Servicer shall be required to pay all expenses incurred by it in connection with its activities hereunder and shall not be entitled to reimbursement therefor except as provided in this Trust Agreement.

  • Tax and Other Liabilities Neither Seller nor any Seller Subsidiary has any liability of any nature, accrued or contingent, including without limitation liabilities for Taxes and liabilities to customers or suppliers, other than the following:
