Fees for Transition Services. The fees to be charged for each Transition Service are set forth on Schedule A and the billing, payment and other terms therefor are set forth on Schedule B. The fees to be charged for each Transition Service may be adjusted from time to time, upon reasonable notice to the Buyer (including appropriate documentation), but only to the extent that there is an adjustment after the date hereof in the costs actually incurred by Parent and/or its Subsidiaries in providing such Transition Service due to changes in the costs charged by a Third Party Service Provider in connection with such Transition Service.

On or before the twentieth (20th) day of each month following the end of a month or Fiscal Quarter (at Provider’s discretion) during the Term, or following the month during which a Service Termination Date for particular Transition Services occurs, Provider shall prepare and deliver (or cause its applicable Affiliate to prepare and deliver) to Recipient an invoice or invoices, as applicable (each, an “Invoice”), setting forth the amounts payable by Recipient, or by an Affiliate of Recipient, if applicable, for the Transition Services during the preceding month, Fiscal Quarter or portion of a Fiscal Quarter, as the case may be. Such amounts shall be calculated in accordance with the prices set forth in the applicable Schedules. The first Fiscal Quarter shall be deemed to be the period beginning on the date of this Agreement and ending on December 31, 2016.
Fees for Transition Services. There shall be no fees payable for Transition Services performed until May 1, 2004. On and after that date and until the end of the Transition Period, in consideration for the Transition Services provided hereunder, Guilford shall pay Merck 0.3% percent of Gross Sales subject to Transition Services.

Section 4.2 Flowr shall protect, defend, indemnify and hold harmless OpCo and its Affiliates from any and all Losses, which directly or indirectly arise out of or relate , directly or indirectly, to the Transition Services or any breach of this Agreement by Flowr (including, for certainty, any failure to provide or perform the Transition Services), unless such Losses result from the gross negligence or willful misconduct of OpCo.
