Fees of Legal Counsel. In the event any Party to this Agreement shall employ legal counsel to protect its rights hereunder or to enforce any term or provision hereof, the Party prevailing in any such action shall have the right to recover from the other party all of its reasonable attorneys' fees and expenses incurred in relation to such claims, as approved by the court on the basis of customary fees charged by attorneys in the State of Delaware.
Fees of Legal Counsel. In the event either party to this MOU shall employ legal counsel to protect its rights hereunder or to enforce any term or provision hereof, the party prevailing in any such action shall have the right to recover from the other party all of its reasonable attorneys’ fees and expenses incurred in relation to such claims.

If any Party shall employ any attorney to file a lawsuit to protect its rights hereunder or to enforce any provision hereof, the Party prevailing in any such lawsuit may recover from the other Party all of its reasonable attorneys’ fees and expenses incurred in relation thereto.

In the event a Holder shall employ legal counsel to protect its rights hereunder or to enforce any term or provision hereof, such attorneys' fees and other legal expenses shall become part of the Secured Debt described in the Security Agreement and shall be payable by Company to a Holder upon demand.

In the event a Lender or Collateral Agent shall employ legal counsel to protect its rights hereunder or to enforce any term or provision hereof or to protect its interest in the Collateral, such attorneys' fees and other legal expenses shall become part of the Secured Debt and shall be payable by Debtor to a Lender and Collateral Agent upon demand. The Debtor shall pay all fees and expenses of the Lenders and Collateral Agent in connection with the negotiation and consummation of this agreement and the Loan Documents.
Fees of Legal Counsel. In the event a Lender or Collateral Agent shall employ legal counsel to protect its rights hereunder or to enforce any term or provision hereof or to protect its interest in the Collateral, such attorneys' fees and other legal expenses shall become part of the Secured Debt and shall be payable by Debtor to a Lender and Collateral Agent upon demand. The Debtor shall pay all fees and expenses of the Lenders and Collateral Agent in connection with the negotiation, consummation and implementation of this Agreement and the Loan Documents and the performance of its obligations hereunder.

In the event any Party shall employ legal counsel to protect its rights hereunder or to enforce any term or provision hereof, the Party prevailing in any such action shall have the right to recover from its adverse Parties all of its reasonable attorneys' fees and expenses incurred in relation to such claims, as approved by the court on the basis of customary fees charged by attorneys in the State of New York.

In the event any of the Secured Parties shall employ legal counsel to protect its rights hereunder or to enforce any term or provision hereof or to protect its interest in the Collateral, such attorney's fees and other legal expenses shall become part of the Secured Debt and shall be payable by Debtor to each Secured Party upon demand, with interest from the date of demand until paid at the rate of ten percent (10%) per annum.
