Filing with SEC. Within ten business days following the date of this Agreement, TheInternetCorp shall prepare and file with the SEC under the Securities Act of 1933, a registration statement on Form S-4 covering all shares of TheInternetCorp Stock issuable as a consequence of the Exchange. Prior to such filing, Cycle-Parts shall supply to TheInternetCorp, for inclusion in the Initial Registration Statement, the Financial Statements (as hereinafter defined). Concurrent with the filing of the Initial Registration Statement, TheInternetCorp shall also prepare and file with the SEC, a preliminary proxy statement (the "Proxy Statement"; the Proxy Statement and the Initial Registration Statement are collectively referred to as the "Registration Statement") pertaining to the Exchange. Cycle-Parts shall cooperate fully with TheInternetCorp in the preparation and filing of the Registration Statement and any amendments and supplements thereto. The Registration Statement shall not be filed, and no amendment or supplement thereto shall be made by TheInternetCorp, without prior consultation with and the consent of Cycle-Parts, which consent shall not be unreasonably withheld or delayed. As promptly as practicable but in no event later than the Effective Date, TheInternetCorp shall prepare its Rule 15c- 211 disclosure document and have its proposed marketmaker file Form 211 with the NASD asking permission to have the TheInternetCorp Stock listed for trading on the OTC Bulletin Board ("BB").
Filing with SEC. So long as any of the Issuable Securities are --------------- outstanding, Seller shall file with the SEC the annual reports and quarterly reports and the information, documents and other reports that are required to be filed with the SEC pursuant to Sections 13 and 15 of the Exchange Act, so long as Seller has or is required to have a class of securities registered under the Exchange Act and is then subject to the reporting requirements of the Exchange Act, at the xxxx Xxxxxx is required to file the same with the SEC and, promptly after Seller is required to file such reports, information or documents with the SEC, to mail copies of such reports, information and documents to the holders of the Series A Preferred Stock, Series B Preferred Stock, the Conversion Shares, Series C Preferred Stock and the Series C Redemption Shares at their addresses set forth in the register maintained by the transfer agent therefor.
Filing with SEC. Within fifteen business days following the effective date of this Agreement, Mill Creek shall prepare and file with the SEC its Form 8-K, regarding this reorganization. As promptly as practicable but in no event later than the Effective Date, Mill Creek shall prepare its Rule 15c-211 disclosure document and have its proposed marketmaker file Form 211 with the NASD asking permission to have the Mill Creek Stock listed for trading on the OTC Bulletin Board ("BB").
Filing with SEC. Seller acknowledges that Buyer may file a copy of this Agreement as an exhibit to a Current Report on Form 8-K and/or other filings with the Securities and Exchange Commission.
Filing with SEC. The Parties anticipate that within four business days of executing this Agreement, Tylerstone will file with the SEC on Form 8-K, a report disclosing the execution and terms of this Agreement. The Parties further anticipate that within four business days from the date of filing the amendment to change the Article of Incorporation for Tylerstone, Tylerstone will file with the SEC an additional Form 8-K report disclosing the changes. Finally, within four days of the Closing, Tylerstone will file with the SEC a current report on Form 8-K to provide all the required disclosures relating to the Closing, the Exchange, financial and other information with respect to nCoat, and any other required information.
Filing with SEC. On the Business Day following the Closing Date, the Company shall file a report with the SEC describing the terms of the transactions contemplated by the Purchase Agreement and including as exhibits to such report (i) this Agreement, and (ii) the Purchase Agreement, each in the form required by the Exchange Act. “Business Day” means any day other than Saturday, Sunday or other day on which commercial banks in the City of New York are required by law to remain closed.
Filing with SEC. Executive acknowledges that the Company expects to file this Agreement as an exhibit to one of the Company's periodic filings with the Securities and Exchange Commission, and Executive consents to such action.
Filing with SEC. Not less than ten days prior to the Closing --------------- Date the Company shall file with the Securities and Exchange Commission and mail to the Company's shareholders the information required by Rule 14f-1 under the Securities Exchange Act of 1934.
Filing with SEC. The Assignor shall have filed an Information Statement with the Securities Exchange Commission in respect of this Assignment.
Filing with SEC. ATL acknowledges that BRT intends to file a copy of this Agreement as an exhibit to a filing it intends to make with the Securities and Exchange Commission.
