Financial Information and Auditor Consents. At the Closing, the Company shall deliver to Purchaser a consolidated balance sheet at December 31, 2006 and consolidated income statements and statements of cash flows for the fiscal years ended December 31, 2006 and December 31, 2005, audited by an SEC-registered independent accountant, and shall have its consolidated balance sheets, income statements and statements of cash flows for each interim period subsequent to December 31, 2006 reviewed by an SEC-registered independent accountant (collectively, the “Audited Financial Statements”). The Audited Financial Statements (including the notes thereto) shall present fairly in all material respects the financial position and results of operations and cash flows of the Company at the dates or for the periods set forth therein, in each case in accordance with GAAP applied on a consistent basis throughout the periods involved and in accordance with all applicable SEC rules and regulations (except as otherwise indicated therein). The Audited Financial Statements shall be prepared from and in accordance with the books and records of the Company. The Company shall cause its independent accountant to consent to Purchaser’s use of and reliance on the Audited Financial Statements as may be required in connection with any filings made by Purchaser under the United States federal securities laws.

Financial Information and Auditor Consents. The Company shall have delivered to Purchaser and Merger Sub (i) the Company's unaudited interim financial statements for the six (6) months ended April 4, 2004 and/or for the nine (9) months ended July 3, 2004, such selection at Purchaser's sole and absolute discretion; (ii) a letter from the Company's auditor that it has reviewed the Company's unaudited interim financial statements for the six (6) months ended April 4, 2004 and/or the nine (9) months ended July 3, 2004, such selection at Purchaser's sole and absolute discretion; and (iii) a consent of the Company's auditor to the disclosure and inclusion by Purchaser of the Company's audited financial statements for the fiscal year ended September 30, 2003, including the audit report and the unaudited financial statements reviewed by the auditor for the six (6) months ended April 4, 2004 and/or the nine (9) months ended July 3, 2004, such selection at Purchaser's sole and absolute discretion, in any report required to be filed by the Company pursuant to the Exchange Act in connection with the transaction contemplated by this Agreement, together with an undertaking not to unreasonably withhold or delay providing the Company with such consents in connection with any registration statement or Form 10-K to be filed by the Company with SEC or any securities exchange on which the Company's securities are listed that would require such consent. The Purchaser's election described in this Section 7.21 shall be delivered in writing to the Company within seven (7) days of the date hereof.

  • Access to Financial Information Buyer’s representatives shall have access to, and Seller and its Affiliates shall cooperate with Buyer and furnish upon request, all financial and other information relating to the Hotel’s operations to the extent necessary to enable Buyer’s representatives to prepare audited financial statements in conformity with Regulation S-X of the Securities and Exchange Commission (the “SEC”) and other applicable rules and regulations of the SEC and to enable them to prepare a registration statement, report or disclosure statement for filing with the SEC on behalf of Buyer or its Affiliates, whether before or after Closing and regardless of whether such information is included in the Records to be transferred to Buyer hereunder.
