Common use of Finder’s Fees Clause in Contracts

Finder’s Fees. No investment banker, broker, finder or other intermediary is entitled to a fee or commission from Buyer or the Company in respect of this Agreement based upon any arrangement or agreement made by or on behalf of Stockholder.

No investment banker, broker, finder or other intermediary is entitled to a fee or commission from Buyer Parent, Merger Sub or the Company in respect of this Agreement based upon any arrangement or agreement made by or or, to the knowledge of the Stockholder, on behalf of the Stockholder.

Finder’s Fees. No investment banker, broker, financial advisor, finder or other intermediary person is entitled to a commission or fee or commission from Buyer Parent, Merger Sub or the Company in respect of this Agreement or the transactions contemplated hereby based upon any arrangement or agreement made by or on behalf of Stockholderthe Shareholder, except as otherwise specifically provided in the Merger Agreement or arrangements or agreements made by or on behalf of Parent or Merger Sub by its authorized representatives.

Finder’s Fees. No investment banker, broker, finder or other intermediary is entitled to a fee or commission from Buyer Parent, Merger Subsidiary, or the Company in respect of this Agreement based upon any arrangement or agreement Contract made by or on behalf of Stockholder.
