Fire and Other Casualty Affecting the Premises. If the Premises or any part thereof shall be damaged by fire or other casualty, Tenant shall give prompt written notice thereof to Landlord, and Landlord shall forthwith repair, rebuild and restore the same, provided that the following conditions are satisfied (the “Reconstruction Conditions”): (i) such repairs and rebuilding can be substantially completed within one hundred eighty (180) days after the date of such damage and the Premises restored to tenantable condition under the laws and regulations of the federal, state and local government authorities having jurisdiction thereof, and (ii) the amount of insurance proceeds available to Landlord for the purpose of such repairs, rebuilding and restoration is sufficient to pay for the completion of same. Within thirty (30) days after the date of such damage, Landlord shall notify Tenant (the “Casualty Notice”) whether or not the Reconstruction Conditions can be satisfied. If the Casualty Notice provides that the Reconstruction Conditions cannot be satisfied, either party shall have the option to terminate this Lease as of a date specified in such notice, and rent shall be abated as of the date of such damage. Upon such termination of this Lease, and subject to any rights or claims of any mortgagee of Landlord, Landlord shall pay to Tenant from Landlord’s insurance proceeds, the amount of such proceeds attributable to the unamortized value of Tenant’s leasehold interest in any improvements to the Premises made by Tenant at Tenant’s expense. Landlord shall not be required to rebuild, repair or replace any part of Tenant’s furniture or furnishings or fixtures and equipment removable by Tenant under the provisions of this Lease. Landlord shall not be liable for any inconvenience or annoyance to Tenant or injury to the business of Tenant resulting in any way from such damage or the disregard of the repair thereof, unless resulting from Landlord’s gross negligence or willful misconduct. Tenant shall make all payments of rent and other amounts due under the Lease while such repairs to the Building are being made. In case of fire or other casualty occurring after October 1, 2010, and more than half of the tenantable area of the Building shall be so damaged by fire or other casualty, as determined in Tenant’s reasonable opinion, Tenant may, in its sole discretion, terminate this Lease by notifying Landlord in writing of such termination within thirty (30) days after the date of such damage, in which event the rent h...

  • Fire and Other Casualty Tenant shall immediately notify Landlord of any fire or other casualty at the Premises. If the Premises is damaged by fire or other casualty, but not so as to render the Premises untenantable, the Landlord shall repair the same as speedily as practicable, but the Tenant’s obligation to pay the rent hereunder shall not cease. If, in the opinion of the Landlord, the Premises be so extensively and substantially damaged as to render it untenantable, then the rent shall cease until such time as the Premises shall be made tenantable by the Landlord. However, if, in the opinion of the Landlord, the Premises be totally destroyed or so extensively and substantially damaged as to require practically a rebuilding thereof, then Landlord shall either: (a) notify Tenant that the Lease is terminated; or (b) notify Tenant that Landlord intends to rebuild the Premises, in which case, rent shall be abated from the date of the fire or other casualty until issuance of a certificate of occupancy for the Premises, during which time Tenant may terminate this Lease by written notice to Landlord. In no event however, shall the provisions of this clause become effective or be applicable, if the fire or other casualty results from the carelessness, negligence or improper conduct of the Tenant or the Tenant’s agents, employees, guests, contractors, licensees, invitees, subtenants, assignees or successors. In such case, the Tenant’s liability for the payment of the rent and the performance of all the covenants, conditions and terms hereof on the Tenant’s part to be performed shall continue and the Tenant shall be liable to the Landlord for the damage and loss suffered by the Landlord. Tenant shall repair all damages caused to the Premises by vandalism or burglary.

  • Equipment and Other Tangible Property The Company or one of its Subsidiaries owns and has good title to, and has the legal and beneficial ownership of or a valid leasehold interest in or right to use by license or otherwise, all material machinery, equipment and other tangible property reflected on the books of the Company and its Subsidiaries as owned by the Company or one of its Subsidiaries, free and clear of all Liens other than Permitted Liens. All material personal property and leased personal property assets of the Company and its Subsidiaries are structurally sound and in good operating condition and repair (ordinary wear and tear expected) and are suitable for their present use.

  • Adjustments and Other Rights The Exercise Price and the number of Shares issuable upon exercise of this Warrant shall be subject to adjustment from time to time as follows; provided, that if more than one subsection of this Section 13 is applicable to a single event, the subsection shall be applied that produces the largest adjustment and no single event shall cause an adjustment under more than one subsection of this Section 13 so as to result in duplication:

  • Contracts and Other Collateral The Company shall perform all of its obligations under or with respect to each instrument, receivable, contract and other intangible included in the Pledged Property to which the Company is now or hereafter will be party on a timely basis and in the manner therein required, including, without limitation, this Agreement.

  • Rent and Other Charges Base Rent, Operating Expenses, and any other amounts which Tenant is or becomes obligated to pay Landlord under this Lease or other agreement entered in connection herewith, are sometimes herein referred to collectively as "Rent," and all remedies applicable to the non-payment of Rent shall be applicable thereto.   • Improper and Other Payments (a) Neither the Company, any director, officer, employee thereof, nor any agent or representative of the Company nor any person acting on behalf of any of them, has made, paid or received any unlawful bribes, kickbacks or other similar payments to or from any person or authority, (b) no contributions have been made, directly or indirectly, by the Company to a domestic or foreign political party or candidate; and (c) the internal accounting controls of the Company are believed by the Company’s management to be adequate to detect any of the foregoing under current circumstances.
