First named insured. The first named insured is primarily responsible for the payment of premiums and any excess applicable under this policy and will act on behalf of all other named insureds and any additional insureds in connection with any notices of cancellation or non-renewal, receipt and acceptance of any endorsements to the policy, receipt of any applicable return premiums and the exercise of any extended reporting period.

First named insured. If the insurance policy provides that the first named insured in the policy shall be responsible for payment of premiums and shall act on behalf of all other insureds regarding the policy, then the same shall apply to this Agreement and the Insured represents that it is authorized to sign on behalf of all insureds. If not, then all insureds' names must be shown on this Agreement unless a separate agreement appoints an insured to act for the others.
First named insured. (i) if more than one Insured is covered under this policy, the insured first named shall act for itself and for every other Insured for all purposes of this policy.

Other Insurance If the Insured is (or but for the existence of this Policy would be) entitled to indemnity under any other insurance, then the Company shall be liable only for the amount by which the Company’s liabilities under this Policy exceed the Insured’s entitlement to indemnity under such other insurance. Prohibition No coverage or benefit shall be provided and no sum shall be payable under this Policy to the extent that providing it or paying it would directly or indirectly put the Company or its ultimate parent company in breach of any applicable economic or trade sanction laws or regulations.

The coverage may be endorsed on another form of liability coverage or written on a standalone policy. The insurance must cover claims which may arise from failure of Supplier’s security resulting in, but not limited to, computer attacks, unauthorized access, disclosure of not public data – including but not limited to, confidential or private information, transmission of a computer virus, or denial of service. Minimum limits: $2,000,000 per occurrence $2,000,000 annual aggregate Failure of Supplier to maintain the required insurance will constitute a material breach entitling Sourcewell to immediately terminate this Contract for default.
