In connection therewith, the Company shall provide FNBO fifteen (15) days’ prior written notice of the anticipated closing of the Qualifying Acquisition. Within five (5) days of such notice, FNBO shall deliver a written notice (the “FNBO Capital Contribution Notice”) to CDEC and the Company stating that FNBO has either (i) elected to exercise such right in which case the notice shall contain the amount of FNBO’s Capital Contribution or (ii) elected not to exercise such right. If FNBO fails to deliver the FNBO Capital Contribution Notice within such period, FNBO will be deemed to have elected not to exercise such right.
