Forest Service Special Use Permits. Purchaser acknowledges that the U.S. Forest Service Special Use Permits ("SPU") for the Mount Princeton, Granite, Fairplay and Badger Mountain cell sites are not assignable and that, under U.S. Forest Service procedures, Purchaser will have to make application for and receive its own SPUs for each such cell site. Purchaser agrees to make application to the appropriate office of the U.S. Forest Service to obtain such SPUs within ten (10) business days of the date of this Agreement so long as Seller provides assistance and cooperation in providing all necessary documentation relating to the existing SPUs, and appropriate contact information. Receipt of new SPUs issued in the name of Purchaser shall be a condition to Closing; however, Purchaser may close at its election if it receives a written commitment from the U.S. Forest Service, in form satisfactory to Purchaser, that ensures that the SPUs will be issued in a timely manner after the Closing.

Forest Service Special Use Permits. (a) Tieton and BREA will cooperate jointly with SCPPA prior to the closing of the Sale Transaction to provide information regarding the Transmission Line as requested or required by the Forest Service in order to allow SCPPA to submit its application to the Forest Service for the Replacement FS Permits, which shall provide the same or substantially similar rights and interests as those provided in Permit NAC0099 and Permit NAC0124.

  • Use of Subservicers and Subcontractors The Servicer shall not hire or otherwise utilize the services of any Subservicer to fulfill any of the obligations of the Servicer as servicer under this Agreement or any Reconstitution Agreement unless the Servicer complies with the provisions of paragraph (a) of this Section.   • Title to Properties; Licenses Each Restricted Person has good and defensible title to or valid leasehold interests in all of its material properties and assets, free and clear of all Liens other than Permitted Liens and of all impediments to the use of such properties and assets in such Restricted Person’s business. Each Restricted Person possesses all licenses, permits, franchises, patents, copyrights, trademarks and trade names, and other intellectual property (or otherwise possesses the right to use such intellectual property without violation of the rights of any other Person) which are necessary to carry out its business as presently conducted and as presently proposed to be conducted hereafter, and no Restricted Person is in violation in any material respect of the terms under which it possesses such intellectual property or the right to use such intellectual property unless, in each case, such failure to possess or violation has not had, and could not reasonably be expected to have, a Material Adverse Effect.
