Forum and Venue Selection. Any litigation relating to this Agreement or involving CEDAR on one side and any Merchant or any Guarantor on the other must be commenced and maintained in any court located in the Counties of Nassau, New York, or Sxxxxxxx in the State of New York (the “Acceptable Forums”). The parties agree that the Acceptable Forums are convenient, submit to the jurisdiction of the Acceptable Forums, and waive any and all objections to the jurisdiction or venue of the Acceptable Forums. If any litigation is initiated in any other venue or forum, the parties waive any right to oppose any motion or application made by any party to transfer such litigation to an Acceptable Forum. The parties agree that this Agreement encompasses the transaction of business within the City of New York and that the Civil Court of the City of New York (“Civil Court”) will have jurisdiction over any litigation relating to this Agreement that is within the jurisdictional limit of the Civil Court. In addition to the Acceptable Forums, any action or proceeding to enforce a judgment or arbitration award against any Merchant or Guarantor or to restrain or collect any amount due to CEDAR may be commenced and maintained in any other court of competent jurisdiction.

Forum and Venue Selection. The parties hereto irrevocably designate the courts sitting in New York County, New York, as the exclusive jurisdiction and venue with respect to any and all actions or proceedings arising out of or relating to this Agreement and all such actions or proceedings shall be brought exclusively therein. The parties further agree not to bring any action or proceedings arising out of or relating to this Agreement or the Transactions in any other jurisdiction or venue. Each of the parties consents to the jurisdiction of the courts designated above, and waives any defense of inconvenient forum to the maintenance of any action or proceeding so brought and any bond, surety, or other security that might be required of any other party with respect thereto.
