Provisions of this Agreement which by their nature should apply beyond their terms will remain in force after any termination or expiration of this Agreement including, but not limited to, the following provisions: Warranties, Indemnification, Insurance, Compliance with Laws, Governing Law, Venue, and Survival.
In the event that any dispute cannot be resolved through negotiation, then either Party may pursue litigation in accordance with Section 40 (Governing Law, Venue and Remedies).
Without impairing the other agreements made by OptiMark in the Loan Agreement, OptiMark hereby irrevocably makes the agreements set forth in Sections 9.5 (Governing Law; Venue) of the Loan Agreement.
All rights and obligations shall cease upon termination or full performance of this Agreement, except for the rights and obligations set forth in Sections II Architect’s Standard of Care; Representations and Warranties, XII Indemnity, XIII Limitation of Liabilities, XV Ownership and Use of Work Product of Architect, XIX Termination of Agreement; Non-Availability of Funds, XXIV Governing Law; Venue; Consent to Jurisdiction, XXVI Access to Records, XXXI Confidentiality, and XXXIII Survival.
Upon discharge of this Contract, terms and conditions related to Insurance, Indemnification, Disputes, Notice, and Governing Law, Venue, and Jurisdiction shall continue and survive in full force and effect.
Sections 13 (“Successors, Binding Agreement”), 15 (“Notice”), 16 (“Severability”), 17 (“Counterparts”), 21 (“Miscellaneous”), 22 (“Applicable Law, Venue, Jurisdiction and Arbitration”), 23 (“Section 409A”), and 24 (“Entire Agreement”) of the Employment Agreement shall apply to this Agreement.
All rights and obligations shall cease upon termination or full performance of this Agreement, except for the rights and obligations set forth in Sections II Consultant’s Standard of Care, IX Indemnity, X Limitation of Liabilities, XII Ownership and Use of Work Product of Consultant, XVI Termination of Agreement; Non-Availability of Funds, XXI Governing Law; Venue; Consent to Jurisdiction, XXIII Access to Records, XXVIII Confidentiality, and XXX Survival.
Customer Primary Place of Business Governing Law Venue United States, Mexico, Central America, Canada, South America or the Caribbean and any other location not listed in this table.
Any provision of the Agreement which, by its nature, would survive termination or expiration of the Agreement will survive any such termination or expiration of the Agreement, including Section 15 (Product Warranty, Non- Conforming Products and Recall), Section 18 (Insurance and Indemnification), Section 21 (Confidentiality and Information Security), Section 23 (Service Requirements), Section 34 (Termination Assistance), Section 40 (Governing Law, Venue and Remedies), and Section 42 (Survival).
The place of the arbitration, governing law and applicable rules shall be as set forth in Section 11.1 (Choice of Law; Venue).
