Law; Venue definition

Law; Venue. Any claims or legal actions by one party against the other arising out of the relationship between the parties contemplated herein (whether or not arising under this Agreement) shall be governed by and construed only in accordance with the laws of the Commonwealth of Massachusetts and shall in all respects be interpreted, enforced and governed under the internal and domestic laws of such Commonwealth, without giving effect to the principles of conflicts of laws of such Commonwealth, and shall be commenced and maintained in any state or federal court located only in Massachusetts, and both parties hereby submit to the jurisdiction and venue of any such court.

  • Provisions of this Agreement which by their nature should apply beyond their terms will remain in force after any termination or expiration of this Agreement including, but not limited to, the following provisions: Warranties, Indemnification, Insurance, Compliance with Laws, Governing Law, Venue, and Survival.

  • Customer Primary Place of Business Governing Law Venue United States, Mexico, Central America, Canada, South America or the Caribbean and any other location not listed in this table.

  • Without impairing the other agreements made by OptiMark in the Loan Agreement, OptiMark hereby irrevocably makes the agreements set forth in Sections 9.5 (Governing Law; Venue) of the Loan Agreement.

  • The place of the arbitration, governing law and applicable rules shall be as set forth in Section 11.1 (Choice of Law; Venue).

  • The Parties agree that the following Sections of this Option Agreement will survive Closing and recording of the Warranty Deed: 9 (Possession); 12 (Warranties and Representations of Owner); 18 (Attorney Fees); 24 (Governing Law; Venue); 25 (Severability); 29 (Confidentiality); and 31 (1031 Exchange).

  • The Parties agree that the following Sections of this Option Agreement will survive Closing and recording of the Conservation Easement: 9 (Possession); 12 (Warranties and Representations of Owner); 18 (Attorney Fees); 24 (Governing Law; Venue); 25 (Severability); and 29 (Confidentiality).

  • Each of Sections 11.6 (Counterparts; Effectiveness) and 11.5 (Governing Law; Venue; Waiver of Jury Trial) of the Merger Agreement is incorporated herein by reference mutatis mutandis.

  • The provisions set forth in Sections 9.4 (Rules of Construction), 9.5 (Counterparts), 9.6 (Entire Agreement; Third Party Beneficiaries), 9.7 (Governing Law; Venue; Waiver of Jury Trial), 9.8 (No Remedy in Certain Circumstances), 9.9 (Assignment) and 9.11 (Specific Performance) of the Merger Agreement, as in effect as of the date hereof, are hereby incorporated by reference into, and shall be deemed to apply to, this Agreement, mutatis mutandis.

Related to Law; Venue

  • Specified Venue means NASDAQ OMX Stockholm;

  • Execution Venue means the entity with which client orders, assets or securities are placed and/or to which the Company transmits Client’s orders for execution.

  • trading venue means a regulated market, an MTF or an OTF;

  • Base jurisdiction means the member jurisdiction, selected in accordance with the plan, to which an applicant applies for apportioned registration under the plan or the member jurisdiction that issues apportioned registration to a registrant under the plan.

  • Actions or Proceedings means any action, suit, proceeding, arbitration or Governmental or Regulatory Authority investigation or audit.
