FOUNDATION DESIGN. As part of the Tender Documents, Employer has provided to Contractor (i) a map of the Site in Appendix 8 ("Site Plan"), which inter alia outlines the area, within which the WTGs may be located (observing the requirements set out in Appen- dices 1 and 2) and (ii) a Geotechnical Survey, attached as Appendix 9 ("Geotech- nical Survey"). Contractor shall use these documents in his work under the Agreement, including when preparing drawings and instructions for the founda- tions of the WTGs. Contractor shall supply a foundation design which is specific to the Site and to the position of each of the WTGs at the Site, and which includes - in a separate ap- pendix - such drawings and instructions which may be used by the Employer when putting out for tender the contract to establish foundations for the WTGs. The foundation design must be made so as to fit the geotechnical conditions of the Site, which have been described in the Geotechnical Survey, attached as Xxxxx- xxx 9 ("Geotechnical Survey"). Further requirements related to the furnishing of the Site have been set out in Appendix 7 ("Contractor's requirements as to the Site"), e.g. requirements regard- ing access roads and turning spaces and hardstands. The placing of access roads and hardstands shall be made in due consideration of the interest in maintaining as good and effective operation of adjacent land as possible, and the Contractor is - to the extent possible and expedient – obliged to make use of already existing access roads etc. in order to minimize the establishment of new roads etc. As part of the foundation design, Contractor shall also supply drawings for such casting templates, foundation bolts and rings, which enable the Employer to have prepared such casting templates, foundation bolts and rings, as are necessary for the establishment of the foundations for each of the WTGs in accordance with the foundation design. The casting templates supplied by the Contractor shall remain the property of the Contractor and shall be returned to the Contractor, once the Project is completed. However, during the term of the Agreement, the Employer is entitled to produce foundations on the basis of the Contractor's casting template. FOUNDATION DESIGN. Responsibility: POWER Deliverables(s): • Foundation Plan Drawing • Foundation Detail Drawings • Foundation Calculations Prepare the Foundation Plan Drawing based on the substation Plan Drawing. Locate, with centerline dimensions and spacing, each foundation that is required for the supporting steel structures, equipment, and control building. Dimension the Foundation Plan from the substation baselines. Identify each foundation with a unique station- specific alphanumeric descriptor. Indicate the orientation and elevation for the foundations. Evaluate the structure and equipment loading requirements and design the foundations using data contained in the Geotechnical Report and Design Criteria. Determine the type of foundation to be used for each type of structure or equipment. Document all analysis and calculations. Prepare the Foundation Detail Drawing. Show the foundations required to support the substation structures, equipment, and control building. Identify each foundation with an alphanumeric descriptor. Show the dimensions, the approximate neat line volume of concrete, the anchor bolt requirements, and the type of rebar. Show a typical cross section and a plan view for each type of foundation. Show the projection and position of the anchor bolts and the arrangement of the rebar. Indicate sizes for all rebar. Assumption(s): • The 138kV Canal Transmission project is awarded to PEI. • All 138kV foundation designs will be used from the 138kV Canal Transmission project. • All 27kV equipment foundation designs will be used from the 7th Avenue North substation design. POWER will analyze the 7th Avenue North substation foundations to confirm that they are adequate for the soil conditions at the Canal substation site and modify the designs, if required. • Two (2) transformer foundations and oil containment design are included in this proposal. • One capacitor bank foundation is included in this proposal. • One 35kV RMAG breaker foundation is included in this proposal.

All foundation designs shall ensure that any adjacent live services are either outside the zone of influence of the foundations or it shall be demonstrated that there will be no detrimental effect on the service. Where piled foundations are adopted to support plant over fill material, the system shall be designed to accommodate any consequences of future settlement of the fill material. Appropriate flexibility shall be provided in services and pipework which traverses the interface between rigidly founded structures and surrounding fill that may be susceptible to settlement.
FOUNDATION DESIGN. The geotechnical engineering program would be contracted by CSWS consisting of soil data and foundation recommendations. Coordination - In the course of designing the foundations CSWS will have detailed knowledge of poles locations, design loads at each structure, and any other pertinent line data which affects the design.

  • Manufacturing Technology Transfer With respect to each Technology Transfer Product, upon AbbVie’s written request after the Inclusion Date for the Included Target to which such Technology Transfer Product is Directed, Morphic shall effect a full transfer to AbbVie or its designee (which designee may be an Affiliate or a Third Party manufacturer) of all Morphic Know-How and Joint Know-How relating to the then-current process for the Manufacture of such Technology Transfer Product (the “Manufacturing Process”) and to implement the Manufacturing Process at facilities designated by AbbVie (such transfer and implementation, as more fully described in this Section 5.3, the “Manufacturing Technology Transfer”).   • Development Committee As soon as practicable, the Parties will establish a joint development committee, comprised of at least one (1) and up to two (2) representatives of Omega and at least one (1) and up to two (2) representatives of Acuitas (the “JDC”). One such representative from each Party will be such Party’s Workplan Leader. Each Party may replace its Workplan Leader and other JDC representatives at any time upon written notice to the other Party, provided, however, that each Party shall use reasonable efforts to ensure continuity on the JDC. With the consent of the other Party (which will not be unreasonably withheld, conditioned or delayed), each Party may invite non-voting employees and consultants to attend JDC meetings as necessary, subject to consultant’s agreement to be bound to the same extent as a permitted subcontractor under Section 3.1(i).

  • Development Funding (a) Viewray will pay 3D Line the then U.S. Dollar equivalent of €[***] within three (3) days of the Effective Date for the engineering services required to develop/ deliver the Deliverable described in Section 2.1(a)(i).

  • Joint Development Committee The Parties shall form a joint development committee (the “Joint Development Committee” or “JDC”), made up of an equal number of representatives of Merck and BioLineRx, which shall have responsibility of coordinating all regulatory and other activities under, and pursuant to, this Agreement. Each Party shall designate a project manager (the “Project Manager”) who shall be responsible for implementing and coordinating activities, and facilitating the exchange of information between the Parties, with respect to the Study. Other JDC members will be agreed by both Parties. The JDC shall meet as soon as practicable after the Effective Date and then no less than twice yearly, and more often as reasonably considered necessary at the request of either Party, to provide an update on the progress of the Study. The JDC may meet in person or by means of teleconference, Internet conference, videoconference or other similar communications equipment. Prior to any such meeting, the BioLineRx Project Manager shall provide an update in writing to the Merck Project Manager, which update shall contain information about the overall progress of the Study, recruitment status, interim analysis (if results available), final analysis and other information relevant to the conduct of the Study. In addition to a Project Manager, each Party shall designate an alliance manager (the “Alliance Manager”), who shall endeavor to ensure clear and responsive communication between the Parties and the effective exchange of information, and shall serve as the primary point of contact for any issues arising under this Agreement. The Alliance Managers shall have the right to attend all JDC meetings and may bring to the attention of the JDC any matters or issues either of them reasonably believes should be discussed, and shall have such other responsibilities as the Parties may mutually agree in writing. In the event that an issue arises and the Alliance Managers cannot or do not, after good faith efforts, reach agreement on such issue, the issue shall be elevated to the Head of Clinical Oncology for Merck and the Vice President of Medical Affairs or Business Development for BioLineRx.
