Franchises; Permits. The Loan Parties possesses all franchises, permits, licenses and other authority as are material to the conduct their business as now being conducted. The Loan Parties are not in default under any such franchise, permit, license or authority such that it would have a Material Adverse Effect.

Franchises; Permits. The Credit Parties possesses all franchises, permits, licenses and other authority as are necessary to enable the Credit Parties to conduct their business as now being conducted, including without limitation all licenses and agreements necessary for the conduct of the Xxxxxxxx Business in the same manner as it was conducted prior to the acquisition of Xxxxxxxx by the Borrower. The Credit Parties are not in default under any such franchise, permit, license or authority such that it would have a material adverse change in the operations of business, property, assets, condition, financial or otherwise of the Credit Parties, taken as a whole.
