Xxxxxx Permits definition

Xxxxxx Permits means all permits, approvals, authorizations, certificates, consents, franchises, licenses, concessions and rights ("Permits") issued or authorized by any Governmental Authority (as amended or modified) to, or held by, Xxxxxx or any of its Subsidiaries (together, "Xxxxxx Permit Entities"), including (a) all Permits issued by the Federal Communications Commission or any successor agency or any bureau or division thereof acting on delegated authority ("FCC") to any Xxxxxx Permit Entity ("Xxxxxx FCC Licenses") and (b) all Permits issued to any Xxxxxx Permit Entity by any Governmental Authority other than the FCC authorizing such entity to operate channels of radio communication or provide broadcasting or other communications services (including the provision of direct-to-home video programming). Set forth on Section 5.20 of the Xxxxxx Disclosure Schedule is a true and complete list, as of the date of this Agreement, of (i) all Xxxxxx Permits, (ii) all pending applications for Permits that would be Xxxxxx Permits, if issued or granted, and (iii) all pending applications by any Xxxxxx Permit Entity for modification, extension or renewal of Xxxxxx Permits, or waiver of any condition thereto, except that Section 5.20 of the Xxxxxx Disclosure Schedule need not list such Xxxxxx Permits, applications therefor or applications in respect thereof that are immaterial to the assets or business of Xxxxxx or any of its Subsidiaries. The Xxxxxx Permits set forth in Section 5.20 of the Xxxxxx Disclosure Schedule are all of the Permits required to be issued to or held by the Xxxxxx Permit Entities in order to allow such entities to conduct their respective businesses as currently conducted and the Xxxxxx Permits are validly held and in full force and effect, except where the failures to possess any such Permit or the failure of any such Permit to be validly held or in full force and effect, in the aggregate, have not had and would not reasonably be expected to have a Xxxxxx Material Adverse Effect. Without limiting the general provisions of Section 5.9, except as set forth on Section 5.20 of the Xxxxxx Disclosure Schedule, each of the Xxxxxx Permit Entities is in compliance with (i) its obligations under each of the Xxxxxx Permits owned, held or possessed by it, and (ii) the rules and regulations of the Governmental Authority issuing such Xxxxxx Permit, except where the failure to so comply, in the aggregate, would not have a Xxxxxx Material Adverse Effect.   • All Xxxxxx Permits are in full force and effect and there exists no default thereunder or breach thereof, and Xxxxxx has no notice or actual knowledge that such Xxxxxx Permits will not be renewed in the ordinary course after the Effective Time.

  • Parent Permits has the meaning set forth in Section 4.1.
