Free Choice Share Clause Samples

The Free Choice Share clause allows a party to select a portion of shares or interests from a specified pool according to their preference. In practice, this means that when multiple parties are entitled to receive shares, one party may have the right to choose which specific shares they receive, rather than being assigned shares at random or by a predetermined formula. This clause is often used to provide flexibility and accommodate individual preferences, ensuring that parties can optimize their holdings or avoid undesirable assets, thereby reducing disputes and increasing satisfaction with the allocation process.
