Common use of Freedom of Information Clause in Contracts

Freedom of Information. 24.4.1 The Supplier acknowledges that the Authority is subject to the requirements of the FOIA and the EIRs. The Supplier shall: (a) provide all necessary assistance and cooperation as reasonably requested by the Authority to enable the Authority to comply with its Information disclosure obligations under the FOIA and EIRs; (b) transfer to the Authority all Requests for Information relating to this Framework Agreement that it receives as soon as practicable and in any event within two (2) Working Days of receipt; (c) provide the Authority with a copy of all Information belonging to the Authority requested in the Request for Information which is in the Supplier’s possession or control in the form that the Authority requires within five (5) Working Days (or such other period as the Authority may reasonably specify) of the Authority's request for such Information; and (d) not respond directly to a Request for Information unless authorised in writing to do so by the Authority. 24.4.2 The Supplier acknowledges that the Authority may be required under the FOIA and EIRs to disclose Information (including Commercially Sensitive Information) without consulting or obtaining consent from the Supplier. The Authority shall take reasonable steps to notify the Supplier of a Request for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Agreement) for the purpose of this Framework Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

The Authority shall take reasonable steps to notify the Supplier of a Request for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Agreement) for the purpose of this Framework Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

Freedom of Information. 24.4.1 10.1 The Supplier Recipient acknowledges that the Authority Funder is subject to the requirements of the FOIA Freedom of Information Xxx 0000 (FOIA) and the Environmental Information Regulations 2004 (EIRs. ). 10.2 The Supplier Recipient shall: (a) provide all necessary assistance and cooperation as reasonably requested by the Authority Funder to enable the Authority Funder to comply with its Information disclosure obligations under the FOIA and EIRs; (b) transfer to the Authority Funder all Requests requests for Information information relating to this Framework Agreement agreement that it receives as soon as practicable and in any event within two (2) Working Days 2 working days of receipt; (c) provide the Authority Funder with a copy of all Information information belonging to the Authority Funder requested in the Request request for Information information which is in the Supplier’s its possession or control in the form that the Authority Funder requires within five (5) Working Days 5 working days (or such other period as the Authority Funder may reasonably specify) of the AuthorityFunder's request for such Informationinformation; and (d) not respond directly to a Request request for Information information unless authorised in writing to do so by the AuthorityFunder. 24.4.2 10.3 The Supplier Recipient acknowledges that the Authority Funder may be required under the FOIA and EIRs to disclose Information (including Commercially Sensitive Information) information without consulting or obtaining consent from the SupplierRecipient. The Authority Funder shall take reasonable steps to notify the Supplier Recipient of a Request request for Information information (in accordance with the Secretary of State’s Section 's section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Agreementagreement) for the purpose of this Framework Agreement, the Authority Funder shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

The Authority shall take reasonable steps to notify the Supplier of a Request for For Information (in accordance with the Secretary of State’s 's Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Agreementagreement) for the purpose of this Framework Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

The Authority shall take reasonable steps to notify the Supplier of a Request Requests for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Panel Agreement) for the purpose of this Framework Panel Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.:

The Supplier shall: (a) : provide all necessary assistance and cooperation as reasonably requested by the Authority Fund to enable the Authority Fund to comply with its Information disclosure obligations under the FOIA and EIRs; (b) ; transfer to the Authority Fund all Requests for Information relating to this Framework Agreement that it receives as soon as practicable and in any event within two (2) Working Days of receipt; (c) ; provide the Authority Fund with a copy of all Information belonging to the Authority Fund requested in the Request for Information which is in the Supplier’s possession or control in the form that the Authority Fund requires within five (5) Working Days (or such other period as the Authority Fund may reasonably specify) of the AuthorityFund's request for such Information; and (d) and not respond directly to a Request for Information unless authorised in writing to do so by the Authority. 24.4.2 Fund. The Supplier acknowledges that the Authority Fund may be required under the FOIA and EIRs to disclose Information (including Commercially Sensitive Information) without consulting or obtaining consent from the Supplier. The Authority Fund shall take reasonable steps to notify the Supplier of a Request for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Agreement) for the purpose of this Framework Agreement, the Authority Fund shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

The Supplier acknowledges that the Authority may be required under the FOIA and EIRs to disclose Information (including Commercially Sensitive Information) without consulting or obtaining consent from the Supplier. The Authority shall take reasonable steps to notify the Supplier of a Request Requests for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Panel Agreement) for the purpose of this Framework Panel Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.:

The Supplier acknowledges that the Authority may be required under the FOIA and EIRs to disclose Information (including Commercially Sensitive Information) without consulting or obtaining consent from the Supplier. The Authority shall take reasonable steps to notify the Supplier of a Request for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Dynamic Purchasing System Agreement) for the purpose of this Framework Dynamic Purchasing System Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

The Authority shall take reasonable steps to notify the Supplier of a Request for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework AgreementContract) for the purpose of this Framework Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or and or the EIRs.

The Supplier shall: (a) provide all necessary assistance and cooperation as reasonably requested by the Authority Authority, to enable the Authority to comply with its Information disclosure obligations under the FOIA and EIRs; (b) transfer to the Authority all Requests for Information relating to this Framework Agreement Contract that it receives as soon as practicable and in any event within two (2) Working Days of receipt; (c) provide the Authority with a copy of all Information belonging to the Authority requested in the Request for Information which is in the Supplier’s its possession or control in the form that the Authority requires within five (5) Working Days (or such other period as the Authority may reasonably specify) of the Authority's request for such Information; and (d) not respond directly to a Request for Information unless authorised in writing to do so by the Authority. 24.4.2 25.5.2 The Supplier acknowledges that the Authority may be required under the FOIA and EIRs to disclose Information (including Commercially Sensitive Information) without consulting or obtaining consent from the Supplier. The Authority shall take reasonable steps to notify the Supplier of a Request for Information (in accordance with the Secretary of State’s Section 45 44 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework AgreementContract) for the purpose of this Framework Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

Freedom of Information. 24.4.1 26.1 The Supplier acknowledges that the Authority is subject to the requirements of the FOIA and the EIRs. The Supplier shall: (a) provide all necessary assistance Environmental Information Regulations and cooperation as reasonably requested by shall assist and cooperate with the Authority to the extent reasonably necessary to enable the Authority to comply with its Information disclosure obligations under the FOIA obligations. 26.2 The Supplier shall and EIRs;shall procure that its Subcontractors shall: (b) 26.2.1 transfer to the Authority all Requests any Request for Information relating to this Framework Agreement that it receives as soon as practicable and in any event within two three (23) Working Days of receiptreceiving a Request for Information; (c) 26.2.2 provide the Authority with a copy of all Information belonging to the Authority requested in the Request for Information which is in the Supplier’s possession its possession, or control power in the form that the Authority requires within five (5) Working Days (or such other period as the Authority may reasonably specify) of the Authority's request for such Informationrequest; and (d) not 26.2.3 provide all necessary assistance as reasonably requested by the Authority to enable the Authority to respond directly to a the Request for Information unless authorised within the time for compliance set out in writing to do so by section 10 of the AuthorityFOIA or regulation 5 of the Environmental Information Regulations. 24.4.2 The Supplier acknowledges that the Authority may be required under the FOIA and EIRs to disclose Information (including Commercially Sensitive Information) without consulting or obtaining consent from the Supplier. 26.3 The Authority shall take reasonable steps to notify consult with the Supplier of a Request for to inform its decisions regarding any exemptions as they may relate to the Commercially Sensitive Information (in accordance and may consult with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) Supplier to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding inform its decisions regarding any other provision in this Framework Agreement) for the purpose of this Framework Agreementexemptions, but the Authority shall be responsible for determining in its absolute discretion and notwithstanding any other provision in this Framework Agreement or any other agreement whether any the Commercially Sensitive Information and/or any other information Information is exempt from disclosure in accordance with the provisions of the FOIA and/or or the EIRsEnvironmental Information Regulations. 26.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised to do so by the Authority in writing. 26.5 The Supplier shall ensure that all Information is retained for disclosure in accordance with Clause 13.2.

The Authority shall take reasonable steps to notify the Supplier of a Request for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Agreement) for the purpose of this Framework Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

Freedom of Information. 24.4.1 27.4.1. The Supplier Provider acknowledges that the Authority is subject to the requirements of the FOIA and the EIRs. The Supplier Provider shall: (a) provide all necessary assistance and cooperation as reasonably requested by the Authority to enable the Authority to comply with its Information disclosure obligations under the FOIA and EIRs; (b) transfer to the Authority all Requests for Information relating to this Framework Agreement that it receives as soon as practicable and in any event within two (2) Working Days of receipt; (c) provide the Authority with a copy of all Information belonging to the Authority requested in the Request for Information which is in the SupplierProvider’s possession or control in the form that the Authority requires within five (5) Working Days (or such other period as the Authority may reasonably specify) of the Authority's ’s request for such Information; and (d) not respond directly to a Request for Information unless authorised in writing to do so by the Authority. 24.4.2 27.4.2. The Supplier Provider acknowledges that the Authority may be required under the FOIA and EIRs to disclose Information (including Commercially Sensitive Information) without consulting or obtaining consent from the SupplierProvider. The Authority shall take reasonable steps to notify the Supplier Provider of a Request for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Agreement) for the purpose of this Framework Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

The Supplier shall: (a) : provide all necessary assistance and cooperation as reasonably requested by the Authority CCS to enable the Authority CCS to comply with its Information disclosure obligations under the FOIA and EIRs; (b) EIRs in relation to this Framework Agreement and the Call-Off Contracts entered into under it; transfer to the Authority CCS all Requests for Information relating to this Framework Agreement that it receives as soon as practicable and in any event within two (2) Working Days of receipt; (c) ; provide the Authority CCS with a copy of all Information belonging to the Authority CCS requested in the Request for Information which is in the Supplier’s possession or control in the form that the Authority CCS requires within five (5) Working Days (or such other longer period as the Authority CCS may reasonably specify) of the AuthorityCCS's request for such Information; and (d) and not respond directly to a Request for Information unless authorised in writing to do so by the Authority. 24.4.2 CCS. The Supplier acknowledges that the Authority CCS may be required under the FOIA and EIRs to disclose Information (including Commercially Sensitive Information) without consulting or obtaining consent from the Supplier. The Authority CCS shall take reasonable steps to notify the Supplier of a Request for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Agreement) for the purpose of this Framework Agreement, the Authority CCS shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

The Authority shall take reasonable steps to notify the Supplier of a Request for Information (in accordance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Agreement) for the purpose of this Framework Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRs.

Freedom of Information. 24.4.1 18.1 The Supplier Consultant acknowledges that the Authority Authority: 18.1.1 is subject to the requirements of the FOIA FOI Legislation and the EIRs. The Supplier shall: (a) provide all necessary assistance agrees to assist and cooperation as reasonably requested by co-operate with the Authority to enable the Authority to comply with its Information disclosure obligations under the FOIA FOI Legislation; and 18.1.2 may be obliged under the FOI Legislation to disclose Information without consulting or obtaining consent from the Consultant. 18.2 Without prejudice to the generality of Clause 18.1, the Consultant shall and EIRs;shall procure that its sub-consultants (if any) shall: (b) 18.2.1 transfer to the Contract Manager (or such other person as may be notified by the Authority all Requests for to the Consultant) each Information relating Request relevant to this Framework Agreement or the Services that it receives or they (as the case may be) receive as soon as practicable and in any event within two (2) Working Days of receipt;receiving such Information Request; and (c) 18.2.2 in relation to Information held by the Consultant on behalf of the Authority, provide the Authority with a copy details about and/or copies of all such Information belonging to the Authority requested in the Request for Information which is in the Supplier’s possession or control in the form that the Authority requires requests and such details and/or copies shall be provided within five (5) 5 Working Days (of a request from the Authority or such other period and in such forms as the Authority may reasonably specify) of . 18.3 The Authority shall be responsible for determining whether Information is exempt information under the Authority's request FOI Legislation and for such Information; and (d) determining what Information will be disclosed in response to an Information Request in accordance with the FOI Legislation. The Consultant shall not itself respond directly to a Request for any person making an Information Request, save to acknowledge receipt, unless expressly authorised in writing to do so by the Authority. 24.4.2 18.4 The Supplier Consultant acknowledges that the Authority may is subject to the Local Government Transparency Code 2015 (“the Code”) and is obliged to publish details of all new contracts which will mean that data will be required under the FOIA and EIRs to disclose Information (including Commercially Sensitive Information) without consulting or obtaining consent from the Supplier. The Authority shall take reasonable steps to notify the Supplier of a Request for Information (disclosed in accordance compliance with the Secretary of State’s Section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Framework Agreement) for the purpose of this Framework Agreement, the Authority shall be responsible for determining in its absolute discretion whether any Commercially Sensitive Information and/or any other information is exempt from disclosure in accordance with the FOIA and/or the EIRsCode.
