Common use of Freedom of Information Clause in Contracts

Freedom of Information. 6.4.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 following consultation with the Supplier and having taken the Supplier’s views into account, provided always that where Clause 6.4.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 12.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations 2004 and shall assist shall: 12.1.1 provide all necessary assistance and cooperate with cooperation as reasonably requested by the Customer to enable the Customer to comply with its obligations under the FOIA and the Environmental Information disclosure obligations.Regulations 2004; 6.4.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 12.1.2 transfer to the Customer all Requests for Information relating to this Agreement that it receives as soon as practicable and in any event within two (2) 2 Working Days of receiving a Request for Informationreceipt; 6.4.2.2 12.1.3 provide the Customer with a copy of all Information relating belonging to a the Customer requested in the Request for Information which is in its possession, possession or control in the form that the Customer requires within five (5) 5 Working Days (or such other period as the Customer may reasonably specify) of the Customer's requestrequest for such Information; and 6.4.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 In no event shall the Supplier 12.1.4 not respond directly to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 12.2 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice Codes, may be obliged required under the FOIA or and the Environmental Information Regulations 2004 to disclose information Information concerning the Supplier or the Contract Services: 6.4.5.1 in certain circumstances Services (including commercially sensitive information) without consulting or obtaining consent from the Supplier; or 6.4.5.2 following consultation with the Supplier and having taken the Supplier’s views into account, provided always that where Clause 6.4.5 applies . In these circumstances the Customer shall, in accordance with any recommendations of relevant guidance issued under the CodeFOIA, take reasonable steps, where appropriate, to give the Supplier advanced advance notice, or failing that, to draw the disclosure to the Supplier's ’s attention after any such disclosure. 6.4.6 The 12.3 Notwithstanding any other provision in the Agreement, the Customer shall be responsible for determining in its absolute discretion whether any Information relating to the Supplier shall ensure that all Information or the Services is retained for exempt from disclosure in accordance with the provisions of FOIA and/or the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to timeEnvironmental Information Regulations 2004. 6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 25.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations 2004 and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 25.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 any sub- contractors shall transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) [two] Working Days of receiving a Request for Information; 6.4.2.2 (a) provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control power in the form that the Customer requires within five (5) [five] Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 (b) provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation Regulation 5 of the Environmental Information RegulationsRegulations 2004. 6.4.3 25.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information this Agreement and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information RegulationsRegulations 2004. 6.4.4 25.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 25.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2this clause 25 and the provisions of clause 32) the Customer may, acting in accordance with the Ministry Secretary of Justice CodesState for Constitutional Affairs Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 (“the Code”), be obliged under the FOIA FOIA, or the Environmental Information Regulations 2004 to disclose information concerning the Supplier or the Contract ServicesServices in certain circumstances: 6.4.5.1 in certain circumstances (a) without consulting the Supplier; or 6.4.5.2 (b) following consultation with the Supplier and having taken the Supplier’s their views into account, ; provided always that where Clause 6.4.5 clause 25.5(a) applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's ’s attention after any such disclosure. 6.4.6 25.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 12.1. The Supplier Provider acknowledges that the Customer Commissioner is subject to the requirements of the FOIA and the Environmental Environment Information Regulations and shall assist and cooperate with the Customer Commissioner to enable the Customer Commissioner to comply with its Information these information disclosure obligationsrequirements. 6.4.2 12.2. The Supplier shall and shall procure that its Sub-Contractors shallProvider will: 6.4.2.1 transfer 12.2.1. Transfer the request for Information to the Customer all Requests for Information that it receives Commissioners as soon as practicable after receipt and in any event within two (2) five Working Days of receiving a Request for Information; 6.4.2.2 provide 12.2.2. Provide the Customer Commissioner with a copy of all Information relating to a Request for Information information in its possession, possession or control power in the form that the Customer Commissioner requires within five (5) Working Days (or such other period as the Customer Commissioning may specify) of the Customer's requestCommissioners requesting that Information; and 6.4.2.3 provide 12.2.3. Provide all necessary assistance as reasonably requested by the Customer Commissioner to enable the Customer Commissioner to respond to the a Request for Information within the time for compliance set out in section 10 of the FOIA or regulation Regulation 5 of the Environmental Information Regulations. 6.4.3 12.3. The Customer shall Commissioner will be responsible for determining in at its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, information: 12.3.1. is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations: and/or 12.3.2. is to be disclosed in response to a Request for Information. 6.4.4 12.4. In no event shall will the Supplier Provider respond directly to a Request for Information unless expressly authorised in writing to do so by the CustomerCommissioner. 6.4.5 12.5. The Supplier Provider acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer Commissioner may, acting in accordance with the Ministry Secretary of Justice CodesState for Constitutional Affairs’ Code of Practice on the discharge of public authorities’ function under Part 1 of FOIA (issued under section 45 of the FOIA (November 2004), be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract ServicesInformation: 6.4.5.1 in certain circumstances without 12.5.1. Without consulting with the SupplierProvider; or 6.4.5.2 following 12.5.2. Following consultation with the Supplier Provider and having taken the Supplier’s its views into account, provided always that where Clause 6.4.5 item 12.5 applies the Customer Commissioner shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier Provider advanced notice, or failing that, to draw the disclosure to the Supplier's Provider’s attention after any such disclosure. 6.4.6 12.6. The Supplier shall Provider will ensure that all Information information produced in the course of the Agreement or relating to the Agreement is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall will permit the Customer on reasonable notice Commissioner to inspect such records as requested from time to time. 6.4.7 12.7. The Supplier Provider acknowledges that the Commercially Sensitive any lists or Schedules provided by it outlining Confidential Information is are of an indicative nature value only and that the Customer Commissioner may nevertheless be obliged to disclose it Confidential Information in accordance with Clause 6.4.5item 12.5.

Freedom of Information. 6.4.1 20.8.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 20.8.2 The Supplier shall and shall procure that its Sub-Contractors contractors shall: 6.4.2.1 20.8.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 20.8.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 20.8.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 20.8.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract Contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 20.8.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 20.8.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2clause 20.6) the Customer may, acting in accordance with the Ministry Department of Justice CodesConstitutional Affairs‟ Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 20.8.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 20.8.5.2 following consultation with the Supplier and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 clause 20.8.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 20.8.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the this Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 20.8.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5clause 20.8.5. 20.8.8 The Contractor shall use its best endeavours to ensure that its Staff, professional advisors and consultants comply with FOIA

Freedom of Information. 6.4.1 The Supplier Solicitor acknowledges that the Customer Client is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer Client to enable the Customer Client to comply with its Information disclosure obligations. 6.4.2 The Supplier Solicitor shall and shall procure that its Sub-Contractors shall: 6.4.2.1 transfer to the Customer Client all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 provide the Customer Client with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer Client requires within five (5) Working Days (or such other period as the Customer Client may specify) of the CustomerClient's request; and 6.4.2.3 provide all necessary assistance as reasonably requested by the Customer Client to enable the Customer Client to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 The Customer Client shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including SupplierSolicitor’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 In no event shall the Supplier Solicitor respond directly to a Request for Information unless authorised in writing to do so by the CustomerClient. 6.4.5 The Supplier Solicitor acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer Client may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier Solicitor or the Contract Services: 6.4.5.1 in certain circumstances without consulting the SupplierSolicitor; or 6.4.5.2 following consultation with the Supplier Solicitor and having taken the SupplierSolicitor’s views into account, provided always that where Clause 6.4.5 6.4.6 applies the Customer Client shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier Solicitor advanced notice, or failing that, to draw the disclosure to the SupplierSolicitor's attention after any such disclosure. 6.4.6 The Supplier Solicitor shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer Client on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier Solicitor acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer Client may be obliged to disclose it in accordance with Clause 6.4.5.

The Supplier acknowledges that the Customer Authority is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate co-operate with the Customer Authority to enable the Customer Authority to comply with its Information disclosure obligations. 6.4.2 18.2. The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 18.2.1. transfer to the Customer Authority all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 18.2.2. provide the Customer Authority with a copy of all Information relating Information, relevant to a Request for Information Information, in its possessioncontrol, possession or control power, in the form that the Customer requires Authority requests within five (5) Working Days (or such other period as the Customer Authority may specify) of the CustomerAuthority's request; and 6.4.2.3 18.2.3. provide all necessary assistance as reasonably requested by the Customer Authority to enable the Customer Authority to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 18.3. The Customer Authority shall be responsible for determining in its absolute and sole discretion and notwithstanding any other provision in the Contract this Framework Agreement or any other contract agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 18.4. In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the CustomerAuthority. 6.4.5 18.5. The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer Authority may, acting in accordance with the Ministry of Justice CodesCode, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services:the 6.4.5.1 18.5.1. in certain circumstances without consulting the Supplier; or 6.4.5.2 18.5.2. following consultation with the Supplier and having taken the Supplier’s views into account, provided always that where Clause 6.4.5 18.5.1 applies the Customer Authority shall, in accordance with any recommendations of the Ministry of Justice Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 18.6. The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract Clause 13 (Records and in any event in accordance with the requirements of Good Industry Practice Audit Access) and shall permit the Customer on reasonable notice Authority to inspect such records as requested from time to time. 6.4.7 18.7. The Supplier acknowledges that the description of information as Commercially Sensitive Information in Framework Schedule 12 (Commercially Sensitive Information) is of an indicative nature only and that the Customer Authority may be obliged to disclose it in accordance with Clause 6.4.518.5.

Freedom of Information. 6.4.1 4.1 The Supplier acknowledges that the Customer is may be subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 4.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 (a) transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Business Days of receiving a Request for Information; 6.4.2.2 (b) provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires power within five (5) Working Business Days (or such other period as the Customer may specify) of the Customer's ’s request; and 6.4.2.3 (c) provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract this Agreement or any other contract agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 4.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 4.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry Secretary of Justice CodesState for Constitutional Affairs Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 (“the Code”), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 (a) in certain circumstances without consulting the Supplier; or 6.4.5.2 (b) following consultation with the Supplier and having taken the Supplier’s their views into account, ; (c) provided always that where Clause 6.4.5 clause 4.2 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's ’s attention after any such disclosure. 6.4.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 9.4.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 9.4.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 9.4.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 9.4.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 9.4.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 9.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Legal Services Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 9.4.4 In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 9.4.5 The Supplier acknowledges and agrees that (notwithstanding the provisions of Clause 6.29.2) the Customer may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier or the Legal Services Contract Ordered Panel Services: 6.4.5.1 9.4.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 9.4.5.2 following consultation with the Supplier and having taken the Supplier’s views into account, provided always that where Clause 6.4.5 9.4.6 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced advance notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 9.4.6 The Supplier shall ensure that all Information information is retained for disclosure in accordance with the provisions of the Legal Services Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 9.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.59.4.5.

Freedom of Information. 6.4.1 9.4.1 The Supplier Solicitor acknowledges that the Customer Client is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer Client to enable the Customer Client to comply with its Information disclosure obligations. 6.4.2 9.4.2 The Supplier Solicitor shall and shall procure that its Sub-Contractors shall: 6.4.2.1 9.4.2.1 transfer to the Customer Client all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 9.4.2.2 provide the Customer Client with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer Client requires within five (5) Working Days (or such other period as the Customer Client may specify) of the CustomerClient's request; and 6.4.2.3 9.4.2.3 provide all necessary assistance as reasonably requested by the Customer Client to enable the Customer Client to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 9.4.3 The Customer Client shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including SupplierSolicitor’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 9.4.4 In no event shall the Supplier Solicitor respond directly to a Request for Information unless authorised in writing to do so by the CustomerClient. 6.4.5 9.4.5 The Supplier Solicitor acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer Client may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier Solicitor or the Contract Services: 6.4.5.1 9.4.5.1 in certain circumstances without consulting the SupplierSolicitor; or 6.4.5.2 9.4.5.2 following consultation with the Supplier Solicitor and having taken the SupplierSolicitor’s views into account, provided always that where Clause 6.4.5 6.4.6 applies the Customer Client shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier Solicitor advanced notice, or failing that, to draw the disclosure to the SupplierSolicitor's attention after any such disclosure. 6.4.6 9.4.6 The Supplier Solicitor shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer Client on reasonable notice to inspect such records as requested from time to time. 6.4.7 9.4.7 The Supplier Solicitor acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer Client may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 22.8.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 22.8.2 The Supplier shall and shall procure that its Sub-Contractors contractors shall: 6.4.2.1 22.8.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 22.8.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 22.8.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 22.8.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract this Lease Agreement or any other contract Lease Agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 22.8.4 In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 22.8.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2clause 22.6) the Customer may, acting in accordance with the Ministry Department of Justice CodesConstitutional Affairs’ Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Xxx 0000 ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Goods and Services: 6.4.5.1 22.8.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 22.8.5.2 following consultation with the Supplier and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 clause 22.8.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 22.8.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract this Lease Agreement and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 22.8.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5clause 22.8.5.

Freedom of Information. 6.4.1 8.7.1 The Supplier Contractor acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 8.7.2 The Supplier Contractor shall (and where relevant shall procure that its Subsub-Contractors contractors shall:): 6.4.2.1 8.7.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 8.7.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 8.7.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 8.7.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 8.7.4 In no event shall the Supplier Contractor respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 8.7.5 The Supplier Contractor acknowledges that (notwithstanding the provisions of Clause 6.2paragraph 8.5) the Customer may, acting in accordance with the Ministry Department of Justice CodesConstitutional Affairs’ Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier Contractor or the Contract Contractor Services: 6.4.5.1 8.7.5.1 in certain circumstances without consulting the SupplierContractor; or 6.4.5.2 8.7.5.2 following consultation with the Supplier Contractor and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 paragraph 8.7.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier Contractor advanced notice, or failing that, to draw the disclosure to the SupplierContractor's attention after any such disclosure. 6.4.6 8.7.6 The Supplier Contractor shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract these Contractor Terms and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 24.8.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 24.8.2 The Supplier shall and shall procure that its Sub-Contractors contractors shall: 6.4.2.1 24.8.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 24.8.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 24.8.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 24.8.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract Contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 24.8.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 24.8.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice CodesJustice’ Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 24.8.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 24.8.5.2 following consultation with the Supplier and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 clause 24.8.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 24.8.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the this Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 24.8.7 The Supplier acknowledges that the listing of information as Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5clause 24.8.5.

Freedom of Information. 6.4.1 32.1. The Supplier acknowledges that the Customer Client is subject to the requirements of the Code of Practice on Government Information, FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer Client to enable the Customer Client to comply with its Information disclosure obligations. 6.4.2 32.2. The Supplier shall shall, and shall procure that its Sub-Contractors contractors shall: 6.4.2.1 :  transfer to the Customer Client all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 ;  provide the Customer Client with a copy of all Information relating to a Request for Information in its possession, or control power in the form that the Customer Client requires within five (5) Working Days (or such other period as the Customer Client may specify) of the CustomerClient's request; and 6.4.2.3 and  provide all necessary assistance as reasonably requested by the Customer Client to enable the Customer Client to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 32.3. The Customer Client shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract this Agreement or any other contract agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, information is exempt from disclosure in accordance with the provisions of the Code of Practice on Government Information, FOIA or the Environmental Information Regulations. 6.4.4 32.4. In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the CustomerClient. 6.4.5 32.5. The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) 42 – Transparency, the Customer Client may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 :  in certain circumstances without consulting the Supplier; or 6.4.5.2 or  following consultation with the Supplier and having taken the Supplier’s their views into account, ; provided always that where Clause 6.4.5 [reference] applies the Customer Client shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's ’s attention after any such disclosure. 6.4.6 32.6. The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice Client to inspect such records as requested from time to time. 6.4.7 32.7. The Supplier acknowledges that the Commercially Sensitive Information listed in Schedule 9 (if any) is of an indicative nature value only and that the Customer Client may be obliged to disclose it in accordance with Clause 6.4.5.clause 32

Freedom of Information. 6.4.1 The Supplier Service Provider acknowledges that the Customer is subject to the requirements of the Code of Practice on Government Information, FOIA and the Environmental Information Regulations and shall assist and cooperate co-operate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 The Supplier Service Provider shall and shall procure that its Subsub-Contractors shall:contractors shall:- 6.4.2.1 (a) transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 (b) provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control power in the form that the Customer requires requests within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 (c) provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 In no event shall the Supplier Service Provider respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 The Supplier Service Provider acknowledges that (notwithstanding the provisions of Clause 6.26) the Customer may, acting in accordance with the Ministry of Justice CodesJustice’s Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Xxx 0000 (“the Code”), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier Service Provider or the Contract Services:Services:- 6.4.5.1 (a) in certain circumstances without consulting the SupplierService Provider; or 6.4.5.2 (b) following consultation with the Supplier Service Provider and having taken the Supplier’s their views into account, provided always that where this Clause 6.4.5 applies applies, the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier Service Provider advanced notice, or failing that, to draw the disclosure to the SupplierService Provider's attention after any such disclosure. 6.4.6 The Supplier Service Provider shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice Clause 6.8 and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier Service Provider acknowledges that the Commercially Sensitive Information listed in the Order Form is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

The Supplier shall shall, and shall procure that its Sub-Contractors contractors shall: 6.4.2.1 :  transfer to the Customer Client all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 ;  provide the Customer Client with a copy of all Information relating to a Request for Information in its possession, or control power in the form that the Customer Client requires within five (5) Working Days (or such other period as the Customer Client may specify) of the CustomerClient's request; and 6.4.2.3 and  provide all necessary assistance as reasonably requested by the Customer Client to enable the Customer Client to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 32.3. The Customer Client shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, information is exempt from disclosure in accordance with the provisions of the Code of Practice on Government Information, FOIA or the Environmental Information Regulations. 6.4.4 32.4. In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the CustomerClient. 6.4.5 32.5. The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) 42 – Transparency, the Customer Client may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 :  in certain circumstances without consulting the Supplier; or 6.4.5.2 or  following consultation with the Supplier and having taken the Supplier’s their views into account, ; provided always that where Clause 6.4.5 [reference] applies the Customer Client shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's ’s attention after any such disclosure. 6.4.6 32.6. The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice Client to inspect such records as requested from time to time. 6.4.7 32.7. The Supplier acknowledges that the Commercially Sensitive Information listed in Schedule 9 (if any) is of an indicative nature value only and that the Customer Client may be obliged to disclose it in accordance with Clause 6.4.5clause 32.

Freedom of Information. 6.4.1 19.7.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 19.7.2 The Supplier shall and shall procure that its Sub-Contractors contractors shall: 6.4.2.1 19.7.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Contract Notice Days of receiving a Request for Information; 6.4.2.2 19.7.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Contract Notice Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 19.7.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 19.7.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 19.7.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 19.7.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2clause 19.5) the Customer may, acting in accordance with the Ministry Department of Justice CodesConstitutional Affairs‟ Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 19.7.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 19.7.5.2 following consultation with the Supplier and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 clause 19.7.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 19.7.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the this Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 19.7.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5clause 19.7.5.

Freedom of Information. 6.4.1 32.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA Freedom of Information Act and the Environmental Information Regulations and shall assist and cooperate with the Customer (at the Supplier’s expense) to enable the Customer to comply with its Information these information disclosure obligationsrequirements. 6.4.2 32.2 The Supplier shall and shall procure ensure that its Sub-Contractors shall: 6.4.2.1 32.2.1 transfer the request for information to the Customer all Requests for Information that it receives as soon as practicable after receipt and in any event within two (2) Working Days working days of receiving a Request request for Informationinformation; 6.4.2.2 32.2.2 provide the Customer with a copy of all Information relating to a Request for Information information in its possession, possession or control power in the form that the Customer requires within five (5) Working Days working days (or such other period as the Customer may specify) of the Customer's requestCustomer requesting that information; and 6.4.2.3 32.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request a request for Information information within the time for compliance set out in section Section 10 of the FOIA or regulation 5 of the Environmental Information RegulationsFOIA. 6.4.3 32.3 The Customer shall be responsible for determining in at its absolute discretion and notwithstanding any other provision in whether: 32.3.1 the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, information is exempt from disclosure in accordance with under the provisions Freedom of the FOIA or Information Act and the Environmental Information Regulations. 6.4.4 In 32.3.2 the information is to be disclosed in response to a request for information, and in no event shall the Supplier respond directly to a Request request for Information information unless expressly authorised in writing to do so by the Customer. 6.4.5 32.4 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry Department of Justice CodesConstitutional Affairs’ Code of Practice on the Discharge of Functions of Public Authorities under Part I of the Freedom of Information Act 2000, be obliged under the FOIA Code of Practice on Access to Government Information, the FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract ServicesInformation: 6.4.5.1 in certain circumstances 32.4.1 without consulting with the Supplier; , or: 6.4.5.2 32.4.2 following consultation with the Supplier and having taken the Supplier’s its views into account, provided always that where Clause 6.4.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 32.5 The Supplier shall ensure that all Information information produced in the course of the Contract or relating to the Contract is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 . The Supplier acknowledges that the Commercially Sensitive any lists or schedules provided by it outlining Confidential Information is are of an indicative nature value only and that the Customer may nevertheless be obliged to disclose it Confidential Information in accordance with Clause 6.4.532.4.

Freedom of Information. 6.4.1 25.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations 2004 and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 25.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 any sub- contractors shall transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 (a) provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control power in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 (b) provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation Regulation 5 of the Environmental Information RegulationsRegulations 2004. 6.4.3 25.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information this Agreement and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information RegulationsRegulations 2004. 6.4.4 25.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 25.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2this clause 25 and the provisions of clause 33) the Customer may, acting in accordance with the Ministry Secretary of Justice CodesState for Constitutional Affairs Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Xxx 0000 (“the Code”), and subject to the provisions contained in clause 30, be obliged under the FOIA FOIA, or the Environmental Information Regulations 2004 to disclose information concerning the Supplier or the Contract ServicesServices in certain circumstances: 6.4.5.1 in certain circumstances (a) without consulting the Supplier; or 6.4.5.2 (b) following consultation with the Supplier and having taken the Supplier’s their views into account, ; provided always that where Clause 6.4.5 clause 25.5(a) applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's Supplier‟s attention after any such disclosure. 6.4.6 25.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 5.4.1 The Supplier Contractor acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 5.4.2 The Supplier Contractor shall and shall procure that its Subsub-Contractors contractors shall: 6.4.2.1 (a) transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 (b) provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control power in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 (c) provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 5.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract this Agreement or any other contract agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 5.4.4 In no event shall the Supplier Contractor respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 5.4.5 The Supplier Contractor acknowledges that (notwithstanding the provisions of Clause 6.25.4.2) the Customer may, acting in accordance with the Ministry Secretary of Justice CodesState for Constitutional Affairs Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 (the "Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier Contractor or the Contract Services: 6.4.5.1 (a) in certain circumstances without consulting the SupplierContractor; or 6.4.5.2 (b) following consultation with the Supplier Contractor and having taken the Supplier’s their views into account, ; (c) provided always that where Clause 6.4.5 5.4.2 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier Contractor advanced notice, or failing that, to draw the disclosure to the Supplier's Contractor’s attention after any such disclosure. 6.4.6 5.4.6 The Supplier Contractor shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 5.4.7 The Supplier Contractor acknowledges that the Commercially Sensitive Information listed in schedule 7 is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.55.4.5.

Freedom of Information. 6.4.1 The Supplier Service Provider acknowledges that the Customer is subject to the requirements of the Code of Practice on Government Information, FOIA and the Environmental Information Regulations and shall assist and cooperate co-operate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 The Supplier Service Provider shall and shall procure that its Subsub-Contractors shall:contractors shall:- 6.4.2.1 (a) transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 (b) provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control power in the form that the Customer requires requests within five (5) Working Days (or such other period as the Customer may specify) of the Customer's ’s request; and 6.4.2.3 (c) provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 In no event shall the Supplier Service Provider respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 The Supplier Service Provider acknowledges that (notwithstanding the provisions of Clause 6.26) the Customer may, acting in accordance with the Ministry of Justice CodesJustice’s Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Xxx 0000 (“the Code”), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier Service Provider or the Contract Services:Services:- 6.4.5.1 (a) in certain circumstances without consulting the SupplierService Provider; or 6.4.5.2 (b) following consultation with the Supplier Service Provider and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 applies 22.5 applies, the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier Service Provider advanced notice, or failing that, to draw the disclosure to the Supplier's Service Provider’s attention after any such disclosure. 6.4.6 The Supplier Service Provider shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice Clause 6.8 and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier Service Provider acknowledges that the Commercially Sensitive Information listed in the Order Form is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 19.4.1. The Supplier acknowledges that the Customer Authority is subject to the requirements of the FOIA and the Environmental Information Regulations EIR and shall assist and cooperate co-operate with the Customer Authority (at the Supplier’s expense) to enable the Customer Authority to comply with its these Information disclosure obligationsrequirements. 6.4.2 19.4.2. The Supplier shall and shall procure that its Sub-Contractors contractors (if any) shall: 6.4.2.1 19.4.2.1. transfer to the Customer Authority all Requests for Information that it receives as soon as practicable and in any event within two three (23) Working Days working days of receiving a Request for Information; 6.4.2.2 19.4.2.2. provide the Customer Authority with a copy of all Information relating to a Request for Information in its possession, possession or control power in the form that the Customer Authority requires within five (5) Working Days working days (or such other period as the Customer Authority may specify) of the CustomerAuthority's request; and 6.4.2.3 19.4.2.3. provide all necessary assistance as reasonably requested by the Customer Authority to enable the Customer Authority to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information RegulationsEIR. 6.4.3 19.4.3. The Customer Authority shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, : 19.4.3.1. is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental EIR; or 19.4.3.2. is to be disclosed in response to a Request for Information Regulations. 6.4.4 In and in no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the CustomerAuthority. 6.4.5 19.4.4. The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer Authority may, acting in accordance with the Ministry Secretary of Justice Codes, State's Code of Practice on the Discharge of the Functions of Public Authorities under Part I of the Freedom of Information Xxx 0000 be obliged under the FOIA FOIA, or the Environmental Information Regulations EIR to disclose information concerning the Supplier or the Contract ServicesInformation: 6.4.5.1 in certain circumstances 19.4.4.1. without consulting with the Supplier; or 6.4.5.2 19.4.4.2. following consultation with the Supplier and having taken the Supplier’s its views into account, provided always that where Clause 6.4.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 19.4.5. The Supplier acknowledges that the list of Commercially Sensitive Information in Schedule 6 is of an indicative nature value only and that the Customer Authority may be obliged to disclose it in accordance with Clause 6.4.5clause 19.4 or clause 19.5.

Freedom of Information. 6.4.1 5.5.1 The Supplier Contractor acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer, within such timescales as the Customer may reasonably specify, to enable the Customer to comply with its Information disclosure obligations. 6.4.2 5.5.2 The Supplier shall and shall procure that its Sub-Contractors Contractor shall: 6.4.2.1 (a) transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 (b) provide the Customer with a copy of all Information relating to a Request for Information the Services in its possession, or control power which it holds on the Customer’s behalf in the form that the Customer requires within five (5) Working Days (or such other longer period as the Customer may reasonably specify) of the Customer's request; and 6.4.2.3 (c) provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 5.5.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract this Agreement or any other contract agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 5.5.4 In no event shall the Supplier Contractor respond directly to a Request for Information unless expressly authorised in writing to do so by the CustomerCustomer or failure to do so would constitute a breach of Law. 6.4.5 5.5.5 The Supplier Contractor acknowledges that (notwithstanding the provisions of Clause 6.25.5.2) the Customer may, acting in accordance with the Ministry Secretary of Justice CodesState for Constitutional Affairs Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Xxx 0000 (“the Code”), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier Contractor or the Contract Services: 6.4.5.1 (a) in certain circumstances without consulting the SupplierContractor; or 6.4.5.2 (b) following consultation with the Supplier Contractor and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 clause 5.4.2 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier Contractor advanced notice, or failing that, to draw the disclosure to the Supplier's Contractor’s attention after any such disclosure. 6.4.6 5.5.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier Contractor acknowledges that the inclusion of Commercially Sensitive Information in Schedule 7 is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5clause 5.5.5.

Freedom of Information. 6.4.1 The Supplier acknowledges that the Customer Authority is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer Authority to enable the Customer Authority to comply with its Information disclosure obligations. 6.4.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 transfer to the Customer Authority all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 provide the Customer Authority with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer Authority requires within five (5) Working Days (or such other period as the Customer Authority may specify) of the CustomerAuthority's request; and 6.4.2.3 provide all necessary assistance as reasonably requested by the Customer Authority to enable the Customer Authority to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 The Customer Authority shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the CustomerAuthority. 6.4.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer Authority may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 following consultation with the Supplier and having taken the Supplier’s views into account, provided always that where Clause 6.4.5 applies the Customer Authority shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer Authority on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer Authority may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 36.7.1.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 36.7.1.2 The Supplier shall and shall procure that its Sub-Contractors shall:: 36. 6.4.2.1 7.1.2.1.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 36.7.1.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 36.7.1.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 36.7.1.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract Contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 36.7.1.4 In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 The 36.7.1. 5The Supplier acknowledges that (notwithstanding the provisions of Clause 6.236.5.7) the Customer may, acting in accordance with the Ministry Department of Justice CodesConstitutional Affairs‟ Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 36.7.1.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 36.7.1.5.2 following consultation with the Supplier and having taken the Supplier’s their views into account, , 36.7.1.5.3 provided always that where Clause 6.4.5 clause 36.7 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's Suppliers attention after any such disclosure. 6.4.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 32.1. The Supplier Contractor acknowledges that the Customer is subject to the requirements of the Code of Practice on Government Information, FOIA and the Environmental Information Regulations and shall assist and cooperate co-operate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 32.2. The Supplier Contractor shall and shall procure that its Subsub-Contractors contractors shall: 6.4.2.1 32.2.1. transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 32.2.2. provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control power in the form that the Customer requires requests within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 32.2.3. provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 32.3. The Customer shall be responsible for determining in at its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Confidential Information and/or any other Information including Supplier’s Confidential Information, : 32.3.1. is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations.; 6.4.4 In 32.3.2. is to be disclosed in response to a Request for Information, and in no event shall the Supplier Contractor respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 32.4. In no event shall the Contractor respond directly to a Request for Information unless expressly authorised to do so by the Customer. 32.5. The Supplier Contractor acknowledges that (notwithstanding the provisions of Clause 6.26) the Customer may, acting in accordance with the Ministry of Justice CodesJustice’s Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 (“the Code”), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier Contractor or the Contract Services: 6.4.5.1 32.5.1. in certain circumstances without consulting the SupplierContractor; or 6.4.5.2 32.5.2. following consultation with the Supplier Contractor and having taken the Supplier’s their views into account, , 32.5.3. provided always that where this Clause 6.4.5 applies 28.5 applies, the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier Contractor advanced notice, or failing that, to draw the disclosure to the SupplierContractor's attention after any such disclosure. 6.4.6 32.6. The Supplier Contractor shall ensure that all Information is retained for disclosure in accordance with Clause 35 (Audit and the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice National Audit Office) and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 32.7. The Supplier Contractor acknowledges that the Commercially Sensitive Information listed in the Order Form is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5this Contract. 32.8. Not used

Freedom of Information. 6.4.1 4.3.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate co- operate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 4.3.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 4.3.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 4.3.2.2 provide the Customer with a copy of all Information relating Information, relevant to a Request for Information Information, in its possessionpossession or power, or control in the form (being common or standard) that the Customer requires requests within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 4.3.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 4.3.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract this Call-Off Agreement or any other contract agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 4.3.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 4.3.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice CodesJustice’s Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information Information concerning the Supplier or the Contract G-Cloud Services: 6.4.5.1 4.3.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 4.3.5.2 following consultation with the Supplier and having taken the Supplier’s its views into account, ; provided always that where Clause 6.4.5 3.3.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 4.3.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract Framework Clause 35 (Records and in any event in accordance with the requirements of Good Industry Practice Audit Access) and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 4.3.7 The Supplier acknowledges that the description of information as Commercially Sensitive Information in Framework Schedule 7 (Interpretations and Definitions) is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with this Clause 6.4.53.3.

The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Call Off Contract or any other contract Call Off Agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 28.7.4. In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 28.7.5. The Supplier acknowledges that (notwithstanding the provisions of Clause 6.228.5 (Confidentiality)) the Customer may, acting in accordance with the Ministry of Justice CodesJustice’ (formerly Department of Constitutional Affairs’) Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 (a) in certain circumstances without consulting the Supplier; or 6.4.5.2 (b) following consultation with the Supplier and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 28.7.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced advance notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 28.7.6. The Supplier shall ensure that all Information relating to this Call Off Contract is retained for disclosure in accordance with the provisions of the this Call Off Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 28.7.7. The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.528.7.5.

In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 28.7.5. The Supplier acknowledges that (notwithstanding the provisions of Clause 6.228.5 (Confidentiality)) the Customer may, acting in accordance with the Ministry of Justice CodesJustice’ (formerly Department of Constitutional Affairs’) Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 28.7.5.1. in certain circumstances without consulting the Supplier; or 6.4.5.2 28.7.5.2. following consultation with the Supplier and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 28.7.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced advance notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 28.7.6. The Supplier shall ensure that all Information relating to this Call Off Contract is retained for disclosure in accordance with the provisions of the this Call Off Contract and in any event in accordance with the requirements of Good Best Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 28.7.7. The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.528.7.5.

Freedom of Information. 6.4.1 The Supplier Solicitor acknowledges that the Customer Client is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer Client to enable the Customer Client to comply with its Information disclosure obligations. 6.4.2 The Supplier Solicitor shall and shall procure that its Sub-Contractors shall: 6.4.2.1 transfer to the Customer Client all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 provide the Customer Client with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer Client requires within five (5) Working Days (or such other period as the Customer Client may specify) of the CustomerClient's request; and 6.4.2.3 provide all necessary assistance as reasonably requested by the Customer Client to enable the Customer Client to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 The Customer Client shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including SupplierSolicitor’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 In no event shall the Supplier Solicitor respond directly to a Request for Information unless authorised in writing to do so by the CustomerClient. 6.4.5 The Supplier Solicitor acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer Client may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier Solicitor or the Contract Services: 6.4.5.1 in certain circumstances without consulting the SupplierSolicitor; or 6.4.5.2 following consultation with the Supplier Solicitor and having taken the SupplierSolicitor’s views into account, provided always that where Clause 6.4.5 6.4.6 applies the Customer Client shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced Solicitor advance notice, or failing that, to draw the disclosure to the SupplierSolicitor's attention after any such disclosure. 6.4.6 The Supplier Solicitor shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer Client on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier Solicitor acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer Client may be obliged to disclose it in accordance with Clause 6.4.5.

Freedom of Information. 6.4.1 19.1 The Supplier acknowledges the Client’s current and future obligations as a Public Client under the Freedom of Information Act 2000 (the “Act”), and any codes of practice and Best Practice guidance issued by the Government and the Information Commissioner. 19.2 The Supplier will facilitate the Client’s compliance with the Client’s obligations under the Act and comply with any reasonable request from the Client for that purpose. The Supplier notes particularly that the Customer is subject Client may be required to provide information relating to this Agreement or the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer Supplier to enable the Customer a person in order to comply with its Information disclosure obligationsobligations under the Act. 6.4.2 The 19.3 In particular the Supplier shall and shall procure that its Sub-Contractors shallwill: 6.4.2.1 transfer 19.3.1 keep full and accurate records of its activities under this Agreement; 19.3.2 supply information which it holds and which is within the scope of a request for information addressed to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires Client within five (5) Working Business Days (or such other period as of notification by the Customer may specify) Client of the Customer's request; and; 6.4.2.3 provide all necessary assistance as reasonably requested 19.3.3 supply information which the Client requires in order to comply with an Information Notice, Enforcement Notice or Decision of the Information Commissioner within five (5) Business Days of notification by the Customer Client; 19.3.4 appoint a named individual to enable be the Customer person with whom the Client can correspond for the purposes of this Clause 19.3. 19.4 The Client agrees that it will consult the Supplier, following its receipt of a request for information under the Act, where: 19.4.1 disclosure of information in response to the request might prejudice the legal rights or commercial interests of the Supplier; 19.4.2 the information requested is Confidential Information of the Supplier in respect of which the Client is otherwise under a duty of confidentiality pursuant to Clause 18.1; 19.4.3 the views of the Supplier may assist the Client in determining whether an exemption under the Act would apply to the information requested; 19.4.4 the views of the Supplier may assist the Client to determine where the public interest lies under Section 2 of the Act. 19.5 The Supplier agrees to respond to any consultation from the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 In no event shall the Supplier respond directly Client pursuant to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 following consultation with the Supplier and having taken the Supplier’s views into account, provided always that where Clause 6.4.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.Paragraph

Freedom of Information. 6.4.1 19.7.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 19.7.2 The Supplier shall and shall procure that its Sub-Contractors contractors shall: 6.4.2.1 19.7.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Contract Notice Days of receiving a Request for Information; 6.4.2.2 19.7.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Contract Notice Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 19.7.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 19.7.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 19.7.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 19.7.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2clause 19.5) the Customer may, acting in accordance with the Ministry Department of Justice CodesConstitutional Affairs’ Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 19.7.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 19.7.5.2 following consultation with the Supplier and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 clause 19.7.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 19.7.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the this Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 19.7.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5clause 19.7.5.

Freedom of Information. 6.4.1 20.8.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 20.8.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 20.8.2.1 transfer to the Customer all Requests for Information relating to a Request for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 20.8.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 20.8.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 20.8.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract Contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 20.8.4 In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 20.8.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.220.6) the Customer may, acting in accordance with the Ministry Secretary of Justice CodesState’s Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Goods and Services: 6.4.5.1 20.8.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 20.8.5.2 following consultation with the Supplier and having taken the Supplier’s their views into account, provided always that where Clause 6.4.5 20.8.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 20.8.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the this Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 20.8.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.520.8.5.

Freedom of Information. 6.4.1 18.1. The Supplier acknowledges that the Customer Council is subject to the requirements of the FOIA and the Environmental Information Regulations and shall the 2000 Act and agrees to use all reasonable endeavours to assist and cooperate with the Customer to enable Council (at the Customer Supplier’s expense) to comply with its the Council’s obligations imposed under those provisions 18.2. The Supplier shall process Information disclosure obligationsprovided to the Supplier by the Council, produced in the performance of the Agreement or relating to the Agreement in accordance with a records management system which complies with the Lord Chancellor’s code of practice for the keeping and management of records under section 46 of the 2000 Act. 6.4.2 The 18.3. Subject to Clause 20.6, the Supplier shall and shall procure that its Subsub-Contractors Suppliers shall: 6.4.2.1 18.3.1. transfer any Request for Information received by the Supplier or its sub-Suppliers to the Customer all Requests for Information that it receives as soon as practicable and Council promptly and, in any event event, within two (2) Working Days of receiving a Request for Informationits receipt; 6.4.2.2 18.3.2. provide the Customer Council with a copy of all Information relating to a Request for Information in its possession, possession or control power in the form and within the time scale that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; andCouncil requires; 6.4.2.3 18.3.3. provide all necessary assistance as reasonably requested by the Customer Council to enable the Customer Council to respond to the a Request for For Information within the time for compliance set out in prescribed by section 10 of the FOIA 2000 Act; and 18.3.4. not respond directly to a Request For Information or regulation 5 disclose or release Information without the prior written authority of the Environmental Information RegulationsCouncil. 6.4.3 The Customer 18.4. Subject to Clause 20.6, the Council shall be responsible for determining determining, in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive discretion, whether: 18.4.1. information relating to a Request for Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with under the provisions of the FOIA 2000 Act or the Environmental Information Regulations.; 6.4.4 In no event shall the Supplier respond directly 18.4.2. any Information is to be disclosed in response to a Request for Information unless authorised in writing to do so by the CustomerInformation. 6.4.5 18.5. The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice Codes, Council may be obliged under the FOIA 2000 Act or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract ServicesInformation: 6.4.5.1 in certain circumstances 18.5.1. without consulting the Supplier; or 6.4.5.2 18.5.2. following consultation with the Supplier and having taken its views into account. 18.6. Where the 2000 Act applies to the Supplier (by virtue of an order made under section 5 of the 2000 Act or otherwise), the Supplier shall: 18.6.1. comply with the 2000 Act and any associated legislation and codes of practice (including (without limitation) the Secretary of State’s and Lord Chancellor’s codes of practice issued under sections 45 and 46 of the 0000 Xxx); and 18.6.2. where the Supplier receives a Request for Information from a third party under the 2000 Act, which relates to the Council, and / or this Agreement: 18.6.2.1. inform the Council about the Request For Information and the nature of the Information being sought as soon as reasonably possible; 18.6.2.2. consider and apply all lawful exemptions provided under the 2000 Act to withhold Information sought in terms of the Request For Information; 18.6.2.3. consult with the Council prior to the disclosure of any such Information; and 18.6.2.4. keep the Council informed about the Supplier’s views into account, provided always that where Clause 6.4.5 applies the Customer shall, progress in accordance dealing with any recommendations Request For Information and where requested by the Council, provide the Council with copies of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure any correspondence and documents relating to the Supplier's attention after any such disclosureRequest For Information. 6.4.6 18.7. The Supplier shall ensure indemnify the Council against all claims and proceedings and all liability, loss, costs and expenses incurred by the Council as a result of any breach of this Clause 20 by the Supplier, employees of the Supplier, and the Supplier’s sub-Suppliers and agents 18.8. The Supplier acknowledges that all Confidential Information is retained for disclosure in accordance with indicative only and that the provisions of Council may be obliged to disclose Confidential Information pursuant to the Contract and in any event in accordance with Environmental Information Regulations or the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time0000 Xxx. 6.4.7 18.9. The Supplier acknowledges that the Commercially Sensitive Information Council is under a duty to release information relating to all expenditure in excess of an indicative nature only five hundred pounds and the Supplier agrees that the Customer Council may be obliged release such necessary information in respect of the discharge of this duty in as far as it relates to disclose it in accordance with Clause 6.4.5.the subject matter of this Agreement

Freedom of Information. 6.4.1 44.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 44.2 The Supplier shall and shall procure that its Sub-Contractors contractors shall: 6.4.2.1 44.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 44.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control power in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 44.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information RegulationsRegulations (as applicable). 6.4.3 44.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract agreement whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 44.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 44.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2clause 45) the Customer may, acting in accordance with the Ministry Department of Justice CodesConstitutional Affairs' Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 ("the Code"), be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 44.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 44.5.2 following consultation with the Supplier and having taken the Supplier’s their views into account, ; provided always that where Clause 6.4.5 44.5.1 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced advance notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 44.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice schedule 8.4 (Records Provisions) and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 44.7 The Supplier acknowledges that the Commercially Sensitive Information listed in schedule 4.2 (Commercially Sensitive Information) is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5clause 44.5. 44.8 The Supplier shall provide a proposed redacted version of the Contract to the Customer within 40 Working Days of the date of this Contract.

Freedom of Information. 6.4.1 10.6.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 10.6.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 10.6.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 10.6.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 10.6.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section Section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 10.6.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the this Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 10.6.4 In no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the Customer. 6.4.5 10.6.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.210.4 above) the Customer may, acting in accordance with the Ministry of Justice CodesJustice’s Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 ("the Code"), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Vehicles and/or Services: 6.4.5.1 10.6.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 10.6.5.2 following consultation with the Supplier and having taken the Supplier’s their views into account, provided always that where this Clause 6.4.5 10.6.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 10.6.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the this Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 10.6.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature value only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.510.6.5 above.

Freedom of Information. 6.4.1 5.4.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 5.4.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 5.4.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 5.4.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 5.4.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 5.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 5.4.4 In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 5.4.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 5.4.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 5.4.5.2 following consultation with the Supplier and having taken the Supplier’s views into account, provided always that where Clause 6.4.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 5.4.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 5.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

The Supplier acknowledges that the Customer Trust is subject to the requirements of the FOIA and the Environmental Information Regulations EIR and shall assist and cooperate with the Customer Trust (at the Supplier’s expense) to enable the Customer Trust to comply with its these Information disclosure obligationsrequirements. 6.4.2 24.7.2. The Supplier shall and shall procure that its Sub-Contractors contractors (if any) shall: 6.4.2.1 24.7.2.1. transfer to the Customer Trust all Requests for Information that it receives as soon as practicable and in any event within two three (23) Working Days working days of receiving a Request for Information; 6.4.2.2 24.7.2.2. provide the Customer Trust with a copy of all Information relating to a Request for Information in its possession, possession or control power in the form that the Customer Trust requires within five (5) Working Days working days (or such other period as the Customer Trust may specify) of the CustomerTrust's request; and 6.4.2.3 24.7.2.3. provide all necessary assistance as reasonably requested by the Customer Trust to enable the Customer Trust to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information RegulationsEIR. 6.4.3 24.7.3. The Customer Trust shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, : 24.7.3.1. is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations.EIR; or 6.4.4 In 24.7.3.2. is to be disclosed in response to a Request for Information; and in no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the CustomerTrust. 6.4.5 24.7.4. The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer Trust may, acting in accordance with the Ministry Secretary of Justice Codes, State's Code of Practice on the Discharge of the Functions of Public Authorities under Part I of the Freedom of Information Xxx 0000 be obliged under the FOIA FOIA, or the Environmental Information Regulations EIR to disclose information concerning the Supplier or the Contract ServicesInformation: 6.4.5.1 in certain circumstances 24.7.4.1. without consulting with the Supplier; or 6.4.5.2 24.7.4.2. following consultation with the Supplier and having taken the Supplier’s its views into account, provided always that where Clause 6.4.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 24.7.5. The Supplier shall ensure that all Information information produced in the course of this Agreement or relating to this Agreement is retained for disclosure in accordance with the provisions Department of the Contract and in any event in accordance with the requirements Health Records Management NHS Code of Good Industry Practice 2006 currently: xxxx://xxxxxxx.xxxxx.xxx.xx/infogov/codes and shall permit the Customer on reasonable notice Trust to inspect such records as requested from time to time. 6.4.7 24.7.6. The Supplier acknowledges that the list of Commercially Sensitive Information in Schedule 8 is of an indicative nature value only and that the Customer Trust may be obliged to disclose it in accordance with Clause 6.4.5clause 24.7 or clause 25.
