Freedom of Information. 6.4.1 The Supplier acknowledges that the Customer is subject to the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer to enable the Customer to comply with its Information disclosure obligations. 6.4.2 The Supplier shall and shall procure that its Sub-Contractors shall: 6.4.2.1 transfer to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information; 6.4.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; and 6.4.2.3 provide all necessary assistance as reasonably requested by the Customer to enable the Customer to respond to the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations. 6.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. 6.4.4 In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the Customer. 6.4.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services: 6.4.5.1 in certain circumstances without consulting the Supplier; or 6.4.5.2 following consultation with the Supplier and having taken the Supplier’s views into account, provided always that where Clause 6.4.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure. 6.4.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time. 6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

6.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations.
6.4.4 In no event shall the Supplier 12.1.4 not respond directly to a Request for Information unless authorised in writing to do so by the Customer.
6.4.5 12.2 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice Codes, may be obliged required under the FOIA or and the Environmental Information Regulations 2004 to disclose information Information concerning the Supplier or the Contract Services:
6.4.5.1 in certain circumstances Services (including commercially sensitive information) without consulting or obtaining consent from the Supplier; or
6.4.5.2 following consultation with the Supplier and having taken the Supplier’s views into account, provided always that where Clause 6.4.5 applies . In these circumstances the Customer shall, in accordance with any recommendations of relevant guidance issued under the CodeFOIA, take reasonable steps, where appropriate, to give the Supplier advanced advance notice, or failing that, to draw the disclosure to the Supplier's ’s attention after any such disclosure.
6.4.6 The 12.3 Notwithstanding any other provision in the Agreement, the Customer shall be responsible for determining in its absolute discretion whether any Information relating to the Supplier shall ensure that all Information or the Services is retained for exempt from disclosure in accordance with the provisions of FOIA and/or the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to timeEnvironmental Information Regulations 2004.
6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

6.4.5 4.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry Secretary of Justice CodesState for Constitutional Affairs Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the Freedom of Information Act 2000 (“the Code”), be obliged under the FOIA FOIA, or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services:
6.4.5.1 (a) in certain circumstances without consulting the Supplier; or
6.4.5.2 (b) following consultation with the Supplier and having taken the Supplier’s their views into account, ;
(c) provided always that where Clause 6.4.5 clause 4.2 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's ’s attention after any such disclosure.
6.4.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time.
6.4.7 The Supplier acknowledges that the Commercially Sensitive Information is of an indicative nature only and that the Customer may be obliged to disclose it in accordance with Clause 6.4.5.

6.4.4 9.4.4 In no event shall the Supplier respond directly to a Request for Information unless authorised in writing to do so by the Customer.

Freedom of Information. 6.4.1 19.1 The Supplier acknowledges the Client’s current and future obligations as a Public Client under the Freedom of Information Act 2000 (the “Act”), and any codes of practice and Best Practice guidance issued by the Government and the Information Commissioner.
19.2 The Supplier will facilitate the Client’s compliance with the Client’s obligations under the Act and comply with any reasonable request from the Client for that purpose. The Supplier notes particularly that the Customer is subject Client may be required to provide information relating to this Agreement or the requirements of the FOIA and the Environmental Information Regulations and shall assist and cooperate with the Customer Supplier to enable the Customer a person in order to comply with its Information disclosure obligationsobligations under the Act.
6.4.2 The 19.3 In particular the Supplier shall and shall procure that its Sub-Contractors shallwill:
6.4.2.1 transfer 19.3.1 keep full and accurate records of its activities under this Agreement;
19.3.2 supply information which it holds and which is within the scope of a request for information addressed to the Customer all Requests for Information that it receives as soon as practicable and in any event within two (2) Working Days of receiving a Request for Information;
6.4.2.2 provide the Customer with a copy of all Information relating to a Request for Information in its possession, or control in the form that the Customer requires Client within five (5) Working Business Days (or such other period as of notification by the Customer may specify) Client of the Customer's request; and;
6.4.2.3 provide all necessary assistance as reasonably requested 19.3.3 supply information which the Client requires in order to comply with an Information Notice, Enforcement Notice or Decision of the Information Commissioner within five (5) Business Days of notification by the Customer Client;
19.3.4 appoint a named individual to enable be the Customer person with whom the Client can correspond for the purposes of this Clause 19.3.
19.4 The Client agrees that it will consult the Supplier, following its receipt of a request for information under the Act, where:
19.4.1 disclosure of information in response to the request might prejudice the legal rights or commercial interests of the Supplier;
19.4.2 the information requested is Confidential Information of the Supplier in respect of which the Client is otherwise under a duty of confidentiality pursuant to Clause 18.1;
19.4.3 the views of the Supplier may assist the Client in determining whether an exemption under the Act would apply to the information requested;
19.4.4 the views of the Supplier may assist the Client to determine where the public interest lies under Section 2 of the Act.
19.5 The Supplier agrees to respond to any consultation from the Request for Information within the time for compliance set out in section 10 of the FOIA or regulation 5 of the Environmental Information Regulations.
6.4.3 The Customer shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations.
6.4.4 In no event shall the Supplier respond directly Client pursuant to a Request for Information unless authorised in writing to do so by the Customer.
6.4.5 The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice Codes, be obliged under the FOIA or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract Services:
6.4.5.1 in certain circumstances without consulting the Supplier; or
6.4.5.2 following consultation with the Supplier and having taken the Supplier’s views into account, provided always that where Clause 6.4.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure.
6.4.6 The Supplier shall ensure that all Information is retained for disclosure in accordance with the provisions of the Contract and in any event in accordance with the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time.

6.4.2.2 18.3.2. provide the Customer Council with a copy of all Information relating to a Request for Information in its possession, possession or control power in the form and within the time scale that the Customer requires within five (5) Working Days (or such other period as the Customer may specify) of the Customer's request; andCouncil requires;
6.4.2.3 18.3.3. provide all necessary assistance as reasonably requested by the Customer Council to enable the Customer Council to respond to the a Request for For Information within the time for compliance set out in prescribed by section 10 of the FOIA 2000 Act; and
18.3.4. not respond directly to a Request For Information or regulation 5 disclose or release Information without the prior written authority of the Environmental Information RegulationsCouncil.
6.4.3 The Customer 18.4. Subject to Clause 20.6, the Council shall be responsible for determining determining, in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive discretion, whether:
18.4.1. information relating to a Request for Information and/or any other Information including Supplier’s Confidential Information, is exempt from disclosure in accordance with under the provisions of the FOIA 2000 Act or the Environmental Information Regulations.;
6.4.4 In no event shall the Supplier respond directly 18.4.2. any Information is to be disclosed in response to a Request for Information unless authorised in writing to do so by the CustomerInformation.
6.4.5 18.5. The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer may, acting in accordance with the Ministry of Justice Codes, Council may be obliged under the FOIA 2000 Act or the Environmental Information Regulations to disclose information concerning the Supplier or the Contract ServicesInformation:
6.4.5.1 in certain circumstances 18.5.1. without consulting the Supplier; or
6.4.5.2 18.5.2. following consultation with the Supplier and having taken its views into account.
18.6. Where the 2000 Act applies to the Supplier (by virtue of an order made under section 5 of the 2000 Act or otherwise), the Supplier shall:
18.6.1. comply with the 2000 Act and any associated legislation and codes of practice (including (without limitation) the Secretary of State’s and Lord Chancellor’s codes of practice issued under sections 45 and 46 of the 0000 Xxx); and
18.6.2. where the Supplier receives a Request for Information from a third party under the 2000 Act, which relates to the Council, and / or this Agreement:
18.6.2.1. inform the Council about the Request For Information and the nature of the Information being sought as soon as reasonably possible;
18.6.2.2. consider and apply all lawful exemptions provided under the 2000 Act to withhold Information sought in terms of the Request For Information;
18.6.2.3. consult with the Council prior to the disclosure of any such Information; and
18.6.2.4. keep the Council informed about the Supplier’s views into account, provided always that where Clause 6.4.5 applies the Customer shall, progress in accordance dealing with any recommendations Request For Information and where requested by the Council, provide the Council with copies of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure any correspondence and documents relating to the Supplier's attention after any such disclosureRequest For Information.
6.4.6 18.7. The Supplier shall ensure indemnify the Council against all claims and proceedings and all liability, loss, costs and expenses incurred by the Council as a result of any breach of this Clause 20 by the Supplier, employees of the Supplier, and the Supplier’s sub-Suppliers and agents
18.8. The Supplier acknowledges that all Confidential Information is retained for disclosure in accordance with indicative only and that the provisions of Council may be obliged to disclose Confidential Information pursuant to the Contract and in any event in accordance with Environmental Information Regulations or the requirements of Good Industry Practice and shall permit the Customer on reasonable notice to inspect such records as requested from time to time0000 Xxx.
6.4.7 18.9. The Supplier acknowledges that the Commercially Sensitive Information Council is under a duty to release information relating to all expenditure in excess of an indicative nature only five hundred pounds and the Supplier agrees that the Customer Council may be obliged release such necessary information in respect of the discharge of this duty in as far as it relates to disclose it in accordance with Clause 6.4.5.the subject matter of this Agreement

6.4.3 24.7.3. The Customer Trust shall be responsible for determining in its absolute discretion and notwithstanding any other provision in the Contract or any other contract whether the Commercially Sensitive Information and/or any other Information including Supplier’s Confidential Information, :
24.7.3.1. is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations.EIR; or
6.4.4 In 24.7.3.2. is to be disclosed in response to a Request for Information; and in no event shall the Supplier respond directly to a Request for Information unless expressly authorised in writing to do so by the CustomerTrust.
6.4.5 24.7.4. The Supplier acknowledges that (notwithstanding the provisions of Clause 6.2) the Customer Trust may, acting in accordance with the Ministry Secretary of Justice Codes, State's Code of Practice on the Discharge of the Functions of Public Authorities under Part I of the Freedom of Information Xxx 0000 be obliged under the FOIA FOIA, or the Environmental Information Regulations EIR to disclose information concerning the Supplier or the Contract ServicesInformation:
6.4.5.1 in certain circumstances 24.7.4.1. without consulting with the Supplier; or
6.4.5.2 24.7.4.2. following consultation with the Supplier and having taken the Supplier’s its views into account, provided always that where Clause 6.4.5 applies the Customer shall, in accordance with any recommendations of the Code, take reasonable steps, where appropriate, to give the Supplier advanced notice, or failing that, to draw the disclosure to the Supplier's attention after any such disclosure.
6.4.6 24.7.5. The Supplier shall ensure that all Information information produced in the course of this Agreement or relating to this Agreement is retained for disclosure in accordance with the provisions Department of the Contract and in any event in accordance with the requirements Health Records Management NHS Code of Good Industry Practice 2006 currently: xxxx://xxxxxxx.xxxxx.xxx.xx/infogov/codes and shall permit the Customer on reasonable notice Trust to inspect such records as requested from time to time.
6.4.7 24.7.6. The Supplier acknowledges that the list of Commercially Sensitive Information in Schedule 8 is of an indicative nature value only and that the Customer Trust may be obliged to disclose it in accordance with Clause 6.4.5clause 24.7 or clause 25.
