Funding of Co-Development. Subject to an election as provided in Section 12.2 below, each Party shall bear one-half of the Co-Development Costs for each Development Compound, for each country throughout the world excluding Japan that the JRDC selects for Co-Development. Each Party shall maintain accurate books and records of all costs and expenses allowable as Co-Development Costs, within the budget of the Co-Development Plan approved by the Parties. Within 60 days after the end of any calendar quarter, each Party shall submit to the JRDC a summary of all Co-Development Costs incurred during that quarter with respect to such Development Compound, including reasonable detail demonstrating the specific basis for the costs and expenses included in the summary. The JRDC shall review all such expenses to determine if they fall within the annual budget in the Co-Development Plan. Any amounts expended outside the approved annual budget shall be borne by the Party making such expenditure, unless approved by JRDC and if so approved shall be Co-Development Costs. With respect to the expenses within the annual budget of the Co-Development Plan, the JRDC shall submit to the Party that bore less than half of the Co-Development Costs within the budget for that quarter an invoice for the amount that Party must remit to the other Party or bring that Party’s share of the Co-Development Costs up to one-half for the previous quarter. Such Party shall remit the amount on the invoice to the other Party within [ * ] of receiving such invoice.

  • Sustainable Development 4.1 The Authority will review the Contractor’s Sustainable Development Policy Statement and Sustainable Development Plan submitted by the Contractor in accordance with the Schedule (Sustainable Development Requirements) and then at least annually thereafter. 4.2 Sustainable Procurement Risk Assessment Methodology (SPRAM) is a tool used by the Authority to identify and mitigate any potential risks to sustainability in contracts. The process requires that each Contract be assessed for its potential social, economic and environmental risks, throughout the various stages of its lifetime. Where risks are identified, appropriate mitigation action is required to reduce or eliminate the risk to sustainability. The Authority may at times require input from the Contractor in order to ensure that this process is given the required levels of consideration.

  • Program Funding Upon entry into force of this Compact in accordance with Section 7.3, MCC will grant to the Government, under the terms of this Compact, an amount not to exceed Four Hundred Xxxxx-Xxxx Xxxxxxx Xxxx Xxxxxxx Xxxxxxxx Xxxxxx Xxxxxx Dollars (US$459,500,000) (“Program Funding”) for use by the Government to implement the Program. The allocation of Program Funding is generally described in Annex II.

  • Creation and Development Fee If the Prospectus related to a Trust specifies a creation and development fee, the Trustee shall, on or immediately after the end of the initial offering period, withdraw from the Capital Account, an amount equal to the unpaid creation and development fee as of such date and credit such amount to a special non-Trust account designated by the Depositor out of which the creation and development fee will be distributed to the Depositor (the "Creation and Development Account").   • Research Funding (a) During each Collaboration Term and in connection with any wind-down activities contemplated by Section 13.4. Hookipa shall provide to Gilead, within [***] days after the end of each [***] during each Collaboration Term, a report indicating the number of FTEs actually provided by Hookipa with respect to each Program during such [***], Hookipa shall use standard industry systems and processes to record the number of hours and FTEs actually applied to each Program, which systems and processes shall be consistently and equitably applied to all Hookipa research programs with Third Parties. Gilead shall reimburse Hookipa the undisputed amount for such FTE costs incurred in a [***] within [***] days after receipt from Hookipa of an invoice therefor issued within [***] days after the end of each [***]. (c) For clarity, Gilead shall not be obligated to reimburse Hookipa for any costs or expenses incurred by Hookipa in the course of its activities under the Programs, other than: (i) those costs and expenses expressly identified in this Section 9.6 or elsewhere in this Agreement; (ii) reimbursement for the supply of Licensed Products to Gilead in accordance with the terms of any supply agreement entered into by the Parties pursuant to Section 7.2; or (iii) any other costs and expenses approved by Gilead in writing in advance.

  • Research and Development (i) Advice and assistance in relation to research and development of Party B; (ii) Advice and assistance in strategic planning; and

  • Program Development NWESD agrees that priority in the development of new applications services by XXXXX shall be in accordance with the expressed direction of the XXXXX Board of Directors operating under their bylaws.
