FURNISHING INFORMATION; ANNOUNCEMENTS. The Stockholders and the Companies, on the one hand, and UAG and Sub, on the other hand, will, as soon as practicable after reasonable request therefor, furnish to the other all the information concerning the Stockholders and the Companies or UAG and Sub, respectively, required for inclusion in any statement or application made by UAG or the Companies to any governmental or regulatory body or in connection with obtaining any third party consent in connection with the transactions contemplated by this Agreement. Neither the Stockholders nor the Companies, on the one hand, nor UAG nor Sub, on the other hand, or any representative thereof, shall issue any press releases or otherwise make any public statement with respect to the transactions contemplated hereby without the prior consent of the other, except as may be required by law (including federal or state securities laws) as determined by such parties' counsel.

FURNISHING INFORMATION; ANNOUNCEMENTS. Sellers shall not issue any press releases or otherwise make any statement, public or otherwise, to any third party with respect to the transactions contemplated hereby without the prior written consent of Purchaser. Any notification of Sellers' employees of the transactions contemplated hereby shall be subject to prior approval by Purchaser. Any notices or other information to be disseminated shall be submitted to Purchaser prior to distribution or dissemination.

FURNISHING INFORMATION; ANNOUNCEMENTS. Management will, promptly after the execution and delivery hereof, furnish to EMI all the information concerning Management required for inclusion in or relating to the preparation of applicable reports to the SEC ("Related SEC Reports"), and any other statement or application made by EMI to any governmental body in connection with the transactions contemplated by this Agreement. EMI shall submit for review all Related SEC Reports to counsel for Management prior to the filing thereof, and consult with Management with respect thereto to the extent reasonably practicable. EMI and Management will consult with each other prior to issuing any press releases or otherwise making public announcements with respect to the Merger.
