Further Actions and Documents. Each Party agrees to execute, acknowledge and deliver all such further instruments, and to do all such further acts, as may be reasonably necessary or appropriate to carry out the intent and purposes of this Agreement.

PhotoMedex will not take any action that is designed or intended to have the effect of discouraging any subscriber, licensor, supplier, distributor or customer of PhotoMedex from maintaining the same relationship with GlobalMed after the Effective Date as it maintained prior to the Effective Date. If GlobalMed is unable for any reason, after reasonable effort, to secure PhotoMedex’ execution of any document needed in connection with the preceding paragraph, PhotoMedex hereby irrevocably designates and appoints GlobalMed and GlobalMed’s duly authorized officers as PhotoMedex’ agents and attorneys-in-fact, which appointment is coupled with an interest, to act for and on PhotoMedex’ behalf solely to execute, verify and file any such documents and to do all other lawfully permitted acts to further the purposes of this Section 4.3 with the same legal force and effect as if executed by PhotoMedex.

Further Actions and Documents. Each Party shall, and shall cause their respective affiliates (and with respect to TCL, including any Affiliate Prodco and any Third Party Prodco), to execute and deliver such additional instruments, conveyances and assurances and take such further actions as may be reasonably required to carry out the provisions hereof and give effect to each Party’s respective rights and entitlements under the License Agreement, this Agreement or any other Contribution Document.
