Further Assurances and Provision of Information. Additionally, Priveco and the Selling Shareholders acknowledge that under SEC rules Pubco must provide registration level information regarding the business of Priveco and agree to provide such information to Pubco in a timely manner prior to closing, and allow Pubco and its representatives free access to all books, records, and other information of Priveco and to its personnel and advisors.

Additionally, WEIC and the Selling Shareholders acknowledge that under SEC rules VITS must provide registration level information regarding the business of WEIC and agree to provide such information to VITS in a timely manner prior to closing, and allow VITS and its representative’s free access to all books, records, and other information of WEIC and to its personnel and advisors.

PHIL and KCCO will cooperate and use commercially reasonable efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary or desirable to fulfill their obligations and the conditions precedent to the other parties’ obligations hereunder and to otherwise consummate the transactions contemplated in this Agreement, and PHIL and KCCO will work in good faith to negotiate the Operating Agreement, the Consulting Agreements and any other documents, certificates or agreements required for Closing. KCCO agrees to provide such information as requested by PHIL in a timely manner prior to Closing Date pursuant to the terms set forth in Section 7.1. In addition to the foregoing, PHIL will use best efforts to promptly close the Financing. Following the Closing Date, each of the parties hereto shall execute and deliver such additional instruments and documents and take such other actions as may be reasonably requested from time to time by the other party hereto as necessary to carry out, evidence, and confirm the intended purposes of this Agreement.
