Further Assurances; Compliance with Covenants. At any time and from time to time, upon the request of the Lender, the Borrower shall execute, deliver and acknowledge or cause to be executed, delivered and acknowledged, such further documents and instruments and do such other acts and things as the Lender may reasonably request in order to fully effect the terms of this Loan Agreement, the Promissory Note, the Pledge Agreement, the other Loan Documents and any other agreements, instruments and documents delivered pursuant hereto or in connection with the Loan.

The Shareholder and the Company shall, and shall cause the Company’s accountants to cooperate with Sunair’ accountants from time to time at Sunair’s expense in connection with any audit of the assets, property and business of the Company including the execution and delivery by the Shareholder and the Company of customary audit representation letters. The Shareholder shall cause the Company to comply with all of the respective covenants of the Company under this Agreement. At the Closing, the Company and the Shareholder covenant and agree to deliver to Sunair the certificates, opinions and other documents required to be delivered to Sunair pursuant to Article VIII, and Sunair covenants and agrees to deliver to the Company and the Shareholder the certificates and other documents required to be delivered to the Company and the Shareholder pursuant to Article IX.

At the Closing, the Company and the Members covenant and agree to deliver to Relationserve the certificates and other documents required to be delivered to Relationserve pursuant to Article VIII, and Relationserve covenants and agrees to deliver to the Company and the Members the certificates and other documents required to be delivered to the Company and the Members pursuant to Article IX.

By the end of the Escrow Period, the Company and the Seller covenant and agree to deliver to the Buyer the stock certificates representing the Shares, and other documents required to be delivered to Buyer pursuant to Article VI, and the Buyer covenants and agrees to deliver to the Company and the Seller the stock certificates and other documents required to be delivered to the Company and the Seller pursuant to Article VII.

At the Closing, TecEnergy and CSRG covenant and agree to deliver to BTSL the Exhibit 2.6 certificates, opinions and other documents required to be delivered to BTSL pursuant to Article V, and BTSL covenants and agrees to deliver to TecEnergy and CSRG the certificates and other documents required to be delivered to TecEnergy and CSRG pursuant to Article VI.

At the Closing, the Company and the Shareholders covenant and agree to deliver to United the certificates, opinions and other documents required to be delivered to United pursuant to Article VI; provided, that the Company and the -------- Shareholders shall use their best efforts to deliver all third party consents required pursuant to the terms of this Agreement, and United covenants and agrees to deliver to the Company and the Shareholders the certificates and other documents required to be delivered to the Company and the Shareholders pursuant to Article VII.

At the Closing, the Company, the Principals, and the Shareholders covenant and agree to deliver to United the certificates, opinions and other documents required to be delivered to United pursuant to Article VI, and United covenants and agrees to deliver to the Company, the Principals, and the Shareholders the certificates and other documents required to be delivered to them pursuant to Article VII.
