Gaming Permits. The Borrower Consolidation shall have all Gaming Permits material to or required for the conduct of its gaming businesses and the conduct of games of chance at the Hotel/Casino Facilities and such Gaming Permits shall not then be suspended, enjoined or prohibited (for any length of time) by any Gaming Authority or any other Governmental Authority.

Gaming Permits. Copy of the Gaming Permits issued by the Nevada Gaming Authorities evidencing the right of the Borrower to conduct gaming activities and games of chance at the Hotel/Casino Facility.
Gaming Permits. The Borrower shall have all Gaming Permits material to or required for the conduct of its gaming businesses and the conduct of games of chance at the Hotel/Casino Facility and such Gaming Permits shall not then be suspended, enjoined or prohibited (for any length of time) by the Nevada Gaming Authorities or any other Governmental Authority.
Gaming Permits. Except if the failure to do so could not reasonably be expected to have a Material Adverse Effect, take, or cause to be taken, all action necessary to maintain in full force and effect and in good standing any and all Gaming Permits and approvals or other entitlements allowing for the conduct, either currently or in the future, of nonrestricted gaming activities on any applicable real property (or any portion thereof); provided that any failure to comply with the foregoing shall constitute a breach of this paragraph (b) only if such failure occurs as a result of fraud, gross negligence, intentional misconduct of the Borrower, the Manager or Xxxxxxxx Entertainment or their respective principals or Affiliates.
Gaming Permits. All Gaming Permits required to be held by Borrowers are current and in good standing and Borrowers presently hold all Gaming Permits necessary for the continued operation of the Hotel/Casino Facilities.
Gaming Permits. All Permits that are necessary to the operation of the Gaming Business or ownership, use, or possession of the Gaming Assets, have been duly obtained and are in full force and effect without any known conflict with the rights of others, except where any such failure to obtain such Permit or any such conflict or restriction could not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect. Neither the Borrower nor any Guarantor has received any written notice or other written communication from any Governmental Authority regarding (i) any revocation, withdrawal, suspension, termination or modification of, or the imposition of any material conditions with respect to, any such Permit, or (ii) any other limitations on the conduct of business by the Borrower, except where any such revocation, withdrawal, suspension, termination, modification, imposition or limitation could not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect.

Each of the Gaming Authorities have given all necessary approvals of this Credit Agreement, the Notes and each Loan Document to be executed by Borrowers in connection with the Bank Facilities.
