General Management Services Sample Clauses

General Management Services. The Manager shall provide or arrange to provide all custody, transfer agency, dividend disbursing, legal, accounting, and administrative services necessary for the operation of the Fund, including, without limitation, the following services: (1) Custody services including, but not limited to: (i) placing and maintaining each Series’ securities, cash or other investments pursuant to the requirements of Section 17(f) of the 1940 Act and the rules thereunder; (ii) holding and physically segregating for the Fund’s account, all of the Fund’s assets, including securities that the Fund desires to be held in places within the United States (“domestic securities”) or in places outside the United States (“foreign securities”); (iii) releasing and delivering domestic securities owned by the Fund only upon receipt of instructions from persons and by means authorized by the Board; (iv) assuring that all domestic securities held are registered in the name of the Fund or in the name of any nominee of the Fund or of any nominee of the Manager or any Service Provider acting as custodian which nominee shall be assigned exclusively to the Fund, unless the Fund has provided written authorization to use a nominee not meeting the above requirement; (v) maintaining a separate bank account(s) in the United States in the name of the Fund, and holding all cash received by it from or for the account of the Fund in such account; (vi) collecting on a timely basis all income and other payments with respect to securities to which the Fund shall be entitled either by law or pursuant to custom in the securities business; (vii) paying out monies of the Fund upon receipt of instructions from persons and by means authorized by the Board; (viii) appointing or removing, in its discretion, any other entity qualified under the 1940 Act to act as a custodian, as its agent to carry out any custody duties; (ix) employing, in the discretion of the Manager or a Service Provider employed by the Manager, other parties as sub-custodians for the Fund’s domestic securities or foreign securities. With respect to the Fund’s foreign securities, such employment shall be effected and such foreign securities shall be maintained in accordance with the provisions of Rule 17f-5 under the 1940 Act, as such provisions may be amended from time to time, provided that the Manager or a Service Provider employed by the Manager shall furnish annually to the Fund, information concerning the Service Provider or sub-custodia...
General Management ServicesThe Adviser shall perform (or arrange for the performance) the management and administrative services necessary for the operation of the Trust, including processing shareholder orders, administering shareholder accounts and handling shareholder relations. The Adviser shall provide the Trust with office space, equipment, facilities and such other services as the Adviser, subject to review by the Board, shall from time to time determine to be necessary or useful to perform its obligations under this agreement. The Adviser shall also, on behalf of the Trust, conduct relations with custodians, depositories, transfer agents, dividend disbursing agents, other shareholder service agents, accountants, attorneys, underwriters, brokers and dealers, corporate fiduciaries, insurers, banks and such other persons in any such other capacity deemed to be necessary or desirable. The Adviser shall make reports to the Board of its performance of its obligations hereunder and furnish advice and recommendations with respect to such other aspects of the business and affairs of the Trust as it shall determine to be desirable.

The Manager shall also be responsible for the performance of various business and administrative functions for the Trust including: (1) coordinate the efforts of the Trust's counsel, independent counsel and independent auditors; (2) provide officers for the Trust, as needed; (3) provide clerical secretarial and bookkeeping services, office supplies, office space and related services (including telephone and other utility services) to the Trust; (4) monitor state and federal law as it may apply to the Trust or Funds; (5) plan, make preparations for and host, meetings of the Board and Board committees; and (6) prepare information and reports for the Board.

General Management Services. (a) Advisor shall manage or supervise all aspects of the Funds’ operations, including transfer agency, dividend disbursing, legal, accounting, administrative and shareholder services. These services may be provided by Advisor or by third-party service providers, such as custodians, transfer agents and fund administrators. Advisor’s general management services shall include, but be limited to: (1) Supervising the performance of custodians, transfer agents, fund administrators, and other persons in any capacity deemed to be necessary to a Fund’s operations; (2) Furnishing or overseeing the furnishing of any personnel, office space, equipment and other facilities necessary for the non-investment-related operations of the Fund; (3) Calculating or monitoring the calculation of the net asset value of each Fund at such times and in such manner as specified in Trust’s current registration statement and at such other times upon which the parties hereto may from time to time agree; (4) Providing or overseeing the provision of customary accounting and auditing services for registered investment companies and their series, including portfolio accounting, dividend and distribution determinations, and the calculation and preparation of any financial information or schedules, for Trust and the Funds; (5) Preparing and filing or supervising the preparation and filing of all federal, state, and local tax returns and reports relating to each Fund; (6) Preparing and filing or supervising the preparation and filing of any documents required to be filed on behalf of Trust or the Funds with the Securities Exchange Commission and/or other federal, state and local authorities as may be required by applicable law, including proxy materials, registration statements and post-effective amendments thereto, shareholder reports, and Rule 24f-2 notices; (7) Preparing and filing or supervising the preparation and filing of notices to qualify the Funds’ shares to be offered in such states; (8) Maintaining or overseeing the maintenance of such non-investment activity-related books and records of the Funds as may be required by applicable law; (9) Providing or overseeing the organization and recordkeeping for meetings of the Board, including preparing such materials and reports and making its officers and employees available to the Board for consultation and discussions regarding the operations and management of the Funds; (10) Developing and implementing or overseeing the development and im...
General Management Services. Advisors shall provide or arrange for the provision of all transfer agency, dividend disbursing, legal, accounting, administrative and shareholder services necessary for the operation of the Institutional Fund, including, without limitation, the services listed on SCHEDULE B hereto. Advisors may contract with qualified third parties for the provision of any of the services necessary for the operation of the Institutional Fund as described herein. Where Advisors engages such Service Providers, Advisors shall also, on behalf of the Institutional Fund, coordinate the activities of such Service Providers, as well as other agents, attorneys, brokers and dealers, insurers, investment subadvisers and such other persons in any such other capacity deemed to be necessary or desirable. Advisors shall make reports to the Board of its performance hereunder and shall furnish advice and recommendations with respect to such other aspects of the business and affairs of the Institutional Fund as the Board or Advisors shall consider desirable.

General Management Services. (a) To assist in providing, managing and reviewing from time to time the management information system used by the Company and/or its subsidiaries and to make recommendations for improvement. (b) To assist in rendering services with respect to the evaluation, development and execution of sales and marketing strategies in order to achieve growth expectations in the sales of the products manufactured or distributed by the Company and/or its subsidiaries. (c) To assist in exploring new and potential markets for the products of the Company and/or its subsidiaries. (d) To assist in rendering services in connection with investor relations.
General Management Services. Subject to the provisions of this Agreement, Lessee hereby engages Operator to supervise and direct the management, operation, and promotion of the Hotel during the term of this Agreement, and Operator hereby accepts such engagement.

In furtherance thereof, Manager shall: a. provided Westboy has supplied Manager with complete copies and all amendments of any Approved Mortgage and any ground leases existing as of the date hereof, do everything reasonably within its power to manage the Hotels in all material respects in accordance with the terms and conditions of any Approved Mortgage, any such ground leases and any material contracts entered into on behalf of Owner or Westboy after the date hereof, if, as a result thereof, Manager is not required to assume responsibilities in addition to or different than those provided for herein; b. subject to the terms of this Agreement, implement Manager's standard administrative, accounting, budgeting, computer systems, marketing, personnel and operational policies and practices relating to or affecting the operation of Affiliated Hotels; c. at Westboy's cost and expense: (i) arrange for the Hotels to be furnished with water, electricity, gas, power, telephone, vermin extermination, trash removal, equipment maintenance, security and such other services as are necessary for the proper operation and maintenance of the Hotels as contemplated by this Agreement; provided, however, that, without Westboy's approval, which approval shall not be unreasonably withheld, Manager shall not cause any Hotel to enter into any agreement for any such services which is not incurred in the ordinary course of operating the Hotel; (ii) to the extent that it is within Manager's power to do so, obtain and keep in full force and effect all permits, licenses (including, without limitation, liquor licenses, restaurant licenses and business licenses) and authorizations required in connection with the conduct of the business of each Hotel; (iii) make purchases of all Operating Supplies and Inventories and such services and other merchandise as are necessary for the proper operation and maintenance of each of the Hotels as contemplated by this Agreement; and (iv) make purchases of Furniture, Fixtures and Equipment in accordance with Section 2.3; and d. review the operation and maintenance of the Hotels from time to time in accordance with Manager's ...
