BUSINESS OFFICE SERVICES. Practice hereby appoints Manager as its sole and exclusive manager and administrator of all business functions and services related to Practice's services during the term of this Agreement. Without limiting the generality of the foregoing, in providing the Management Services, Manager shall perform the following functions:
(a) Manager shall evaluate and administer all managed care contracts on behalf of Practice and shall consult with Practice upon request on matters relating thereto; provided that acceptance to participate in any or all managed care contracts shall be decided by Practice.
(b) Manager shall provide ongoing assessment of business activity including product line analysis, outcomes monitoring and patient satisfaction.
(c) Manager shall be responsible for ordering and purchasing all medical and office supplies reasonably required in the day-to-day operation of the medical practice of Practice at the Medical Offices.
(d) Manager shall make application and negotiate for the procurement of professional liability insurance covering persons in the coverage amounts set forth in Section 8.1. This coverage shall be made available to Practice. Practice, however, shall have the right to obtain coverage from an alternative provider reasonably acceptable to Manager.
(e) Manager shall bill xxx collect from payors, intermediaries and patients all professional fees for medical services and for ancillary services performed at the Medical Offices by Practice and Practice's employees and agents, including, but not limited to, Physician Shareholders and Practice Employees. For the term of this Agreement, Practice hereby grants Manager power of attorney and appoints Manager as its true and lawful attorney-in-fact for the following purposes:
(i) To bill xxxors, fiscal intermediaries or patients in Practice's name, under its provider number(s) when obtained and on its behalf, and until such time as Practice has obtained its provider number(s), bill, xx the Physician Shareholders' and Practice Employees' names under their respective provider numbers and on their behalf, and in connection with such billing services Manager covenants and agrees that it will use its best efforts to perform the billing correctly and in accordance with applicable laws and regulations based on information that Practice and the Physician Shareholders and Practice Employees provide to Manager for such purpose;

This coverage shall be made available to Practice. Practice, however, shall have the right to obtain coverage from an alternative provider reasonably acceptable to Manager.

The Practice appoints the Company as its sole and exclusive manager and administrator of all business functions and services related to the Cancer Centers services during the term of this Agreement, including, but not limited to, all computer, bookkeeping, billing and collection services, accounts receivable and accounts payable management services, janitorial and cleaning services and management services. The Company hereby is expressly authorized to perform its business office services, in whatever manner it reasonably deems appropriate, to meet the day-to-day requirements of the non-medical business functions of the Cancer Centers; provided, that the costs associated with providing such services are consistent with the Annual Budget. Without limiting the generality of the foregoing, the Company shall perform the following functions:
(a) Accounting, bookkeeping and accounts payable processing.
(b) Materials management, including purchase and stocking of office and medical supplies at levels reasonably necessary for the provision of Radiation Oncology Services.
(c) Human resources management, including recruitment of any necessary additional Clinical Employees and Administrative Employees that are contemplated by the Annual Budget, or as mutually agreed by the Parties.
(d) Provide qualified support sufficient to assure the proper and efficient functioning of all hardware and software components of the information systems utilized in connection with the Cancer Centers.
(e) Provide financial auditing services reasonably necessary for billing purposes and for compliance with Medicare and Medicaid, managed care contracts, and other federal, state, or private payor reimbursement programs or plans.
(f) Evaluate, negotiate and administer all managed care contracts and other third-party payor contracts on behalf of the Practice, all such contracts being subject to approval by the Practice.
(g) Provide ongoing assessment of business activity, including patient satisfaction.
(h) Order and purchase all medical and office supplies required in the day-to-day operation of the Practice at the Cancer Centers and contemplated by the Annual Budget, or as mutually agreed by the Parties.
(i) Provide a computer management information system, including on-site and off-site computer hardware and software license and support costs, for the provision of Billing and Collection Services.

(a) PHC-SUB shall provide or cause to be provided all management and administrative business functions and services related to the Practice's services during the term of this Agreement as reasonably requested or approved by the Practice, including but not limited to all reasonable and necessary computer, bookkeeping, billing and collection services, accounts receivable and accounts payable management services, laundry, linen, janitorial and cleaning services and management services. The provision of all such management and administrative business functions and services shall be performed in a manner and by such PHC-SUB personnel as shall be reasonably requested by the Practice. At the reasonable request or with the approval of the Practice, certain management and administrative business functions and services related to the Practice may be centralized in PHC-SUB, PHC or affiliated sites located outside the Medical Offices. Without limiting the generality of the foregoing, PHC-SUB shall perform the following functions:
(i) Administer all managed care contracts on behalf of the Practice, all such managed care contracts being subject to approval by the Joint Policy Board as set forth in Section 6.1; -----------

Subject to Section 3.16 below, regarding the use of third-party management services vendors, Metroplex hereby appoints Texas Sub as its manager and administrator of business functions and services related to Metroplex's services at the Clinic during the term of this Agreement. Texas Sub shall have the right to contract and deal otherwise with its affiliates in providing services required hereunder; provided that such transactions are on such terms and conditions as favorable to Metroplex as would be obtained from a third party. Without limiting the generality of the foregoing, in providing the Management Services, Texas Sub shall perform the following functions:
(a) Texas Sub shall evaluate, negotiate, and administer all managed care contracts on behalf of Metroplex and shall consult with Metroplex on all professional or clinical matters relating thereto.

(c) Texas Sub shall be responsible for providing or causing to be provided all reasonably required medical and office supplies required in the day-to-day operation of the Clinic.
(d) Texas Sub shall use reasonable diligence in conducting its business office activities in a manner consistent with managing a first-class medical office facility.
(e) As Metroplex's agent, Texas Sub shall xxxx and collect from patients all professional fees for medical services and for ancillary services performed through the Clinic by Metroplex and the Metroplex Providers, including, but not limited to, the Physician Owners.
