Common use of GENERAL MEETING OF PARTNERS Clause in Contracts

GENERAL MEETING OF PARTNERS. The Fund shall have a meeting of Partners (a “General Meeting”) at a time and in accordance with this Article 12 (General Meeting of Partners) at a place to be determined by the General Partner (but at least once each year beginning in the year after the year of the Initial Closing Date), and the General Partner shall call additional General Meetings upon delivery to the General Partner of written request to do so approved by Limited Partners (other than Affiliated Partners and Defaulting Partners) representing at least [20]% of the aggregate Commitments (excluding the Commitments of Affiliated Partners and Defaulting Partners). The General Partner shall give at least sixty (60) days’ notice of the time and place of a General Meeting to each Limited Partner, which notice shall set out the agenda for such General Meeting. The Partners may participate in a General Meeting by telephone or similar communications equipment by means of which all Persons participating in the meeting can hear and speak to each other. A Person designated by the General Partner shall keep written minutes of all of the proceedings and votes of any such General Meeting. A copy of the written minutes and of any materials distributed at such meeting will be made available to all Limited Partners within [thirty (30)] days after the meeting. ADVISORY COMMITTEE
