Common use of General Rights Clause in Contracts

General Rights. In the event of Service Provider's bankruptcy or other formal procedure referenced in Section 20.4 or of the filing of any petition under bankruptcy Laws affecting the rights of Service Provider which is not stayed or dismissed within thirty (30) days of filing, in addition to the other rights and remedies set forth herein, to the maximum extent permitted by Law, DIR shall have the immediate right to retain and take possession for safekeeping all DIR Data, DIR Confidential Information, DIR licensed Third Party Materials, DIR owned Equipment, DIR owned Materials, DIR-owned Developed Materials and all other Materials, Equipment or Systems to which DIR and/or the DIR Customers are or would be entitled during the Term or upon the expiration or any termination of this Agreement. Service Provider shall cooperate fully with DIR and the DIR Customers and assist DIR and the DIR Customers in identifying and taking possession of the items listed in the preceding sentence. DIR shall have the right to hold such DIR Data, Confidential Information, Materials, Equipment and Systems until such time as the trustee or receiver in bankruptcy or other appropriate insolvency office holder can provide adequate assurances and evidence to DIR that they shall be protected from sale, release, inspection, publication, or inclusion in any publicly accessible record, document, material or filing. Service Provider and DIR agree that without this material provision, DIR would not have entered into this Agreement or provided any right to the possession or use of DIR Data, DIR Confidential Information or DIR Materials covered by this Agreement.

In the event of Service ProviderSuccessful Respondent's bankruptcy or other formal procedure referenced in Section 20.4 13.4 Termination for Insolvency or of the filing of any petition under bankruptcy Laws affecting the rights of Service Provider Successful Respondent which is not stayed or dismissed within thirty (30) days of filing, in addition to the other rights and remedies set forth herein, to the maximum extent permitted by Law, DIR shall have the immediate right to retain and take possession for safekeeping all DIR Data, DIR Confidential Information, DIR licensed Third Party Materials, DIR owned Equipment, DIR owned Materials, DIR-owned Developed Materials Materials, and all other Materials, Equipment Equipment, or Systems to which DIR and/or the DIR DCS Customers are or would be entitled during the Term or upon the expiration or any termination of this Agreement. Service Provider Successful Respondent shall cooperate fully with DIR and the DIR DCS Customers and assist DIR and the DIR DCS Customers in identifying and taking possession of the items listed in the preceding sentence. DIR shall have the right to hold such DIR Data, Confidential Information, Materials, Equipment Equipment, and Systems until such time as the trustee or receiver in bankruptcy or other appropriate insolvency office holder can provide adequate assurances and evidence to DIR that they shall be protected from sale, release, inspection, publication, or inclusion in any publicly accessible record, document, material material, or filing. Service Provider Successful Respondent and DIR agree that without this material provision, DIR would not have entered into this Agreement or provided any right to the possession or use of DIR Data, DIR Confidential Information Information, or DIR Materials covered by this Agreement.

Service Provider shall cooperate fully with DIR and the DIR Customers Eligible Recipients and assist DIR and the DIR Customers Eligible Recipients in identifying and taking possession of the items listed in the preceding sentence. DIR Client shall have the right to hold such DIR Client Data, Client Confidential Information, Client licensed Third Party Software, Client owned Equipment, Client Owned Materials, Equipment Client owned Developed Materials, Software (including all source code), Equipment, Systems and Systems Materials until such time as the trustee or receiver in bankruptcy or other appropriate insolvency office holder can provide adequate assurances and evidence to DIR Client that they shall be protected from sale, release, inspection, publication, or inclusion in any publicly accessible record, document, material or filing. Service Provider and DIR Client agree that without this material provision, DIR Client would not have entered into this Agreement or provided any right to the possession or use of DIR such Client Data, DIR Client Confidential Information or DIR Information, Client licensed Third Party Software, Client owned Equipment, Client Owned Materials, Client owned Developed Materials, Software (including all source code), Equipment, Systems and Materials covered by this Agreement.

In the event of Service Provider's Vendor’s bankruptcy or other formal procedure referenced in Section 20.4 18.3 or of the filing of any petition under bankruptcy Laws affecting the rights of Service Provider Vendor which is not stayed or dismissed within thirty (30) days of filing, in addition to the other rights and remedies set forth herein, to the maximum extent permitted by Law, DIR shall TXUED will have the immediate right to retain and take possession for safekeeping all DIR TXUED Data, DIR Confidential TXUED Proprietary Information, DIR TXUED licensed Third Party Materials, DIR TXUED owned Equipmentequipment, DIR TXUED owned systems, TXUED owned Materials, DIR-owned Developed Materials Work Product and all other Materials, Equipment or Systems Resources to which DIR and/or the DIR Customers are TXUED is or would be entitled during the Term or upon the expiration or any termination of this Agreement. Service Provider Vendor shall cooperate fully with DIR and the DIR Customers TXUED and assist DIR and the DIR Customers TXUED in identifying and taking possession of the items listed in the preceding sentence. DIR shall TXUED will have the right to hold such DIR TXUED Data, Confidential Information, Materials, Equipment Proprietary Information and Systems Resources until such time as the trustee or receiver in bankruptcy or other appropriate insolvency office holder can provide adequate assurances and evidence to DIR TXUED that they shall will be protected from sale, release, inspection, publication, or inclusion in any publicly accessible record, document, material or filing. Service Provider Vendor and DIR TXUED agree that without this material provision, DIR TXUED would not have entered into this Agreement or provided any right to the possession or use of DIR TXUED Data, DIR Confidential Information Proprietary Information, or DIR Materials Resources covered by this Agreement.
