General Rule of Confidentiality. Except as provided in Section 8.6(b), each Member and Assignee agrees to keep confidential, not to make any use of, and not to provide or disclose to any Person, any information or matter relating to the Company or any Series or its business and affairs, including reports furnished to Members and Assignees pursuant to Section 8.4, the identities of other Members and Assignees, any offering materials used in connection with the marketing and private placement of Interests in any Series (including this Agreement, the Authorizing Resolutions and the Subscription Agreements) and any information or matter related to any investment made by any Series (all of the foregoing, “Confidential Information”).

General Rule of Confidentiality. Except as provided in Section 8.6(b), each Limited Partner agrees to keep confidential, not to make any use of, and not to provide or disclose to any Person, any information or matter relating to the Partnership and its business and affairs, including reports furnished to Limited Partners pursuant to Section 8.4, the identities of other Partners, any offering materials used in connection with the marketing and private placement of Interests (including this Agreement and the Subscription Agreements) and any information or matter related to any investment made by the Partnership (all of the foregoing, “Confidential Information”).

General Rule of Confidentiality. Each Member, by executing a counterpart of this Agreement, acknowledges and agrees that as a Member, it had or will have access to certain nonpublic information about the Company and the other parties hereto and agrees to treat such information in accordance with this Article VIII. For the purposes of this Article VIII, “Confidential Information” shall mean all information and documents concerning a party to this Agreement and/or its Affiliates (whether prepared by such party, its advisers or otherwise and irrespective of the form of data or communication) received by a party hereto or its Affiliates (a “Receiving Party”) from a party hereto or its Affiliates (a “Disclosing Party”). The term Confidential Information includes analyses, memoranda, notes, compilations, and other materials (including, in the case of the Company and its Subsidiaries, the information (including, without limitation, the ingredients, recipes, formulae or concentrations) necessary to produce any of the products manufactured by the Company or its Subsidiaries) prepared by a Receiving Party from information that otherwise meets the definition of Confidential Information. Notwithstanding anything to the contrary in this Agreement, the term Confidential Information excludes any information that (i) at the time of disclosure or thereafter is generally available to or known by the public (other than by reason of a breach of this Agreement), (ii) was within the possession of the Receiving Party and/or its Affiliates prior to its being furnished by a Disclosing Party to such Receiving Party and/or any of its Affiliates, or (iii) has been independently acquired or developed by the party in possession of such information and/or its Affiliates without violation of any obligation under this Agreement or any other confidentiality obligation to a Disclosing Party.

  • Duration of Confidentiality The provisions of this Article XIII shall apply during the term of this Agreement and for two years following termination of this Agreement pursuant to Section 14.1, and shall continue to apply to any Member who withdraws, who is deemed to have withdrawn, or who Transfers its Ownership Interest, for two years following the date of such occurrence.

  • Covenant of Confidentiality All documents, records, files, manuals, forms, materials, supplies, computer programs, trade secrets and other information which comes into EXECUTIVE's possession from time to time during EXECUTIVE's employment by COMPANY and/or any of COMPANY's subsidiaries or affiliates, shall be deemed to be confidential and proprietary to COMPANY and shall remain the sole and exclusive property of COMPANY.   • Exceptions to Confidentiality The Receiving Party’s obligations set forth in this Agreement shall not extend to any Confidential Information of the Disclosing Party:

  • Access; Confidentiality (a) At all times during the period commencing with the execution and delivery of this Agreement and continuing until the earlier to occur of the termination of this Agreement pursuant to Article VIII and the Merger Effective Time, the Company shall afford Parent, and Parent shall afford the Company, and each of their respective financial advisors, business consultants, legal counsel, accountants and other agents and representatives reasonable access during normal business hours, upon reasonable notice, to its properties, books and records and personnel; provided, however, that the disclosing party may restrict or otherwise prohibit access to any documents or information to the extent that (i) any applicable Law requires such party to restrict or otherwise prohibit access to such documents or information or (ii) access to such documents or information would give rise to a waiver of any attorney-client privilege, work product doctrine or other applicable privilege applicable to such documents or information, and provided further, that no information or knowledge obtained by the receiving party in any investigation conducted pursuant to the access contemplated by this Section 6.05 shall affect or be deemed to modify any representation or warranty of the disclosing party set forth in this Agreement or otherwise impair the rights and remedies available to receiving party hereunder. If the Company or Parent does not provide access or information in reliance on the preceding sentence, it shall use its commercially reasonable efforts to communicate the applicable information to the other party in a way that would not violate the applicable Law or obligation or to waive such a privilege including by providing such information in redacted form as necessary to preserve such a privilege or comply with such Law or otherwise make appropriate substitute disclosure arrangements, to the extent possible. Any investigation conducted pursuant to the access contemplated by this Section 6.05 shall be conducted in a manner that does not unreasonably interfere with the conduct of the business of the Company and its Subsidiaries or Parent and its Subsidiaries. Nothing in this Section 6.05 or elsewhere in this Agreement shall be construed to require the Company, any of its Subsidiaries, Parent, any of its Subsidiaries, or any of their respective Representatives of any of the foregoing to prepare any reports, analyses, appraisals, opinions or other information or to allow sampling of any environmental media or building component.

  • Duty of Confidentiality Licensee will protect the TCK as Oracle Confidential Information protected under this Section 6.0. A party receiving Confidential Information may not: (i) disclose Confidential Information to any third party, except that such party may exchange comments or questions concerning its use or the results of using the TCK, including relevant excerpts of the TCK, provided such TCK excerpts are inherently part of such results, but not the non-relevant portions of the TCK itself, or (ii) use Confidential Information except for the purpose of developing and testing Products. The receiving party will protect the confidentiality of Confidential Information to the same degree of care, but no less than reasonable care, as such party uses to protect its own Confidential Information. Obligations regarding Confidential Information will expire three (3) years from the date of receipt of the Confidential Information, except for source code, which will be protected by Licensee in perpetuity.

  • Survival of Confidentiality The obligations under this section shall continue for three (3) years from the termination/expiration of this Agreement.
