Common use of General Waiver and Release Clause in Contracts

General Waiver and Release. Except as provided in Paragraph (e) below, Executive and any person acting through or under the Executive hereby release, waive and forever discharge the Company, its past and present subsidiaries and affiliates, and their respective successors and assigns, and their respective past and present officers, trustees, directors, shareholders, executives and agents of each of them, from any and all claims, demands, actions, liabilities and other claims for relief and remuneration whatsoever (including without limitation attorneys’ fees and expenses), whether known or unknown, absolute, contingent or otherwise (each, a “Claim”), arising or which could have arisen up to and including the date of his execution of this Release, including without limitation those arising out of or relating to Executive’s employment or cessation and termination of employment, or any other written or oral agreement, any change in Executive’s employment status, any benefits or compensation, any tortious injury, breach of contract, wrongful discharge (including any Claim for constructive discharge), infliction of emotional distress, slander, libel or defamation of character, and any Claims arising under Title VII of the Civil Rights Act of 1964 (as amended by the Civil Rights Act of 1991), the Americans With Disabilities Act, the Rehabilitation Act of 1973, the Equal Pay Act, the Older Workers Benefits Protection Act, the Age Discrimination in Employment Act, the Employee Retirement Income Security Act of 1974, or any other federal, state or local statute, law, ordinance, regulation, rule or executive order, any tort or contract claims, and any of the claims, matters and issues which could have been asserted by Executive against the Company or its subsidiaries and affiliates in any legal, administrative or other proceeding. Executive agrees that if any action is brought in his name before any court or administrative body, Executive will not accept any payment of monies in connection therewith.

General Waiver and Release. Except as provided In exchange for the consideration identified in Paragraph (e) belowthis Agreement, Executive and any person acting through or under which the Executive Employee acknowledges is in addition to anything of value to which the Employee is already entitled, the Employee hereby releasewaives, waive releases, settles, and forever discharge discharges the Company, its past and present subsidiaries and affiliates, and their respective successors and assigns, and each of their respective past and present officersboard members, executives, directors, trustees, directorsofficers, shareholdersemployees, executives agents, insurers, predecessors, successors, attorneys, and agents of each of themany other party associated with the Company (“Releasees”), to the fullest extent permitted by applicable law, from any and all claims, causes of action, rights, demands, actionsdebts, liabilities and other claims for relief and remuneration whatsoever (liens, liabilities, or damages of whatever nature, including without limitation attorneys’ fees and expenses)negligence, whether known or unknown, absolutesuspected or unsuspected, contingent that the Employee ever had or otherwise (eachmay now have, a “Claim”), arising which have been or which could have arisen up to and including be raised by the Employee against any Releasee through the date of his execution of this Releasehereof. The Employee’s waiver and release includes, including without limitation those but is not limited to, all claims, liens, demands, or liabilities arising out of or relating to Executivein any way connected with the Employee’s employment with the Company or cessation and the termination of employmentthat employment pursuant to any federal, state, or any other written or oral agreementlocal laws regulating employment including, any change in Executive’s employment but not limited to, claims of race, national origin, ancestry, handicap, disability, religion, marital status, any benefits or compensationpregnancy, any tortious injurysexual orientation, breach of contractgender identity, wrongful discharge (including any Claim for constructive discharge)veteran status, infliction of emotional distresssexual harassment, slander, libel or defamation of charactersex, and any Claims arising age discrimination, retaliation, and all claims under Title VII of the Civil Rights Act of 1964 (1964, as amended by amended, the Civil Rights Act of 1991), the Americans With Disabilities Employee Retirement Income Security Act, the Rehabilitation Act of 1973, the Equal Pay The Reconstruction Era Civil Rights Act, as amended, the Older Workers Benefits Protection Americans with Disabilities Act of 1990 (“ADA”) and the ADA Amendments Act of 2008, the Family and Medical Leave Act, the Age Discrimination in Employment Act (“ADEA”), including without limitation the Older Workers’ Benefit Protection Act (“OWBPA”), the Equal Pay Act, the Employee Retirement Income Security Act of 1974Fair Labor Standards Act, the Immigration Control and Reform Act, the Fair Credit Reporting Act, as well as any other common law, federal, state, or local laws, statutes, or ordinances that can be released. Nothing in this Agreement shall be construed to prevent the Employee from participating in any charge of discrimination filed with the Equal Employment Opportunity Commission (“EEOC”) or similar state agency; provided, however, that by signing this Agreement, the Employee waives the right to recover any monetary damages or attorney fees from the Releasees in any claim or lawsuit brought by or through the EEOC or similar state agency. Furthermore, nothing in this Agreement prohibits the Employee from reporting alleged violations of federal law or regulation to any government agency or entity, including the Securities and Exchange Commission, or making other federal, state disclosures that are protected under whistleblower provisions of applicable law. If the Employee brings an action or local statute, law, ordinance, regulation, rule or executive order, any tort or contract claims, and other claim against any of the claimsReleasees in violation of this release, matters and issues which could have been asserted by Executive against or otherwise materially breaches this Agreement, the Company or its subsidiaries such other of the Releasees shall have the right to set off any and affiliates in all damages to which it or any legal, administrative of the Releasees may be entitled against payments or other proceedingbenefits due to the Employee under this Agreement and to recover from the Employee their attorneys’ fees and costs incurred in defending against such action or other claim. Executive The Employee agrees that if the Employee is the only person who is able to assert any action is brought right or claim arising out of the Employee’s employment with and separation from the Company. The Employee hereby promises that the Employee has not assigned, pledged, or otherwise sold any such rights or claims, nor has the Employee relied on any promises other than those expressly contained in this Agreement. The release of claims under this paragraph shall not apply to any claims that Employee may have or will have with respect to his name before any court vested benefits, ownership of stock, restricted stock, or administrative body, Executive will not accept any payment of monies stock options in connection therewiththe Company.

Executive the Employee agrees that if any action is brought in his name before any court or administrative body, Executive the Employee will not accept any payment of monies in connection therewith.

Executive agrees that if any action is brought in his or her name before any court or administrative body, Executive will not accept any payment of monies in connection therewith.

The Executive agrees that if any action is brought in his name or on his behalf (or in the name or on behalf of a class to which the Executive belongs) before any court or administrative bodybody with respect to any Claim released under this Release, the Executive will not accept any payment of monies in connection therewithwith such released Claim.

Except as provided in Paragraph (e2.(f) below, Executive and any person acting through or under the Executive hereby release, waive and forever discharge the Company, its past subsidiaries and its past and present subsidiaries and affiliates, and their respective successors and assigns, and their respective present or past and present officers, trustees, directors, shareholders, executives and agents of each of them, from any and all claims, demands, actions, liabilities and other claims for relief and remuneration whatsoever (including without limitation attorneys’ fees and expenses), whether known or unknown, absolute, contingent or otherwise (each, a “Claim”), arising or which could have arisen up to and including the date of his her execution of this Release, including without limitation those arising out of or relating to Executive’s employment or cessation and termination of employment, or any other written or oral agreement, any change in Executive’s employment status, any benefits or compensation, any tortious injury, breach of contract, wrongful discharge (including any Claim for constructive discharge), infliction of emotional distress, slander, libel or defamation of character, and any Claims arising under Title VII of the Civil Rights Act of 1964 (as amended by the Civil Rights Act of 1991), the Americans With Disabilities Act, the Rehabilitation Act of 1973, the Equal Pay Act, the Older Workers Benefits Protection Act, the Age Discrimination in Employment Act, the Employee Retirement Income Security Act of 1974, or any other federal, state or local statute, law, ordinance, regulation, rule or executive order, any tort or contract claims, and any of the claims, matters and issues which could have been asserted by Executive against the Company or its subsidiaries and affiliates in any legal, administrative or other proceeding. Executive agrees that if any action is brought in his her name before any court or administrative body, Executive will not accept any payment of monies in connection therewith.

General Waiver and Release. Except as provided in Paragraph (e) below, Executive Executive, on his own behalf and on behalf of any person acting through or under the Executive hereby release, waive and forever discharge the Company, its past subsidiaries and its past and present subsidiaries and affiliates, and their respective successors and assigns, and their respective present or past and present officers, trustees, directors, shareholders, executives and agents of each of them, from any and all claims, demands, actions, liabilities and other claims for relief and remuneration whatsoever (including without limitation attorneys’ fees and expenses), whether known or unknown, absolute, contingent or otherwise (eachotherwise, a “Claim”), arising or which could have arisen that arose in the Executive’s favor at any time up to and including the date of his execution of this Release, including without limitation those arising and that arise out of or relating relate to the Executive’s employment with the Company, or the cessation and termination of employmentsuch employment (each, a “Claim”), including (without limitation) any such Claim that arises under the Employment Agreement or under any other written or oral agreementagreement between the Company and the Executive, or that relates to any change in the Executive’s employment status, any status or in his benefits or compensation, or that arises from any tortious injury, breach of contract, wrongful discharge (including any Claim for constructive discharge), infliction of emotional distress, slander, libel or defamation of character, and any Claims arising or that arises under Title VII of the Civil Rights Act of 1964 (as amended by the Civil Rights Act of 1991), the Americans With Disabilities Act, the Rehabilitation Act of 1973, the Equal Pay Act, the Older Workers Benefits Protection Act, the Age Discrimination in Employment Act, the Employee Retirement Income Security Act of 1974, as amended, or any other federal, state or local statute, law, ordinance, regulation, rule or executive order, any or that constitutes a tort or contract claims, and any of the claims, matters and issues which could have been asserted by Executive against the Company or its subsidiaries and affiliates in any legal, administrative or other proceedingclaim.
