GHS. HOUSING LTD is a company registered under the laws of Ghana as a Real Estate Developer and a member of the Ghana Real Estate Developers Association (hereinafter referred to as THE DEVELOPER which expression shall include its successors and assigns);
GHS. GHS shall, as soon as practicable, take all action necessary in accordance with applicable law and its Certificate of Incorporation and By-laws to approve the Exchange and the transactions contemplated hereby.
GHS hereby represents that as of the date hereof the Certificate of Designation shall have been filed with the Secretary of State of the State of Delaware.
GHS each director of GHS, each officer of GHS who shall sign such registration statement, each underwriter, broker or other Person acting on behalf of GHS and each Person who controls any of the foregoing Persons within the meaning of the Securities Act with respect to any statement or omission from such registration statement, any preliminary prospectus or final prospectus contained therein or otherwise filed with the Commission, any amendment or supplement thereto or any document incident to registration or qualification of any Registrable Share, if such statement or omission was made in reliance upon and in strict conformity with written information furnished to GHS or such underwriter by Learning Annex expressly for inclusion in such registration statement, preliminary prospectus, final prospectus, amendment, supplement or document, PROVIDED that the liability of the Learning Annex under this Section 8.2 shall not exceed the aggregate proceeds received by the Learning Annex upon the sale of Registrable Shares by the Learning Annex pursuant to such registration.
GHS is the beneficial owner of 1,661 shares of the Company’s Series C Convertible Preferred Stock (“Series C Stock”) and $220,565.08 in principal outstanding balance of the Company’s Secured Promissory Note, originally issued pursuant to a Note Purchase Agreement dated September 10, 2014 between the Company and the original creditor(the “Promissory Note”). For good and valuable consideration, the Company and GHS agree as follows:
GHS acknowledges that a breach of its obligations under Section 2 of this Note will cause irreparable harm to the Company and agrees, in the event of such breach, the Company shall be entitled, in addition to all other available remedies at law or in equity, and in addition to the penalties assessable herein, to an injunction or injunctions restraining, preventing or curing any breach of this Note and to enforce specifically the terms and provisions thereof, without the necessity of showing economic loss and without any bond or other security being required.
