Governing Laws: Severability. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Nevada applicable to contracts made and to be wholly performed therein, without giving effect to its conflicts of laws principles. Should any provision of this Agreement be determined by a court of law to be illegal or unenforceable, the other provisions shall nevertheless remain effective and shall remain enforceable.

In the event that any term or condition of the Vendor Agreement is found by a Court of competent jurisdiction to be invalid, the remaining terms and conditions will remain in full force and effect as nearly as possible, to reflect the intentions of the parties. In case any of the provisions of this Assignment shall at any time be held by a court of competent jurisdiction to be illegal, invalid, or unenforceable for any reason, such illegality, invalidity or unenforceability shall not affect the remaining provisions of this Assignment, and this Assignment shall be construed and enforced as if all such illegal, invalid or unenforceable provisions had never been inserted herein.

If any provision of this Declaration or the application thereof shall to any extent be invalid or unenforceable, the remainder of this Declaration or the application of any such other provision or portion thereof shall not be affected thereby, and each provision of this Declaration shall be valid and enforceable to the fullest extent permitted by law.
